1 SECOND AMENDMENT TO SERVICES AGREEMENTTHE SAUCE CREATIVE SERVICES CORP Explore Riverside/Riverside Activity Guide This SECOND AMENDMENT TO SERVICES AGREEMENT (“Second Amendment”) is made and entered into this _____ day of _______________, _____, by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation (“City”), and THE SAUCE CREATIVE SERVICES CORP, a California corporation (“Contractor”). RECITALS WHEREAS, on June 20, 2023, City and Contractor entered into a Services Agreement for the production of the Explore Riverside/Riverside Activity Guide (“Agreement”); and WHEREAS, the Agreement was for a three (3) year term beginning June 20, 2023, and ending June 20, 2026, with a contract price of Six Hundred Seventy-Four Thousand Five Hundred Eighty-Five Dollars and Sixty Cents ($674,585.60); and WHEREAS, on December 22, 2025, City and Contractor entered into a First Amendment to Services Agreement, increasing compensation by the amount of One Hundred Thirty-Four Thousand Nine Hundred and Seventeen Dollars ($134,917.00), for a total contract price in the amount not to exceed Eight Hundred Nine Thousand Five Hundred Two Dollars and Sixty Cents ($809,502.60). WHEREAS, City and Contractor desire to extend the term of the Agreement by one (1) year, from July 1, 2026, through June 30, 2027; and WHEREAS, City and Contractor desire to increase Compensation in the amount not to exceed Two Hundred Thirty-Seven Thousand Eight Hundred Thirty-Seven Dollars and Eighty-Seven Cents ($237,837.87) for the extended term of the Agreement, for a total contract price in the amount not to exceed One Million Forty-Seven Thousand Three Hundred Forty Dollars and Forty-Seven Cents ($1,047,340.47). NOW, THEREFORE, in consideration of the foregoing recitals which are incorporated herein by this reference, City and Contractor agree as follows: 1. Paragraph 2, Term, is hereby amended to extend the term of the Agreement for one (1) year, from July 1, 2026 to June 30, 2027. 2. Paragraph 3, Compensation, is hereby amended to increase compensation in the amount not to exceed Two Hundred Thirty-Seven Thousand Eight Hundred Thirty-Seven Dollars and Eighty-Seven Cents ($237,837.87) for the extended term of the Agreement, for a total contract price in the amount not to exceed One Million Forty-Seven Thousand Three Hundred Forty Dollars and Forty-Seven Cents ($1,047,340.47). 2 3.
