RECITALS
WHEREAS, on March 3, 2025, City and Developer entered into an Exclusive Negotiating Agreement ("ENA"), for a term of six months, expiring on September 3, 2025, with two options of six (6) months each to extend the term upon delivery of written notice to the City Manager, and with any further extension of the ENA beyond the second extension by mutual written consent of the parties.
WHEREAS, on August 28, 2027, Developer requested and the City granted the first six- month extension, extending the term of the ENA to March 2, 2026; WHEREAS, on February 25, 2026, Developer requested and the City granted the second six-month extension, extending the term of the ENA to September 2, 2026; WHEREAS, City and Developer desire to extend the term of the ENA an additional one year, to September 2, 2027.
NOW THEREFORE, in consideration of the foregoing recitals, which are incorporated herein by this reference, City and Developer mutually agree as follows:
1. The term of the ENA is hereby extended for an additional one year, to September 2, 2027. Any further extension of the ENA will be by mutual written consent of the parties.
2. All terms and conditions of the Agreement not inconsistent herewith shall remain in full force and effect and are hereby incorporated by reference into this First Amendment as though set forth in full herein.
