FIRST AMENDMENT TO SERVICES AGREEMENT

Park Riverside Downtown Valet Program
This FIRST AMENDMENT TO SERVICES AGREEMENT ("First Amendment") is made and entered into this _day of_ — by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City"), and ACE PARKING III, LLC, a California limited liability company ("Contractor"), with reference to the following facts:
RECITALS
WHEREAS, on December 4, 2025, City and Contractor entered into that certain Services Agreement ("Agreement") for Park Riverside Downtown Valet Program, with compensation in the amount not to exceed Three Hundred Thirty-Four Thousand Five Hundred Ninety-Five Dollars and Eighty-Five Cents ($334,595.85); and
WHEREAS, the Agreement is set to expire on June 30, 2026; and WHEREAS, City and Contractor desire to extend the term of the Agreement for one (1) additional year, through June 30, 2027; and
WHEREAS, City and Contractor desire to increase compensation in the amount of Three Hundred Nine Thousand Four Hundred Thirty Dollars and Eighty-Six Cents ($309,430.86), for a total revised contract amount not to exceed Six Hundred Forty-Four Thousand Twenty-Six Dollars and Seventy-One Cents ($644,026.71).
NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated herein by this reference, City and Consultant mutually agree as follows:
1. Section 2, "Term," is hereby amended to extend the term of the Agreement for one (1) additional year, through June 30, 2027.
2. Section 3, "Compensation/Payment," is hereby amended to increase compensation in the amount of Three Hundred Nine Thousand Four Hundred Thirty Dollars and Eighty-Six Cents ($309,430.86), for a total revised contract amount not to exceed Six Hundred Forty-Four Thousand Twenty-Six Dollars and Seventy-One Cents ($644,026.71).
3. All terms and conditions of the Agreement not inconsistent herewith shall remain in full force and effect and are hereby incorporated by reference into this First Amendment as though set forth in full herein.
