First Option Term and Second Option Term:

The Base Rent for each year of the First Option Term and the Second Option Term shall be determined in accordance with Section 1.6 below, with the first (1st) year of each Option Term set at fair market rental value and the second (2nd) and third (3rd) years increasing by three percent (3%) annually.

Base Rent shall be payable on the First (Ist) day of each month, commencing August 1, 2018. Commencing November 1, 2026, each annual increase in Base Rent shall take effect on November 1 as set forth above, and no proration of Base Rent shall be required at any time during the Third Extension Term or any Option Term.

3. A new Section 1.6, Options to Extend, is hereby added to the Lease as follows:

A. Grant of Options. Lessee is granted two (2) consecutive options to extend the term of the Lease, each for a period of three (3) years (each, an "Option Term"), as described in Section 1.3 above. The Second Option Term may be exercised only if the First Option Term has been validly exercised.

B. Exercise of Options. Each option shall be exercised, if at all, by Lessee delivering written notice to Lessor not less than one hundred eighty (180) days prior to the expiration of the then-current term. Lessee's right to exercise each option is conditioned upon Lessee not being in material de fault under the Lease beyond any applicable cure period at the time of exercise.

C. Option Kent. The Base Kent tor each Option Term shall be equal to the tair market rental value of the Premises as of the commencement of the applicable Option Term, determined as set forth below. The Base Rent for each Option Term shall not be a fixed or predetermined amount. The fair market rental value so determined shall establish the Base Rent for the first (1st) year of the applicable Option Term, and Base Rent for the second (2nd) and third (3rd) years of that Option Term shall be adjusted as set forth in subsection E below.

Determination of Fair Market Rental Value. Fair market rental value shall mean the rental rate that a willing tenant would pay and a willing landlord would accept for comparable industrial space in the City of Riverside and surrounding submarket, taking into account the size, location, condition, and use of the Premises, the length of the term, and other then-prevailing market terms for comparable space. Upon Lessee's exercise of an option, the Parties shall negotiate in good faith to agree upon the fair market rental value.

If the Parties are unable to agree within thirty (30) days following the date of exercise, the fair market rental value shall be determined by an independent MAI-designated appraiser 3 or a licensed commercial real estate broker with at least ten (10) years of experience in the applicable submarket, mutually selected by the Parties, whose determination of fair market rental value shall be binding, and the Base Rent for the applicable Option Term shall equal the amount so determined. The cost of such appraiser or broker shall be shared equally by the Parties.

E. Annual Adjustments During Option Terms. Base Rent for the first (1st) year of each Option Term shall be the fair market rental value determined pursuant to subsections C and D above. Base Rent shall thereafter increase by three percent (3%) on the first (1st) and second (2nd) anniversaries of the commencement of that Option Term, so that Base Rent for the second (2nd) year equals one hundred three percent (103%) of the first (1st) year Base Rent, and Base Rent for the third (3rd) year equals one hundred three percent (103%) of the second (2nd) year Base Rent. Each such increase shall take effect on November 1, and no proration of Base Rent shall be required. The fair market rental value determined at the commencement of the Second Option Term shall be determined independently and without reference to the Base Rent payable during the First Option Term.

4. All other terms and conditions of the Lease between the Parties, which are not inconsistent with the terms of this Third Amendment, shall remain in full force and effect as if fully set forth herein.

5. Digital and Counterpart Signatures. Each party to this Agreement intends and agrees to the use of digital signatures that meet the requirements of the California Uniform Electronic Transactions Act (Civil Code §§ 1633.1, et seq.), California Government Code § 16.5, and California Code of Regulations Title 2 Division 7 Chapter 10, to execute this Agreement. The parties further agree that the digital signatures of the parties included in this Agreement are intended to authenticate this writing and to have the same force and effect as manual signatures for purposes of validity, enforceability, and admissibility. For purposes of this section, a "digital signature" is defined in subdivision (d) of Section 16.5 of the Government Code and is a type of "electronic signature" as defined in subdivision (h) of Section 1633.2 of the Civil Code. This Agreement may be executed in any number of counterparts, each of which will be an original, but all of which together will constitute one instrument. Each certified or authenticated electronic copy of an encrypted digital signature shall be deemed a duplicate original, constituting one and the same instrument and shall be binding on the parties hereto.
