SECOND AMENDMENT TO MASTER AGREEMENT

This SECOND AMENDMENT TO MASTER AGREEMENT (Second Amendment") is made and entered into this
OF RIVERSIDE, a California charter city and municipal corporation ("Customer"), and ECOLANE USA INC, a Delaware corporation authorized to do business in California ("Ecolane"), with reference to the following facts:

RECITALS
WHEREAS, on August 29, 2024, Customer and Ecolane entered into that certain Master Agreement ("Master Agreement") for a Web-Based, Hosted Scheduling Software and Video Surveillance System for Paratransit Service, with compensation in the amount of not to exceed Five Hundred Forty-Nine Thousand Three Hundred Eight Dollars and Fifty Cents ($549,308.50); and
WHEREAS, on January 29, 2026, Customer and Ecolane entered into that certain First Amendment to Master Agreement ("First Amendment") to amend the Scope of Work to include additional services, through a Order/Quote under the terms of the Master Agreement, and to increase compensation in the amount of not to exceed Forty-Eight Thousand Seven Hundred Ninety-Eight Dollars and Eighty Cents ($48,798.80) for the first year and Thirty-One Thousand Two Hundred Ninety-Eight Dollars and Eighty Cents ($31,298.80) per annum thereafter for the additional services, and Ten Thousand Dollars ($10,000.00) for optional training as needed, per annum; and
WHEREAS, Customer and Ecolane desire to amend the Master Agreement to add additional services and increase compensation as set forth in Order/Quote #1295 v5, in the one- time amount of Eight Thousand Five Hundred Dollars ($8,500.00) and annual amounts of Thirty- Two Thousand Six Hundred Forty Dollars ($32,640.00), and Order/Quote #1159, in the annual amount of Forty-Five Thousand Dollars ($45,000.00).

WHEREAS, the parties acknowledge that Order/Quote #1159, dated November 21, 2025, has expired by its terms, and the parties nonetheless agree that the pricing and terms therein are hereby ratified and shall apply as set forth in this Second Amendment.

NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated herein by this reference, Customer and Ecolane mutually agree as follows:

1. The Master Agreement is hereby amended by adding the additional services and increasing compensation as set forth in Order/Quote #1295 v5, in the one-time amount of Eight Thousand Five Hundred Dollars ($8,500.00) and annual amounts of Thirty-Two Thousand Six Hundred Forty Dollars ($32,640.00), and Order/Quote #1159, in the annual amount of Forty-Five Thousand Dollars ($45,000.00), attached hereto as Exhibit "A-2," and incorporated herein by this reference. Product descriptions contained in Order/Quote #1295 v5 and Order/Quote #1159, including any performance projections or compliance statements, are for informational purposes only and do not constitute warranties or performance guarantees. All warranties are governed exclusively by Section 12 of the Master Agreement. The document titled "Transit Tech Master Agreement" referenced in or attached to the Quotes is expressly excluded from this incorporation and shall have no force or effect between the parties.

All terms and conditions of the Agreement not inconsistent herewith shall remain in full force and effect and are hereby incorporated by reference into this Second Amendment as though set forth in full herein. In the event of any conflict between this Second Amendment and the Quotes attached as Exhibit "A-2," this Second Amendment shall control.

Additional Terms:

Implementation/Training Assumes 8 hrs. per day on-site excluding weekends and holidays.

All prices are in US dollars. All applicable sales/use taxes are additional and payment of such is the sole responsibility of the prime contractor.

Prime contractors may purchase tablets and airtime through a cellular provider. Prices for tablets range from $0 to $499 depending on carrier. Please coordinate your cellular provider/tablets with Ecolane prior to ordering hardware.

Upgrade and webinar training is included for upgrades; additional on-site or new employee training is charged using Training day rates as applicable.
* Data plan does not include web browsing, etc. A 2GB data plan is more than sufficient for the Ecolane Touchscreen MDT Software and Navigation.

The agency is responsible for the data plan and any overages unless otherwise noted.
