Description/Analysis
Issue Detail: A bridge over the American River at Truxel Road is a critical multi-mode mobility link to improve regional connections, as further described in the “Rationale for Recommendations” section of this report. The bridge has been part of City and regional plans for many years. In October 2021, the City, in partnership with the Sacramento Area Council of Governments (SACOG), applied for the Caltrans Sustainability Grant for a Feasibility Study for this project (Resolution 2021-0323). The Sacramento Regional Transit District pledged $10,000 towards match for the application in order to demonstrate their commitment and partnership towards the future crossing of the American River.

The City has since executed a subrecipient agreement with SACOG (C2022-1491) and the City will manage the project. In January 2023, the City established the Capital Improvement Project and budget for the project.

The multi-modal Truxel Bridge project includes the preparation of a comprehensive Engineering Feasibility Study to move the project closer to construction by identifying constraints, analyzing the

traffic impacts of feasible alignments, analyzing the hydraulic impacts of feasible alignments, determining necessary right-of-way, and developing preliminary cost estimates for budgeting and future grant cycles.

As the lead agency, the City advertised a competitive solicitation for proposals from professional planning and engineering teams to provide the necessary services to complete the concept and feasibility study. Based on the merits of the written proposals and subsequent interviews, a panel has recommended the top ranked consultant team. City Council approval is needed for the award of the consultant contract.

Policy Considerations: The Truxel Bridge is included in the 2035 General Plan and the regional Metropolitan Transportation Plan. The Truxel Bridge Concept and Feasibility Study will help advance City General Plan goals and key policies of promoting safety and enhancing livability, sustainability, and economic vitality. The project promotes providing multi-modal choices (General Plan M 1.2.1), facilitating multi-modal access (General Plan M. 1.2.4), eliminating gaps in the multi-modal network (General Plan M 1.3.2), removing barrier for accessibility (General Plan M 1.3.4), developing a cohesive and continuous pedestrian network (General Plan M 2.1.4), extending and enhancing light rail (General Plan M 3.1.15), balancing community social, environmental, and economic goals (General Plan M 4.1.2), conducting community outreach (General Plan M 4.1.3), collaborating with other agencies to plan bridge crossings (General Plan M 4.1.5), accommodating all users including bicyclists, pedestrians, transit riders, and motorists (General Plan M 4.2.1), providing a continuous bikeway network (General Plan M 5.1.3), and reducing motorists, bicyclists, and pedestrian conflicts.

Economic Impacts: None.

Environmental Considerations:

California Environmental Quality Act (CEQA): Entering into a professional services agreement for the Truxel Bridge Concept and Feasibility Study is not subject to the provisions of CEQA under sections 15060(c)(3) and 15262 (Feasibility and Planning Studies). Pursuant to CEQA Guidelines Section 15378(b)(4) the creation of government funding mechanisms or other governmental fiscal activities which do not involve any commitment to any specific project which may result in a potentially significant physical impact on the environment is not a project. The subject activity involves only feasibility or planning studies for possible future actions which the City has not approved, adopted, or funded.

Appropriate CEQA review and documentation will take place prior to approval of project development.

Sustainability: Transportation is responsible for 57% of Sacramento’s local greenhouse gas emissions, the single largest sector. Providing safe multi-modal transportation alternatives helps to reduce single-occupant vehicle use and contributes towards Sacramento’s climate change goals.

This feasibility study furthers the City’s commitment to sustainability by laying the groundwork to significantly reduce the use of fossil fuels, encourage less driving, reduce dependence on private automobiles, and support expansion of bicycle, pedestrian, and public transit access.

Commission/Committee Action: None.

Rationale for Recommendation: In 2013, the City of Sacramento completed the American River Crossing Alternatives Study, and the City Council adopted an all-modes (pedestrian, bicycle, auto, and light rail) Truxel alignment as the preferred new crossing of the Lower American River to pursue for funding consideration. This crossing is required to extend light rail service to Natomas and, ultimately, to the airport as well as to address the following needs:
· Limited connectivity across the Lower American River creates a barrier to economic activity, land use development, social exchanges, and access to jobs within the Central City and South Natomas. The barrier causes longer trip lengths between origins and destinations that are physically close, which discourages walking and bicycling, reduces public health, creates inefficient transit routing, consumes more fuel, and generates higher levels of air pollutants and Greenhouse gas (GHG) emissions due to the reliance on automobiles. · Limited connectivity across the Lower American River contributes to peak period travel delays on I-5.
· Limited connectivity across the Lower American River contributes to longer emergency response times and limits evacuation alternatives.
· Limited connectivity across the Lower American River creates a barrier to recreational opportunities within the American River Parkway.

On March 1, 2023, the Department of Public Works advertised a request for proposals for the competitive selection of a consultant firm to prepare the concept and feasibility study for the project.

Five firms responded:
· Dokken Engineering, Inc.
· Jacons Engineering Group Inc.
· Michael Baker International
· TYLin
· WSP USA, Inc.

All of the proposals were deemed responsive to the proposal requirements. A panel of City staff from the Department of Public Works reviewed and evaluated the consultant teams’ written proposals based upon experience, qualifications, project understanding, and work plan among other factors. Dokken Engineering was selected as the top ranked firm. It is anticipated that the concept and feasibility study will be completed in approximately 18 months.

Financial Considerations: The estimated cost to complete the Truxel Bridge Concept and Feasibility Study (T15235000) is $648,000. There is sufficient funding within the Truxel Bridge Concept and Feasibility Study (T15235000) to complete this phase of work and execute the professional services agreement with Dokken Engineering for a not-to-exceed amount of $558,668.

There are no General Funds currently allocated for this project.

Local Business Enterprise (LBE): Dokken Engineering is not an LBE but has partnered with two LBE’s, AIM and Fehr & Peers, for this contract to meet the minimum LBE requirement. AIM will provide 14% of the services. Fehr & Peers will provide 6.8% of the services.

The draft report will be submitted to the City and project stakeholders for review. Dokken will address comments provided by the City and stakeholders and produce the Final report to support the Feasibility Study.Deliverables: Preliminary Hydraulics Study ReportTask 4.5 Environmental Documentation Memo Dokken will use findings from public outreach, initial agency coordination, and background research to define sensitive environmental resources within the project footprint and determine the required technical studies, protocol surveys, and level of environmental documentation that will be needed during the PA&ED phase of the project. Following Caltrans protocol for federally funded projects, biological scoping will include online database searches from the United States Fish and Wildlife Service’s Information for Planning and Conservation (IPaC), the California Department of Fish and Wildlife’s California Natural Diversity Database (CNDDB), and the California Native Plant Society’s Rare Plant Inventory (CNPS – RPI). Site visits will be completed to assess if suitable habitat for each of the species returned by the database searches is present and to narrow down the list of species that may be affected by the project. Results of this effort will be used to scope which protocol surveys and species consultations will be needed during the PA&ED phase and to determine the type and scale of compensatory mitigation that will be needed. Initial cultural resource identification will encompass cultural database record searches from the North Central Information Center and the Sacred Lands File as well as tribal outreach early in the Feasibility Study Phase. A cost of $2,000 for this record search is included. These identification efforts will begin the process of evaluating the potential for project impacts to cultural resources as well tribal cultural landscapes. A major outcome of this early coordination will be a conceptual mitigation approach for tribal cultural resources and landscapes developed in concert with the tribes. This conceptual mitigation plan will be further developed and finalized during the PA&ED phase of the project. Results of biological and cultural resource identification efforts will be documented in a constraints exhibit that will be included in the Environmental Documentation Memo. In addition, a comprehensive list of required technical studies, consultations, mitigation requirements, and environmental documentation will be provided to guide the City through the following phases of environmental documentation. To accompany the scoping, we will provide the City with a schedule and cost estimate for the PA/ED, PS&E, and environmental mitigation phases so you know how much funding will need secured and what timeline can be expected. Lastly, Dokken’s environmental team will prepare a Caltrans Preliminary Environmental Study (PES) Form so the City has the scoping information in a format that can be used to gain Caltrans’ consensus and kick start the PA/ED phase. Deliverables: Environmental Documentation Memo; Preliminary Environmental StudyTask 4.6 Utility Investigation Dokken will perform a utility search for affected utilities in the project area, including a review of the utility work compiled for the previous study. The search will include a verification field review and review of available as-builts for the project area. Dokken will prepare a database of utility records indicating the type of utility, owner, drawing number, and other vital information. The identified utility companies will be sent a letter requesting information regarding existing and planned utilities. Using these the maps collected, in coordination with the information provided in the aerial survey, Dokken will plot the location of all existingfacilities on a utility base plan and identify potential utility conflicts that may affect the alignment and/or the cost of the project. way impacts for the alternative alignments. The right of way exhibit will provide enough detail to support the decision-making process and will define property acquisition/easement areas required for the project. This information will be used to support the development of the conceptual cost estimate.Deliverables: ROW Base FileTask 4.8Constructability AssessmentDokken will conduct a constructability review of the 3 project alternatives to identify the opportunities and challenges associated with each. The results of this review will be summarized in a draft Preliminary Constructability Memo and submitted to the City for review. Dokken will address comments provided by the City and produce the Final Preliminary Constructability Memo to support the Feasibility Study.Deliverables: Preliminary Constructability MemoTask 4.9 Conceptual Bridge Alternatives ReportFor each of the 3 alternative bridge concepts considered in the feasibility study, Dokken will prepare an Advance Planning Study (APS) drawing that will shows the elevation, plan view and typical section of each alternative. The drawings will not only show the type, span configuration and dimensions of each alternative, but will also include key site constraints, hydraulic clearances, US Coast Guard clearances and requirements, levee impacts and foundation types. As an optional task, Dokken will explore the feasibility of incorporating a movable or cable stay bridge as one of the structure alternatives.Deliverables: (3) Conceptual Bridge Advance Planning Study Drawings & Conceptual Bridge Alternative ReportTask 4.10 Geometric Alternatives Based upon the results of the traffic analysis, project mapping, geotechnical and hydraulic study, available data, and input from the City/stakeholders, Dokken will develop up to three conceptual alternative alignments for the project, taking into consideration: Typical Sections: Dokken will prepare alternative roadway cross sections that include a minimum width alternative for vehicles, bicycles, and pedestrians, as well as an alternative that provides for future transit such as BRT and/or light rail.Connections:Dokken will assess the street connections to north and south of the bridge and, based on the specific constraints at each location, as well as stakeholder feedback, Dokken will consider several connection options as part of the alternative alignments. Profile:Using information from the hydraulic analysis as well as various bridge options, Dokken will evaluatevarious vertical alignment options that may be incorporated into the project.Based on the elements above, Dokken will assess the topographic, environmental, hydraulic, fiscal, and right of way constraints, as well as stakeholder feedback, and will prepare three alignment alternatives. Exhibits will be prepared for each alternative to illustrate the alignments in plan, profile and typical section view and will incorporate a combination of engineering and landscape architecture graphics. The layout/plan view will be displayed on an aerial photo to present the alternatives to project stakeholders and for inclusion in the feasibility study.Deliverables: Geometric Layouts/Profiles/Typical SectionsTask 4.11 Cost Estimate Dokken will prepare a feasibility level cost estimate for each project alternative (three total) using the standard 11-page estimate format. The unit costs for construction items will be based on current bids. Costs will include all roadway and structural items, environmental mitigation, and right of way acquisition. Deliverables: Planning Level Cost Estimate Memo

Task 4.12 30% Conceptual Drawings Dokken will prepare 30% conceptual plans for the preferred alternative, including roadway plan and profile, typical sections, and bridge general plan. The roadway plans will include the location of any anticipated retaining walls and the footprint of all anticipated cut/fill lines.Deliverables: 30% Conceptual Drawings TASK 5.0 FUNDING STRATEGY 5.1 Research and Identify Funding Sources Based on the combined experience and connections of our funding experts, Dokken will research and develop a comprehensive list of funds and a plan to acquire resources for the project. This is anticipated to include the following activities: Identify and recognize the possible land use/right of way issues, potential project phasing, projected costs, and timeframe for each of these elements affecting the feasibility of the Truxel Road Bridge. Review the users, features, opportunities, and merits of the project that could provide a competitive advantage to the project. Using our contacts and resources throughout the region, conduct brief interviews/discussions with City, Sacramento Area Council of Governments (SACOG), Caltrans, Regional Transit, and Sacramento Countyto discuss potential options for funding the various development phases of the project. Identify the VMT reduction potential based on the traffic data for the project alternatives and use the data to assess the project’s ability to attract Caltrans mitigation funding. Leverage our team’s knowledge of funding mechanisms to assure funds are timely and in-house when needed. Using this information, Dokken’s team of funding experts will formulate recommendations on how to classify, frame, and leverage the project to maximize its competitiveness for the various discretionary funding sources. Potential funding sources will be summarized, identifying type of funding, project components or specific design elements that would qualify for the funding, process requirements, match fund requirements, and application cycle deadlines. 5.2 Funding Strategy Based on the information collected in Task 5.1, Dokken will create a funding strategy that will serve as a roadmap to guide successful funding acquisition. The strategy will match funds to phases and include timeframes to illustrate how project phases line up with funding schedules. A comprehensive list of funding sources with a summary of guidelines and goals of the particular funding source will be created. Competitive advantages and, for example, how the project addressed equity, environmental concerns, and innovation, will be highlighted to ensure continuity with guidelines and goals. Funding sources will also be categorized based on what phase of the project is the most optimal match. In addition to funding sources, the funding strategy will include recommendations for reducing opposition and marketing the project to politicians and decision-making agencies. The comprehensive funding strategy will be summarized in a draft memorandum that will be provided to the City and other stakeholders for review. The team will address one round of comments and submit a final funding strategy to the City.Deliverable: Funding Strategy Memo

It is further understood and agreed by the parties that CONTRACTOR, in the performance of its obligations, is subject to the City’s control and direction as to the designation of tasks to be performed and the results to be accomplished under this Contract, but not as to the means, methods, or sequence used by CONTRACTOR for accomplishing the results. To the extent that CONTRACTOR obtains permission to, and does, use CITY facilities, space, equipment or support services in the performance of this Contract, this use will be at the CONTRACTOR’s sole discretion based on the CONTRACTOR’s determination that the use will promote CONTRACTOR’s efficiency and effectiveness. Except as may be specifically provided elsewhere in this Contract, the CITY does not require that CONTRACTOR use CITY facilities, equipment or support services or work in CITY locations in the performance of this Contract. As used in this Contract, "sole discretion" or "sole judgment" means that the party authorized to exercise its discretion or judgment may do so based on an unfettered assessment of its own interests, without considering how its decision affects the other party, and unconstrained by the implied covenant of good faith and fair dealing. C. If, in the performance of this Contract, any third persons are employed by CONTRACTOR, such persons will be entirely and exclusively under the direction, supervision, and control of CONTRACTOR. Except as otherwise provided in this Contract, all terms of employment, including hours, wages, working conditions, discipline, hiring, and discharging, or any other terms of employment or requirements of law, shall be determined by CONTRACTOR. It is further understood and agreed that CONTRACTOR will issue W-2 or 1099 Forms for income and employment tax purposes for all CONTRACTOR’s assigned personnel and subcontractors. D. The provisions of this section will survive any expiration or termination of this Contract. Nothing in this Contract creates an exclusive relationship between CITY and CONTRACTOR. CONTRACTOR may represent, perform services for, or be employed by

Form Approved by City Attorney 9-1-2020 Exhibit D - Page 2 any additional persons or companies so long as CONTRACTOR does not violate the provisions of Section 5, below. 2. Licenses; Permits, Etc. CONTRACTOR represents and warrants that CONTRACTOR has, and shall maintain at all times during the term of this Contract at its sole cost and expense, all licenses, permits, qualifications, and approvals of any nature that are legally required for CONTRACTOR to practice its profession or fulfill the terms of this Contract, including a City Business Operations Tax Certificate and any required certification issued by the California Secretary of State. 3. Time. Time is off the essence in the performance of this Contract. CONTRACTOR shall devote the necessary time and effort to its performance under this Contract. Neither party will be considered in default of this Contract, to the extent that party’s performance is prevented or delayed by any cause, present or future, that is beyond the reasonable control of that party. 4. CONTRACTOR Not Agent. Except as CITY may specify in writing, CONTRACTOR and CONTRACTOR’s personnel have no authority, express or implied, to act on behalf of CITY in any capacity whatsoever as an agent. CONTRACTOR and CONTRACTOR’s personnel shall have no authority, express or implied, to bind CITY to any obligations whatsoever. 5. Conflicts of Interest. CONTRACTOR covenants that neither it, nor any officer or principal of its firm, has or will acquire any interest, directly or indirectly, that would conflict in any manner with the CITY’s interests or that would in any way hinder CONTRACTOR’s performance under this Contract. CONTRACTOR further covenants that in the performance of this Contract, no person having any such interest will be employed by it as an officer, employee, agent or subcontractor, without the City’s written consent. CONTRACTOR agrees to avoid conflicts of interest or the appearance of any conflicts of interest with the City’s interests during the performance of this Contract. If CONTRACTOR is or employs a former officer or employee of the CITY, CONTRACTOR and any former City officer or employee shall comply with the provisions of Sacramento City Code Section 2.16.090 pertaining to appearances before the City Council or any CITY department, board, commission, or committee. 6. Hazardous Substances. "Hazardous Substances" means any substance, material, waste, or other pollutant or contaminant that is or becomes designated, classified, or regulated as hazardous or toxic under any law, regulation, rule, order, decree, or other governmental requirement now in effect or later enacted. If Contractor is shipping Hazardous Substances, Contractor must supply a Safety Data Sheet ("SDS") with the first shipment of Hazardous Substances to each City location receiving the Hazardous Substances. If the content of an SDS is revised, Contractor must provide a revised SDS to each City location receiving Hazardous Substances. 7. Confidentiality of CITY Information. During performance of this Contract, CONTRACTOR may gain access to and use CITY information regarding inventions, machinery, products, prices, apparatus, costs, discounts, future plans, business affairs, governmental affairs, processes, trade secrets, technical matters, systems, facilities, customer lists, product design, copyright, data, and other vital information (hereafter collectively referred to as “City Information”) that are valuable, special and unique assets of the CITY.

Form Approved by City Attorney 9-1-2020 Exhibit D - Page 3 CONTRACTOR agrees to protect all City Information and treat it as strictly confidential, and further agrees that CONTRACTOR shall not at any time, either directly or indirectly, divulge, disclose or communicate in any manner any City Information to any third party without the City’s prior written consent. In addition, CONTRACTOR must comply with all CITY policies governing the use of the CITY network and technology systems, as set forth in applicable provisions of the City of Sacramento Administrative Policy Instructions # 30. A violation by CONTRACTOR of this section is a material violation of this Contract and shall justify legal and equitable relief. 8. CONTRACTOR Information. A. CITY shall have full ownership and control, including ownership of any copyrights, of all information prepared, produced, or provided by CONTRACTOR under this Contract. In this Contract, the term “information” means and includes: any and all work product, submittals, reports, plans, specifications, and other deliverables consisting of documents, writings, handwritings, typewriting, printing, photostatting, photographing, computer models, and any other computerized data and every other means of recording any form of information, communications, or representation, including letters, works, pictures, drawings, sounds, or symbols, or any combination thereof. CONTRACTOR shall not be responsible for any unauthorized modification or use of such information for other than its intended purpose by CITY. B. CONTRACTOR shall fully defend, indemnify and hold harmless CITY, its officers and employees, and each of them, from and against any and all claims, actions, lawsuits or other proceedings alleging that all or any part of the information prepared, produced, or provided by CONTRACTOR under this Contract infringes upon any third party’s trademark, trade name, copyright, patent or other intellectual property rights. CITY shall make reasonable efforts to notify CONTRACTOR not later than ten days after CITY is served with any such claim, action, lawsuit or other proceeding. However, City’s failure to provide notice within the ten-day period does not relieve CONTRACTOR of its obligations hereunder, which survive any termination or expiration of this Contract. C. All proprietary and other information received from CONTRACTOR by CITY, whether received in connection with CONTRACTOR’s proposal to CITY or in connection with Contractor’s performance, will be disclosed upon receipt of a request for disclosure, in accordance with the California Public Records Act; provided, however, that, if any information is set apart and clearly marked “trade secret” when it is provided to CITY, CITY shall give notice to CONTRACTOR of any request for the disclosure of such information. The CONTRACTOR will then have five days from the date it receives notice to petition the court for a protective order to prevent the disclosure of the information. The CONTRACTOR shall have sole responsibility for defense of the actual “trade secret” designation of such information. D. The parties understand and agree that any failure by CONTRACTOR to respond to the notice provided by CITY and seek a protective order, in accordance with the provisions of subsection C, above, constitutes a complete waiver by CONTRACTOR of any rights regarding the information designated “trade secret” by CONTRACTOR, and the

Form Approved by City Attorney 9-1-2020 Exhibit D - Page 4 information will be disclosed by CITY in accordance with the Public Records Act. 9. Notification of Material Changes in Business. Contractor agrees that if it experiences any material changes in its business, including a reorganization, refinancing, restructuring, leveraged buyout, bankruptcy, name change, or loss of key personnel, it will immediately notify the City of the changes. Contractor also agrees to immediately notify the City of any condition that may jeopardize the scheduled delivery or fulfillment of Contractor's obligations to the City under this Contract. 10. CONTRACTOR shall perform in the manner and according to the standards currently observed by a competent practitioner of CONTRACTOR’s profession in California and in compliance with all requirements of this Contract. All products that CONTRACTOR delivers to CITY under this Contract must be prepared in a professional manner and conform to the standards of quality normally observed by a person currently practicing in CONTRACTOR’s profession. CONTRACTOR shall assign only competent personnel to perform on its behalf under this Contract. CONTRACTOR must notify the CITY in writing of any changes in CONTRACTOR’s staff assigned to perform under this Contract, before any performance by the new staff member. If the CITY, in its sole discretion, determines that any person assigned by the Contractor to perform under this Contract is not performing in accordance with the standards required herein, City shall provide notice to Contractor. CONTRACTOR shall immediately remove the assigned person upon receipt of the notice. 11. Performance or Different Terms and Conditions. The City's subsequent performance will not be construed as either acceptance of additional or different terms and conditions or a counteroffer by the Contractor, nor will the City's subsequent performance be viewed as acceptance of any provision of the Uniform Commercial Code, as adopted by any State, that is contrary to the terms and conditions contained herein. Contractor's performance shall conform to the applicable requirements of the Sacramento City Charter, Sacramento City Code, and all applicable State and Federal laws, and all the requirements of this Contract. The California Commercial Code will apply except as otherwise provided in the Contract. 12. Emergency/Declared Disaster Requirements. If an emergency is declared by the City Manager, or if any portion of the City is declared a disaster area by the county, state or federal government, this Contract may be subjected to increased usage. The Contractor shall serve the City during a declared emergency or disaster, subject to the same terms and conditions that apply during non- emergency / non-disaster conditions. The pricing set forth in this Contract will apply, without mark-up, regardless of the circumstances. If the Contractor is unable to fulfill the terms of the Contract because of a disruption in its chain of supply or service, then the Contractor shall provide proof of the disruption. Acceptable forms of proof will include a letter or notice from the Contractor's source stating the reason for the disruption 13. Term; Suspension; Termination. A. Upon receipt of such notice, CONTRACTOR shall immediately suspend its activities under this Contract, as specified in the notice. C. The CITY shall have the right to terminate this Contract at any time by giving a written notice of termination to CONTRACTOR. Upon receipt of such notice, CONTRACTOR shall immediately cease performance under this Contract as specified in the notice. If the CITY terminates this Contract: (1) CONTRACTOR shall, not later than five days after receipt of the notice, deliver all information prepared under this Contract to the City. (2) The CITY shall pay CONTRACTOR the reasonable value of Goods or Services provided by CONTRACTOR before termination; provided, however, CITY shall not in any manner be liable for lost profits that might have been made by CONTRACTOR had the Contract not been terminated or had CONTRACTOR completed performance required by this Contract. CONTRACTOR shall furnish to the CITY any financial information requested by the City to determine the reasonable value of the Goods or Services provided by CONTRACTOR. The foregoing is cumulative and does not affect any right or remedy that CITY may have in law or equity. 14. Default by Contractor. In case of default by the Contractor, the City reserves the right to procure the Goods or Services from other sources and deduct from any monies due, or that may thereafter become due to the Contractor, the difference between the price named in this Contract and the actual cost to the City to procure from an alternate source. Prices paid by the City will be considered the prevailing market price at the time such purchase is made. 15. Indemnity. A. Indemnity: Contractor shall defend, hold harmless, and indemnify City, its officers, and employees, and each and every one of them, to the fullest extent permitted under law, from and against all actions, damages, costs, liabilities, claims, demands, losses, judgments, penalties, and expenses of every type and description, whether arising on or off the site of the work or services performed under this Contract, including any fees and costs reasonably incurred by City’s staff attorneys or outside attorneys and any fees and expenses incurred in enforcing this provision (hereafter collectively referred to as “Claims”), including Claims for personal injury or death, damage to personal, real, or intellectual property, damage to the environment, contractual or other economic damages, or regulatory penalties, that arise out of, pertain to, or relate to any negligent act or omission, recklessness, or willful misconduct related in any way to the performance of or failure to perform this Contract by Contractor, any subcontractor (including lower-tier subcontractors) or agent of Contractor, their respective officers and employees, and anyone else for whose acts of omissions any of them may be liable, whether or not the Claims are litigated, settled, or reduced to judgment; provided that the foregoing indemnity does not apply to liability for damages for death or bodily injury

While Contractor’s defense costs ordinarily cannot exceed Contractor’s proportionate percentage of fault, if one or more defendants is unable to pay its share of defense costs due to bankruptcy or dissolution, the Contractor shall meet and confer with the City and other parties regarding the unpaid defense costs. B. Insurance Policies; Intellectual Property Claims: The existence or acceptance by City of any of the insurance policies or coverages described in this Contract will not affect or limit any of City’s rights under this Section, nor will the limits of any insurance limit the liability of Contractor hereunder. This Section will not apply to any intellectual property claims, actions, lawsuits or other proceedings subject to the provisions of the Contractor Information Section, above. C. Survival. The provisions of this section will survive any expiration or termination of this Contract. 16. Funding Availability. A. F. Incorporation of Provisions: CONTRACTOR shall include the provisions of subsections A through E, above, in every subcontract, including procurement of materials and leases of equipment, unless exempted by the Regulations, or by any order or instructions issued pursuant thereto. The City may direct CONTRACTOR to take specific actions to enforce these provisions, including sanctions for noncompliance; provided, however, that if CONTRACTOR becomes involved in, or is threatened with, litigation with a subcontractor or supplier as a result of such direction, CONTRACTOR may request that the CITY join such litigation to protect the City’s interests. 18. Entire Agreement. This Contract, including all Exhibits and documents referenced herein, contains the entire agreement between the parties and supersedes whatever oral or written understanding they may have had before the execution of this Contract. No alteration to the terms of this Contract shall be valid unless approved in writing by CONTRACTOR, and by CITY, in accordance with applicable provisions of the Sacramento City Code. 19. Modification of Contract. The Contractor shall take no direction from any City employee that changes the executed terms and conditions of the Contract, including Exhibit A, or any change that impacts the cost, price, or schedule, before receiving a written, signed modification to the Contract. 20. Neither the CITY’s acceptance of, or payment for, any Goods or Services, nor any waiver by either party of any default, breach or condition precedent, will be construed as a waiver of any provision of this Contract, nor as a waiver of any other default, breach or condition precedent or any other right hereunder. No waiver will be effective unless it is in writing and signed by the waiving party. 22. Governing Law. This Contract shall be governed, construed and enforced in accordance with the laws of the State of California, except that the rule of interpretation in California Civil Code section 1654 will not apply. Venue of any litigation arising out of this Contract will lie exclusively in the state trial court or Federal District Court located in Sacramento County in the State of California, and the parties consent to jurisdiction over their persons and over the subject matter of any such litigation in such courts, and consent to service of process issued by such courts. 23. Assignment Prohibited. The expertise and experience of CONTRACTOR are material considerations for this Contract. CITY has a strong interest in the qualifications and capability of the persons and entities that will fulfill the obligations imposed on CONTRACTOR under this Agreement. In recognition of this interest, CONTRACTOR shall not assign any right or obligation pursuant to this Contract without the written consent of the CITY.
