Supplemental Agreements and a Budget Adjustment for the Drainage Sump Rehabilitation & Replacement Program (W14130600) Related to the Sump 151 and Sump 155 Outfall Replacement Projects

Recommendation: Adopt a Resolution 1) authorizing the Interim City Manager or designee to execute the following Supplemental Agreements for projects in the Drainage Sump Rehabilitation & Replacement (R&R) Program (W14130600): a) Supplemental Agreement No. 1 to City Agreement 2024-0041 with Brown and Caldwell for an amount not-to-exceed $156,274, bringing the agreement’s total not-to-exceed amount to $398,988 for construction management, inspection, and material testing services for the Sump 151 Outfall Replacement Project; b) Supplemental Agreement No. 1 to City Agreement 2024-0969 with Brown and Caldwell for an amount not-to-exceed $75,210, bringing the agreement’s total not-to-exceed amount to $317,733 for construction management, inspection and material testing services for the Sump 155 Outfall Project; and c) Supplemental Agreement No. 11 to City Agreement 2020-1399 with Peterson Brustad, Inc. (PBI) for an amount not to exceed $46,242, bringing the agreement’s total not-to-exceed amount to $1,617,676 for engineering and construction support for the Pump Outfalls Replacement Project; 2) resetting the Interim City Manager’s authority to issue supplemental agreements for City Agreements 2024-0041, 2024-0969, and 2020-13399; 3) complete a budget transfer in the amount of $570,000 from the Drainage Base CIP Contingency Project (W14000200, Fund 6021) to the Drainage Sump R&R Program (W14130600, Fund 6021); and 4) authorizing the Interim City Manager or designee to execute additional change orders for T&S Construction under contract 2023-1701 in an amount not to exceed $65,000 to compensate the contractor for additional costs incurred for the Sump 151 Outfall Replacement Project.

Description/Analysis
Issue Detail: Additional engineering, construction management, inspection, and material testing services are necessary to complete the Sump 151 and Sump 155 Outfall Replacement Projects in the Drainage Sump R&R Program (W14130600) due in large part to construction taking longer than expected. Staff recommends Council approve both Supplemental Agreements No. 1 with Brown and Caldwell and Supplemental Agreement No. 11 with Peterson Brustad, Inc. (PBI).
In addition, staff recommends a budget transfer of $570,000 from Base CIP Contingency-Drainage Program (W14000200, Fund 6021) to Drainage Sump Replacement/Rehabilitation Program (W14130600, Fund 6021) to provide sufficient funding to complete the projects.
Policy Considerations: The proposed supplemental agreements and budget transfers exceed the City Manager’s approval authority, requiring Council approval per City Code 3.04.020.
Economic Impacts: None.
Environmental Considerations: Per the California Environmental Quality Act (CEQA) Guidelines Section 15061(b)(3), approval of the proposed Supplemental Agreements are exempt from the CEQA, under the general rule that CEQA only applies to actions with potential to significantly affect the environment. Approval of this Supplemental Agreement for additional engineering services will not affect the environment. Improvements associated with this project were evaluated in a mitigated negative declaration (MND) that was adopted by City Council on August 10, 2021 (Resolution No. 2021-0245).
Sustainability: The proposed project is consistent with the 2040 General Plan <https://www.cityofsacramento.gov/community-development/planning/long-range/general-plan/2040- general-plan> under policy PFS-3.1 as it improves pumping capacity for peak storm flows, improves service and infrastructure reliability, and increase redundancy.
Commission/Committee Action: Not applicable.
Rationale for Recommendation: The Department of Utilities (DOU) owns, operates, and maintains the 106 drainage sump stations within the city. The outfalls from the sump stations are the single point of discharge for storm water from their respective basins. The outfall pipes penetrate and cross major levees along the Sacramento River, American River, Natomas East Main Drainage Canal,

Arcade Creek, and Morrison Creek.
City staff has an ongoing requirement to inspect all outfalls that penetrate and cross major levees on a 5-year cycle as mandated by the US Army Corps of Engineers (USACE). During inspection of several outfalls, many were noted to be in failing condition or in danger of imminent failure. Peterson Brustad Inc. was hired to provide design and construction engineering services for the replacement of those outfalls, which included Sumps 155 and 151 . A construction contractor was hired at the beginning of 2024 to complete the replacements for 151 and 155, and Brown and Caldwell was subsequently hired to provide inspection and construction management. Construction has gone slightly longer than anticipated so additional funds are needed to allow Brown and Caldwell to continue construction management and inspection to assist in close out of the project.
The supplemental agreements will provide additional engineering design and construction support services, and construction management, inspection, and materials testing services for the Sump 151 and Sump 155 Outfall Replacement projects.
Financial Considerations: There are three proposed supplemental agreements included for approval related to the Drainage Sump R&R Program (W14130600) as follows:
Brown and Caldwell City Agreement 2024-0041 is for the Sump 151 Outfall Replacement Project with an original not-to-exceed amount of $242,714. The proposed Supplemental Agreement No. 1, in the amount of $156,274, will increase the agreement not-to-exceed amount to $398,988.
Brown and Caldwell City Agreement 2024-0969 is for the Sump 155 Outfall Replacement Project with an original not-to-exceed amount of $242,523. The proposed Supplemental Agreement No. 1, in the amount of $75,210, will increase the agreement not-to-exceed amount to $317,733.
Finally, the Peterson Brustad, Inc. City Agreement 2020-1399 is for the Pump Outfalls Replacement Project with an original not-to-exceed amount of $710,829. The proposed Supplemental Agreement No. 11, for an amount not to exceed $46,242, will increase the agreement’s total not-to-exceed amount to $1,617,676.
In addition, a budget transfer of $570,000 from Base CIP Contingency-Drainage Program (W14000200, Fund 6021) to Drainage Sump Replacement/Rehabilitation Program (W14130600, Fund 6021) is required to provide sufficient funding for the completion of the Sump 151 and Sump 155 Outfall Replacement Projects.
There are no General Funds planned or allocated for this project.
Local Business Enterprise (LBE): Brown and Caldwell is not an LBE, but has partnered with an LBE, Twining, Inc., and PBI is not an LBE, but has partnered with an LBE, SWCA for these contracts

to exceed the minimum LBE participation requirement. Twining, Inc. is providing material testing and quality assurance and SWCA is providing environmental compliance and regulatory permitting support services for these projects.

The City of Sacramento ("City") and Peterson Brustad, Inc.("Contractor"), as parties to that certain Professional Services Agreement designated as Contract Number 2020-1399, including any and all prior supplemental contracts modifying the contract (the contract and all supplemental contracts are hereafter collectively referred to as the " Contract"), hereby supplement and modify the Contract as follows:
1. The Scope of Services specified in Exhibit A of the Contract is amended as follows:
Additional Scope is added as Attachment 12 to Exhibit A, attached hereto and incorporated herein by this reference.
Funding for this additional Scope is outlined in Attachment 10 to Exhibit B, attached hereto and incorporated herein by this reference.
2. In consideration of the additional and/or revised services described in section 1, above, the maximum not -to-exceed amount that is specified in Exhibit B of the Contract for payment of Contractor's fees and expenses, is increased by $46,242.00, and the Contract’s maximum not-to-exceed amount is amended as follows:
Agreement's original not-to-exceed amount: $710,829.00
Net change by previous supplemental contracts: $860,605.00 Not-to-exceed amount prior to this supplemental contract: $1,571,434.00 Increaseby this supplemental contract: $46,242.00
New not-to exceed amount including all supplemental contracts: $1,617,676.00
3. Contractor agrees that the amount of increase or decrease in the not- to-exceed amount specified in section 2, above, shall constitute full compensation for the additional and/or revised services specified in section 1, above, and shall fully compensate Contractor for any and all direct and indirect costs that may be incurred by Contractor in connection with such additional and/or revised services, including costs associated with any changes and/or delays in schedules or in the delivery of other services by Contractor.
4. Contractor warrants and represents that the person or persons executing this supplemental contract on behalf of Contractor has or have been duly authorized by Contractor to sign this supplemental contract and bind Contractor to the terms hereof.
5. Except as specifically revised herein, all terms and conditions of the Contract shall remain in full force and effect, and Contractor shall perform all of the services, duties, obligations, and conditions required under the Contract, as supplemented and modified by this supplemental contract.

Dear Peter,
We are pleased to submit to you our proposal for additional engineering services during construction for Sump 151 and Sump 155 of the Pump Outfall Replacement Project. The original scope of work assumed that construction would be completed by November of 2024; however, PBI has continued to support the project into February , and construction is substantially complete. The additional engineering services provided are summarized below:
Task 7 - Engineering Services During Construction (Sump 151)
7.7 Environmental Monitoring by Designated Biologist – SWCA will provide an additional 63 hours of construction spot checks from December 2024 to February 2025. This also includes continued coordination with CDFW and permit close out reports.
7.8 On-going Engineering Support During Construction – PBI will provide construction support on an as-needed basis to help develop as-built drawings and facilitate project close out at Sump 151.
Deliverables: As-built drawings (digital only)
Assumptions:
• All work to be completed by February 15, 2025
• Monitoring will be limited to specific tasks and hours, with one biologist covering multiple sites.

Supplemental Agreements and a Budget Adjustment for the Drainage Sump Rehabilitation & Replacement Program (W14130600) related to the Sump 151 and Sump 155 Outfall Replacement Projects
BACKGROUND
A. The Drainage Sump Rehabilitation & Replacement (R&R) Program (W14130600) contains two projects, the Sump 151 and Sump 155 Outfall Replacement Projects. that the projects consist of removing and replacing the outfall pipes, because the existing pipes are beyond their service life and are near failure. These projects also include installation of new valves, vaults, and outfall structures.
B. Extra work and additional time needed to complete the projects has caused a need for additional engineering, construction management, inspection, and material testing services with Brown and Caldwell and Peterson Brustad, Inc.
C. Each project will require a final change order, which requires resetting of the administrative authority.
D. A budget transfer of $570,000 is required to provide sufficient funds to accommodate the completion of the projects.
E. A final contract change order for T&S Construction under contract 2023-1701 is currently being negotiated, which will bring the total change order expenditure above the contract spending authority. The total amount for the change order is expected to be $65,000, which brings the total change orders for the project to approximately $306,000, $2,200 above the authority. Per City Code 3.60.240, “Variance.” The city council may, by resolution, modify the limitations of the city manager’s authority to issue change orders for a specific identified contract or contracts where the city council finds that the circumstances are such that a variance is appropriate.
BASED ON THE FACTS SET FORTH IN THE BACKGROUND, THE CITY COUNCIL RESOLVES AS FOLLOWS:
Section 1. The Interim City Manager or designee is authorized to execute the following supplemental agreements related to the Drainage Sump R&R Program (W14130600):

a. Brown and Caldwell City Agreement 2024-0041 for the Sump 151 Outfall Replacement Project with an original not-to-exceed amount of $242,714.
The proposed Supplemental Agreement No. 1, in the amount of $156,274, will increase the agreement not-to-exceed amount to $398,988.
b. Brown and Caldwell City Agreement 2024-0969 for the Sump 155 Outfall Replacement Project with an original not-to-exceed amount of $242,523.
The proposed Supplemental Agreement No. 1, in the amount of $75,210, will increase the agreement not-to-exceed amount to $317,733.
c. Peterson Brustad, Inc. City Agreement 2020-1399 for the Pump Outfalls Replacement Project with an original not-to-exceed amount of $710,829.
The proposed Supplemental Agreement No. 11, for an amount not to exceed $46,242, will increase the agreement’s total not-to-exceed amount to $1,617,676.
Section 2. The Interim City Manager’s authority to issue change orders for City Agreements 2024-0041, 2024-0969, and 2020-1399 is reset.
Section 3. The Interim City Manager or designee is authorized to transfer $570,000 from Base CIP Contingency-Drainage Program (W14000200, Fund 6021) to the Drainage Sump R&R Program (W14130600, Fund 6021).
Section 4. The Interim City Manager or designee is authorized to execute additional change orders for T&S Construction under contract 2023-1701 in an amount not to exceed $65,000 to compensate the contractor for additional costs incurred for the Sump 151 Outfall Replacement Project.
