Issue Detail: The I Street Bridge Replacement Project represents a significant, once-in-a-generation public infrastructure investment to construct a new movable bridge over the Sacramento River, providing an essential connection between the cities of Sacramento and West Sacramento. The project supports major transit-oriented and infill development within the regional core and will facilitate community revitalization, economic growth, and improved mobility. The new crossing will enhance multimodal access to regional rail and transit facilities, major healthcare centers, and riverfront amenities, while providing safe and direct routes for pedestrians, cyclists, emergency responders, and transit vehicles. Construction activities are anticipated to generate several hundred high-wage jobs and contribute to sustained regional economic activity. Funding for the project is primarily derived from federal and state transportation programs.

Over the past decade, the California Department of Transportation (Caltrans) has programmed federal Highway Bridge Program (HBP) funds to support preliminary engineering, environmental permitting, and right-of-way acquisition. Most recently, Caltrans issued a Funding Commitment Letter identifying $250 million in HBP funds for project construction. In addition, on June 27, 2025, the California Transportation Commission (CTC) awarded $25 million in competitive State Local Partnership Program (LPP) funds. Contractor bids for construction are currently being solicited, with construction anticipated to begin this summer.

These recent funding commitments enable the City to proceed with construction in 2026, contingent upon the establishment of interim financing to support construction cash-flow needs. Caltrans has subsequently issued a revised Funding Commitment Letter outlining conditions and timelines for federal reimbursement. Under this structure, the City is expected to receive at least $40 million annually, subject to statewide HBP delivery and future federal transportation act reauthorization.

Because projected annual construction expenditures exceed annual programmed reimbursements, the City requires a financing agreement through the Sacramento Transportation Authority (STA) to ensure sufficient working capital. Financing costs incurred by the City, such as interest, are not eligible for reimbursement from grant funds.

Staff recommend execution of an agreement with STA to advance Measure A funds and establish the framework and terms for subsequent financing implementation agreements. This action will allow STA to initiate procurement of financing proposals for future City review and potential approval. Staff will return to the City Council later this year with specific financing agreements requiring Council

action.

An overview of these forthcoming financial actions was previously presented to the City Council on July 29, 2025. Additionally, the Council approved the CTC baseline agreements and the Caltrans funding commitment letter at its September 16, 2025 meeting.

On June 27, 2025, the CTC approved $25 million in LPP competitive grant funding, and the allocation of those funds was finalized at the CTC’s March 15, 2026 meeting.

Environmental mitigation procurement is also required before issuance of permits necessary to begin construction. City staff and the consultant team have identified the most cost-effective mitigation banks for acquisition of required credits. Mitigation purchase and reservation agreements are needed to fulfill these requirements. For mitigation reservations, the California Department of Fish and Wildlife (CDFW) requires a surety equal to the full cost of the mitigation credits prior to permit issuance. CDFW also requires additional surety for mitigation elements outside of bank purchases, including those benefiting white sturgeon habitat. These sureties may be provided through a line of credit or an escrow account naming CDFW as a party.

Mark Thomas and Company was awarded a professional services agreement (City Agreement No. 2014-0244) in March 2014 to provide preliminary engineering, environmental clearance, and final design services. As the project enters the construction phase, a supplemental agreement is required to provide continued design support and public outreach throughout construction.

Policy Considerations: General Plan Policy M-5.1 Regional Mobility System states that the City shall partner with adjacent cities and other partners to plan and operate a cohesive regional mobility system. Policy M-5.3 Bridges states that the City shall maintain existing bridges and plan and seek funding for new bridges, when appropriate, to improve multimodal connectivity and provide for emergency evacuation routes.

This project will provide a new multi-modal bridge, crossing the river between C Street in West Sacramento to Railyards Boulevard in Sacramento. The new bridge is included in the Mobility Element of the General Plan, the Railyards Specific Plan, Transportation Priorities Plan, and the Active Transportation Plan.

Economic Impacts: The project supports regional economic development by improving access to the Railyards development area and surrounding employment centers. Construction activities are expected to generate construction employment and related economic activity. There is no direct impact to the City General Fund associated with this action.

Environmental Considerations:

California Environmental Quality Act (CEQA): The City Council certified an Environmental Impact Report (EIR) and adopted a Mitigation Monitoring Program for the I Street Bridge Replacement

Page 3 of 5 ends

File ID: 2026-00790 4/14/2026
Project in compliance with CEQA on June 25, 2019 (Resolution No. 2019-0276). Following certification of the EIR, Staff filed a Notice of Determination with the Sacramento County Clerk on July 2, 2019. The current action consists of steps to implement the project that was approved and is consistent with the analysis contained in the certified EIR. No further environmental review is required.

As a responsible agency the City of West Sacramento also has permit jurisdiction or authorization over certain aspects of the project. The City of West Sacramento approved the EIR on August 7, 2019, and adopted the Findings and Notice of Determination authorizing the project within their jurisdiction. On November 16, 2022, the City of West Sacramento approved minor revisions to the local circulation access.

National Environmental Policy Act (NEPA): The project is funded in part by federal funds. As a result, the project is also subject to requirements of the NEPA. Caltrans is the delegated lead agency for NEPA documentation. On June 10, 2019, Caltrans approved a Final Environmental Assessment (FEA) / Finding of No Significant Impact (FONSI) for the Project pursuant to the requirements of NEPA. The NEPA document was revalidated by Caltrans in February 2023 and September 2025.

Sustainability: The project is consistent with the City’s sustainability goals to support direct connections that support infill development, promote walking and bicycling, and access to transit. The project will reduce dependence on private automobiles, decrease the use of fossil fuels, and help meet air quality standards by providing an array of transportation choices near jobs for a balanced, healthy city.

While supporting substantial new infill development, the bridge will result in an overall reduction in Vehicle Miles Travelled (VMT) and support reductions in greenhouse gas emissions and other pollutants.

Commission/Committee Action: The I Street Bridge Replacement Project was reviewed by the Active Transportation Commission on June 29, 2019, and on September 17, 2020. The project was presented to the Disabilities Advisory Commission for review and comment on May 4, 2022.

Comments included consideration of sidewalks connecting to the bridge be accessible and review of any gaps in the sidewalk network approaching the bridge.

Rationale for Recommendation: The Agreement for Advancement of Measure A Funds with the Sacramento Transportation Authority (STA) establishes the framework, conditions, and roles and responsibilities of each partner agency for the solicitation and procurement of project financing agreements for the I Street Bridge Replacement Project (T15136000). This agreement, along with the subsequent financing agreement, is necessary for the City to deliver the project through construction while awaiting reimbursement from programmed state and federal grant sources.

Services, as well as the surety instruments required by the California Department of Fish and Wildlife (CDFW), is necessary to secure environmental permits and allow construction to begin as planned in 2026.

Project construction will also require ongoing support from the designers of record and continued public outreach efforts. City Council approval of a supplemental agreement with Mark Thomas and Company is needed to ensure these services are in place prior to the start of construction activities.

City Council approval is further required for the associated budgetary adjustments.

Financial Considerations: The estimated total cost to complete the I Street Bridge Replacement is approximately $317,000,000. With the increase of the revenue and expenditure budgets by $250,000,000 (Federal Capital Grants, Fund 3703) and by $25,000,000 (Other Capital Grants, Fund 3704), there will be sufficient funding to execute a supplemental agreement with Mark Thomas and Company for design support and public outreach services during construction, execute the mitigation bank purchase and reservation agreements with Westervelt Ecological Services Inc. for an amount not-to-exceed $6,627,900, and establish surety for the mitigation purchases that are subject to reservation agreements, as well as additional mitigation costs, as required by CDFW.

There is no financial commitment associated with the Agreement for Advancement of Measure A Funds with the Sacramento Transportation Authority (STA). Staff will return to City Council for approval of any financing agreement that is subsequently procured through STA as discussed in the terms of this agreement.

Local Business Enterprise (LBE): Not applicable.

RESOLUTION NO.

Adopted by the Sacramento City Council

I STREET BRIDGE REPL ACEMENT PROJECT (T15 136000): AGREEMENT F OR

ADVANCEMENT OF MEASU RE A FUNDS WITH SACR AMENTO TRANSPORTATIO N

AUTHORITY, SUPPLEMEN TAL AGREEMENT, BUDGE TARY ADJUSTMENTS, AN D

ENVIRONMENTAL MITIGATION AGREEMENTS AND SURETY

BACKGROUND

A. The I Street Bridge Replacement Project is a once-in-a-generation investment that will construct a new movable bridge over the Sacramento River, linking the cities of Sacramento and West Sacramento. This transformative project supports major transit- oriented and infill developments adjacent to the regional core, enabling the creation and revitalization of communities, jobs, and opportunities for employment, entertainment and recreation.

B. The new bridge will enhance access to regional rail and transit facilities, major healthcare centers and riverfront amenities, while providing safe, direct routes for cyclists, pedestrians, emergency responders, and transit vehicles. The project will generate hundreds of high-paying construction jobs and stimulate regional economic growth. It is funded primarily through federal and state transportation programs.

C. The federal Highway Bridge Program (HBP) provides funding for replacement of aging bridges. Caltrans has authorized $250 million in HBP funds for construction of the I Street Bridge Replacement Project.

D. The I Street Bridge Replacement Project was approved by the California Transportation Commission (CTC) for grant funding from the 2024 Local Partnership Competitive Program and received $25 million in construction funding at the June 27, 2025, Commission meeting. The funds were allocated to the project at the March 15, 2026 CTC meeting.

E. Recent funding commitments will allow the City to begin construction in 2026. Because construction costs are expected to exceed the annual programmed reimbursement from grant funding, a financing agreement through the Sacramento Transportation Authority (STA) is necessary to maintain working capital for construction costs.

Financing costs such as interest incurred by the City while borrowing funds are not grant fund eligible. This agreement will allow STA to begin procurement of financing agreements with lenders for City review and approval. Staff will return to the City Council later this year for approval of any specific financing contract award or financial commitment.

Version Dated 7/27/2025.

F. Securing environmental mitigation is also required for the issuance of environmental permits allowing the project to begin construction. City staff and the project consultant team, have identified the most cost-effective mitigation banks for purchase of the required mitigation credits. Purchase agreements and reservations agreements are needed to meet the project’s mitigation requirements.

G. For reservation agreements, the California Department of Fish and Wildlife (CDFW) requires a surety in the amount of the full mitigation cost prior to permit issuance. This surety may come in the form of a line of credit, or fund deposit into an escrow account to which CDFW is a named party.

H. Mark Thomas and Company was awarded a professional services agreement (City Agreement No. 2014-0244) in March 2014 to provide preliminary engineering, environmental clearance, and final design for the I Street Bridge Replacement Project.

With the project entering the construction phase, a supplemental agreement is needed to provide design support and public outreach throughout the construction process.

described in Attachment # 3 hereto, the “City’s Eligible Measure A Funds ”) and the Parties agree Attachment #3 is accurate; and
WHEREAS, the Authority is willing to advance the City’s Eligible Measure A Funds to the City from time to time as interim funding for Eligible Measure A Project Costs (the “Advances”), subject to the Authority successfully obtaining a revolving line of credit (the “LOC”) which will provide moneys for such Advances; and
WHEREAS, the Authority is willing to undertake commercially reasonable efforts to obtain the LOC from a lender, in the not to exceed principal amount described herein , to provide interim funding for the Eligible Measure A Project Costs , which the Authority expects to secure by a subordinate lien on Measure A sales tax revenues; and WHEREAS, the Parties agree that, upon the Authority successfully obtaining the LOC: (1) the Authority will draw from time to time on the LOC in the manner described herein to provide the City with interim funding for the Eligible Measure A Project Costs and this interim funding will be treated as Advances , (2) the City agrees to repay the Advances from the first use of the Grant Funding, (3) to the extent that the Grant Funding is not available in a timely manner to repay the Advances, the Authority will repay the Advances by deducting the amount of the Advances from the City’s Eligible Measure A Funds in the future , (4) the term “Advances” as used herein includes principal and interest due under the LOC and reasonable fees and expenses of the Authority (including the reasonable cost of the Authority’s direct labor) and its advisors, and (5) if for any reason the Grant Funding is not , or would not be, available or eligible to pay any portion of the Advances when due, the Authority will deduct the City’s Eligible Measure A Funds that would have otherwise been allocated to the City in an amount sufficient to repay those portions of the Advances; and WHEREAS, the City acknowledges the importance of leveraging all available local funding sources to maximize funding of Project construction costs in the most cost-effective manner and therefore agrees to identify, prioritize, and utilize any Unexpected Revenues (as defined herein) to the fullest extent feasible and legally permissible to minimize reliance on Advances or to repay outstanding Advances as described herein.

NOW, THEREFORE, THE AUTHORITY AND THE CITY AGREE AS FOLLOWS:

1. Recitals.

The Parties agree that the above Recitals are true and correct. The above Recitals are incorporated herein as though set forth as part of this Agreement.

2. Purpose
Agreement: I Street Bridge Financing

Page 3 of 11 ends

4129-6269-0404.4

This Agreement establishes the roles, responsibilities, and financial commitments of the Parties in securing, repaying and managing interim funding for the Project.

3. Term
This Agreement shall remain in effect until all obligations of the Parties have been performed and fulfilled, unless terminated earlier by (i) either Party with written notice to the other Party prior to obtaining the LOC and (ii) mutual written consent of the Parties after obtaining the LOC; provided, that if Advances have been provided by the Authority to the City, the Agreement shall remain valid and in force until all Advances have been fully repaid by the City to the Authority, regardless of any other provision for termination.

Notwithstanding the foregoing, if Advances have not been provided by the Authority to the City within three years following obtaining the LOC or by the expiration date of the LOC, this Agreement shall automatically terminate unless the Parties agree in writing to extend the term.

4. Anticipated Financing Structure

4.1 The Authority, with the participation of the City of Sacramento, will use commercially reasonable efforts to negotiate the LOC with a lender, with a not- to-exceed principal amount estimated to be $95 million. The City acknowledges that the principal amount of the LOC is limited by the amount of the City’s Eligible Measure A Funds and will be subject also to lender approval.

4.2 The Authority expects to secure the LOC by a subordinate lien on the Measure A sales tax revenues to ensure more favorable financing terms as compared to an LOC obtained by the City. The Authority expects that obtaining the LOC will not result in a downgrade of the ratings on the Authority’s existing senior debt. If the Authority determines that the LOC may result in a downgrade of the ratings on the Authority’s existing senior debt prior to obtaining the LOC, the Parties acknowledge that the Authority expects to terminate this Agreement pursuant to Section 3.

4.3 Once the LOC has been mutually selected by the Parties and is in effect, the Authority will draw upon the LOC to make Advances to the City upon written request by the City in accordance with the terms of the hereinafter described Implementation Agreement in the event that the Grant Funding or other funding sources are not yet available to pay Project costs. The term “Advances” as used herein includes principal and interest due under the LOC, fees and expenses of the LOC lender (including an anticipated unutilized fee for the LOC prior to any Advance) and reasonable fees and expenses of the Authority (including the reasonable cost of the Authority’s direct labor) and its advisors.

Agreement: I Street Bridge Financing

Page 4 of 11 ends

4129-6269-0404.4

4.4 The City represents and warrants to the Authority that it is legally permissible for the City to use the Grant Funding to repay the principal portion of the Advances.

The City agrees that the first use of Grant Funding will be to repay the Authority for the principal portion of all Advances. The City agrees not to use Grant Funding for any other purpose while the principal portion of any Advances are outstanding under this Agreement. The City further agrees to prioritize the use of funding from any unexpected transportation revenues identified by the City in writing to the Authority that are eligible to pay Project construction costs, including but not limited to, any future voter-approved transportation sales tax measure funds, grants, or other funding sources not currently identified to fund Project construction costs (“Unexpected Revenues”) to minimize reliance on Advances or to repay outstanding Advances. The Parties agree that the City’s Eligible Measure A Funds will be used to pay for costs of issuance related to this Agreement, the Implementation Agreement and the LOC and will be used to pay interest due under the LOC, fees and expenses of the LOC lender and reasonable fees and expenses of the Authority (including the reasonable cost of the Authority’s direct labor) and its advisors. If for any reason the Grant Funding is not, or would not be, available or eligible to pay any portion of the Advances when due, the Authority will deduct from the City’s Eligible Measure A Funds that would have otherwise been allocated to the City an amount sufficient to repay those portions of the Advances.

4.5 The Parties agree to evaluate other financing options if they offer more favorable financing terms for the Project when compared to the LOC. In the event that such alternative financing options are obtained, the Parties shall prioritize and utilize these options to the fullest extent before requesting Advances as described herein. The Parties shall use commercially reasonable efforts to ensure that any alternative financing options align with the overall objectives and timelines of the Project and comply with all applicable legal and regulatory requirements.

4.6 The Parties acknowledge that this Agreement will be supplemented or amended, amended and restated and/or replaced by a more detailed Implementation Agreement that is consistent with the terms of this Agreement at the same time the LOC is obtained.

5. Repayment and Risk Management

5.1 As described in Section 4.4, it is the intent of the Parties that, whenever available, the Grant Funding will be used to pay the principal portion of the Agreement: I Street Bridge Financing

Page 5 of 11 ends

4129-6269-0404.4

Advances and the Parties acknowledge that it is not legally permissible under current law to use the Grant Funding to pay interest due under the LOC, fees and expenses of the LOC lender and reasonable fees and expenses of the Authority (including the reasonable cost of the Authority’s direct labor) and its advisors. If for any reason the Grant Funding is not, or would not be, available or eligible to pay any portion of the Advances when due, the Authority will deduct the City’s Eligible Measure A Funds that would have otherwise been allocated to the City (without consent from the City, while providing courtesy notice to the City) in an amount sufficient to repay those portions of the Advances in the following order of priority, beginning with (1) the Local Arterial Program, (2) the Local Freeway Interchange Congestion Relief Upgrade Program, (3) the City Street and County Road Maintenance Program, (4) Traffic Control and Safety Program, and (5) Safety, Streetscaping, Pedestrian and Bicycle Facilities Program. The City acknowledges that the Authority may, as necessary, deduct the entire amount of the City’s Eligible Measure A Funds to repay the Advances due in any given period and that the Authority will deduct from the City’s Eligible Measure A Funds that amount necessary to pay for costs of issuance related to this Agreement, the Implementation Agreement and the LOC .

5.2 On an annual basis, the Authority will calculate the amount of the City’s Eligible Measure A Funds compared to (1) the not to exceed principal amount on the LOC and (2) the outstanding Advances and expected future Advances in the annual period. If this calculation shows that the City’s Eligible Measure A Funds will be less than either (1) or (2), the Authority will cease to draw on the LOC for any Advances in excess of the City’s Eligible Measure A Funds. In addition, the Authority may limit the maximum allowable LOC advances to the City, including by limiting the maximum draw under the LOC (with notice to the City of any such limit). This calculation will be updated and presented to the Authority Board annually as part of the STA Debt Review.

5.3 The refinancing of outstanding amounts due under the LOC by fixed-rate bonds may be considered by the Parties if refinancing is determined to be more cost effective at a future date, and this option will be evaluated by the City as desired by the City and by the Authority as part of the annual STA Debt Review.

5.4 The City shall notify the Authority of Unexpected Revenues that could fund Project construction costs.

5.5 If Unexpected Revenues that are not otherwise restricted are identified that could fund the Project costs, the City agrees to apply those revenues towards Agreement: I Street Bridge Financing

Page 6 of 11 ends

4129-6269-0404.4

repaying outstanding Advances due hereunder or reducing the need for any future Advances.

6. Roles and Responsibilities

6.1 The Authority shall be responsible for using its commercially reasonable efforts to secure the LOC with concurrence by the City to provide interim funding for the Project in a principal amount not to exceed $95 million, processing disbursement requests for Advances received from the City, drawing on the LOC and making Advances to the City, and reporting. The City acknowledges that the Authority may elect not to obtain the LOC if the terms are not reasonable or acceptable to the Authority and the Authority acknowledges that the City may elect not to concur with the Authority obtaining the LOC if the terms are not reasonable or acceptable to the City.

6.2 The City shall be responsible for initiating disbursement requests for Advances to the Authority, managing construction of the Project, managing the Grant Funding, exploring additional Project funding sources, and repaying the Advances when due with Grant Funding, other funding sources or the City’s Eligible Measure A Funding.

6.3 The City agrees to use the Advances provided in accordance with this Agreement solely for Eligible Measure A Project Costs and to enter into a tax certificate to be executed upon execution of the LOC. The City will not allow the Advances to be used (for example, by lease or contract) in the trade or business of any non- governmental persons other than in their roles as members of the general public (i.e., no private business use of the Project). The City expects to use the Project for the purposes described herein and in the tax certificate for the entire useful life of the Project and will consult with the Authority prior to any change in use of the Project.

6.4 The City has not and will not finance any of the Project costs that will be funded under this Agreement by Advances with proceeds of other debt issued by the City or any other entity. The City understands that federal income tax restrictions generally limit the ability to use funds advanced hereunder for reimbursements of costs paid more than 18 months prior to the date of advance or with respect to an asset placed in service more than 18 months prior to such advance.

6.5 The City is not able to, and agrees not to or be deemed to, subordinate the Authority’s lien on any Measure A sales tax revenues or establish, transfer, pledge or assign any other claim upon such funds.

Agreement: I Street Bridge Financing

7. Disbursement Protocol

7.1 The Parties agree that they will enter into a subsequent Implementation Agreement, consistent with the terms of this Agreement, that will detail the procedures and timing related to the disbursement of Advances to the City, including but not limited to the amount of notice City must provide to the Authority prior to receipt of the Advances, a description of when the Advances will be due, and the period of time without repayment of the Advances to the Authority that will trigger the commencement of the Authority deducting the City’s Eligible Measure A Funds, as described in Sections 4.4 and 5.1.

8. Reporting and Transparency

8.1 The Authority will report the outstanding Advances to the City on a quarterly basis. The Authority will provide the City with notice after any deductions of the City’s Eligible Measure A Funds have been made as described in Section 4.4 and

5.1 and with notice of the annual calculations made as described in Section 5.2.

8.2 The City will report on the anticipated amount of the Advances to the Authority on a quarterly basis. The City will provide prompt notice to the Authority of the receipt of any Grant Funding.

8.3 Both Parties agree to collaborate on public communications and stakeholder engagement related to the Project’s financing plan.

Mr. Ryan Moore
Assistant City Manager
City of Sacramento
915 I Street
Sacramento, CA 95814

Dear Mr. Moore:

Thank you for your ongoing partnership with the California Department of Transportation (Caltrans) to deliver the I Street Bridge Replacement project (Project). We appreciate the City of Sacramento’s (City) leadership and continued coordination to advance this critical regional investment.

As you know, the City has a signed High Cost Agreement under the Local Highway Bridge Program (HBP) that commits federal funding to the construction phase of the I Street Bridge Replacement project at $20 million per year for 12.5 years, for a total commitment of $250 million. The City has indic ated that annual expenditures are anticipated to exceed $20 million and has requested a faster reimbursement schedule.

In response to the City’s request, Caltrans can accommodate an expedited reimbursement schedule that maintains the total commitment of $250 million while increasing annual reimbursements and shortening the HBP reimbursement schedule to seven years. The proposed schedule is outlined below.

Mr. Ryan Moore, Assistant City Manager
February 6, 2026

Reimbursement
Amount
2026 $40,000,000

2028 $40,000,000

2030 $40,000,000
2031 $40,000,000
2032 $10,000,000
Total $250,000,000

Caltrans does not require a revision to the existing HBP High Cost Agreement to implement the proposed reimbursement schedule currently. All terms and conditions of the executed High Cost Agreement remain in full effect, except for the modification to the reimbursement schedule outlined herein.

The funding commitment shown above is the final cadence for this project . While we cannot authorize additional annual reimbursement amounts and exceed the total funding of $250 million, we will work closely with the City to ensure successful delivery within these agreed parameters.

Caltrans looks forward to continuing our close coordination with the City to implement the expedited schedule. Please let us know if you have any questions.

2. All Project Improvements are located entirely or partially within Sacramento County. For improvements partially located within Sacramento County, only the proportional share of costs attributable to the Sacramento County portion is included as Measure A Eligible Costs.

3. The Project Improvements and associated Measure A Eligible Costs are eligible under multiple Measure A programs.

The City documented the Project Improvements’ alignment with the Measure A Transportation Expenditure Plan and Definitions of Eligible Expenditures to STA’s satisfaction.

4. For purposes of evaluating funding availability by program, eligibility is indicated either by a specific dollar amount (where applicable) or by “Y” (eligible) / “N” (not eligible). For the Approach Structure (Sacramento Side) and Bridge – Moveable Span, costs were allocated based the transportation use of the deck. As an example, vehicular barrier rail and shoulder areas were identified as eligible for the Measure A Traffic Control & Safety Program

5. The Project Improvements and associated Measure A Eligible Costs reflect anticipated costs based on the engineer’s estimate and corresponding bid items. Costs include bid items directly tied to the improvements (e.g., roadway excavation and imported borrow) as well as bid items necessary to complete the work (e.g., construction surveys, mobilization, and traffic control systems).

FROM THE HAMILTON BEND MITIGATION BANK

This Reservation Agreement for Purchase and Sale of Credits from the Hamilton Bend Mitigation Bank ( "Agreement") is entered into as of _____ day of __________, 2026 ("Effective Date" ) by and between the CITY OF SACRAMENTO ( "Buyer"), and WESTERVELT ECOLOGICAL SERVICES, LLC, a Delaware limited liability company ("Westervelt").

RECITALS

A. Westervelt is in the process of developing and obtaining resource agency approvals for a mitigation bank commonly referred to as the Hamilton Bend Mitigation Bank (the "Bank") located in Colusa County, California.

B. Specifically, Westervelt is seeking approval from United States Fish and Wildlife Service (“Service”), the National Oceanic & Atmospheric Administration Fisheries (“NOAA”), the U.S. Army Corps of Engineers (“ Corps”), and the California Department of Fish and Wildlif e (“ CDFW” and, together with the Service, NOAA and the Corps, collectively, the “Resource Agencies”) to sell certain credits (each a “Credit” and collectively the “Credits”) from the Bank (including the Buyer Credits, as defined below), pursuant to the Bank Enabling Instrument that will be entered into for the Bank (the “Bank Agreement”).

C. Buyer acknowledges and has full knowledge that the Bank is not yet approved by the Resource Agencies.

D. Buyer is seeking to implement a project described as the I Street Bridge Replacement Project (the "Project"), and seeks to compensate for the impacts of the Project (the "Project Impacts" ) by reserving the right to purchase 8.27 “ Riverine Riparian Reestablishment” Credits, 1.24 “Riverine Riparian Reestablishment with Salmonids” Credits, and 6 VELB Credits from the Bank (the "Buyer Credits") in accordance with the terms and conditions set forth below.

AGREEMENT

NOW, THEREFORE, for and in consideration of the mutual covenants and agreements contained in this Agreement, and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, Buyer and Westervelt hereby agree as follows:

ARTICLE 1.

RESERVATION OF BUYER CREDITS

1.01. Reservation for Purchase and Sale. Westervelt shall reserve the Buyer Credits for their purchase by Buyer from Westervelt for a period of thirty-six (36) months after the Effective Date (the “ Reservation Period ”) on terms and conditions specified in this Agreement. If Westervelt obtains approval of the Bank from the Resource Agencies within Error! Unknown document property name. 2

the Reservation Period (as in may be extended pursuant to Section 1.02 below), then the Reservation Period shall automatically be further extended until the Closing has occurred as described in Section 1.05 below.

1.02. Reservation Period Extension. Westervelt anticipates approval of the Bank by the Resource Agencies will occur within the initial 36-month Reservation Period. If for whatever reason, Westervelt is unable to obtain approval of the Bank from the Resource Agencies within the initial 36-month Reservation Period, the Buyer will have the option, as Buyer’s sole and exclusive remedy, to either (a) extend the Reservation Period for one period of six (6) months (any further extensions of the Reservation Period shall be subject to the mutual agreement of the parties) by providing written notice thereof to Westervelt prior to expiration of the initial Reservation Period, or (b) absent such extension, this Agreement shall terminate at the end of the initial Reservation Period, and in the event of such termination Buyer will receive a refund of the Deposit.

1.03. Purchase Price. The total purchase price ("Purchase Price") for the Buyer Credits shall be in an amount equal to Three Million Three Hundred Sixty-Seven Thousand Five Hundred and 00/100 Dollars ($3,367,500.00) (i.e., $350,000 per Riverine Riparian Credit and $6,500 per VELB Credit).

1.04. Payment.

A. Deposit. Buyer shall deliver to Westervelt an amount of Six Hundred Seventy-Three Thousand Five Hundred and 00/100 Dollars ( $673,500.00) (the "Deposit") within fifteen (15) days after the Effective Date. The Deposit shall be immediately nonrefundable to Buyer except to the extent otherwise provided in Section 1.02 above or

1.04.C below or , in the event that the Closing does _not occur due to a material default of Westervelt under this Agreement. The Deposit shall be applicable to the Purchase Price on the Closing Date.

B. Westervelt will notify Buyer in writing promptly after Westervelt obtains approval of the Bank by the Resource Agencies. Upon the date of such written notice, the Deposit shall become non-refundable.

1.05. Closing Date. The parties agree that the Buyer Credits shall be purchased at a single closing, as more particularly described below (the “Closing” to occur on the “ Closing Date”). For the purposes of this Agreement, the "Closing Date" shall occur on a date selected by Westervelt that shall be on or before thirty (30) calendar days after the date that Westervelt notifies Buyer that it has obtained approval of the Bank by the Error! Resource Agencies and has obtained approval for a credit release from the Bank for the Buyer Credits. If Buyer has not timely purchased the Buyer Credits as described in the Westervelt notice, then from and after the Closing Date, Westervelt shall have the right to terminate this Agreement, and upon such termination Westervelt shall have no further obligation to sell, and Buyer shall have no obligation to purchase, the Buyer Credits, and in which event Westervelt shall be free to sell the Buyer Credits to a third party, and Westervelt shall retain the Deposit as liquidated damages pursuant to Section 1.08.

"Closing Agreement" ). The purchase price reflected in the Closing Agreement shall be based upon the Purchase Price paid by Buyer hereunder for the Buyer Credits subject to the Closing, and the parties acknowledge and agree that the Buyer Credits sold to Buyer under the Closing Agreement and the purchase price paid by Buyer under the Closing Agreement are the same as, and not in addition to, the Buyer Credits and Purchase Price described in this Agreement.

In such event, the Closing Agreement and related closing documents will reflect such advance sale. Buyer shall be solely respon sible for notifying the Resource Agencies of such application of said Buyer Credits to the Project (and concurrently with said notification to the Resource Agencies, Buyer shall provide a copy of such written notification to Westervelt).

D. Additional Instruments. Westervelt and Buyer shall each deposit such other instruments as are reasonably required to proceed with the closing and consummate the sale of the Buyer Credits in accordance with the terms of this Agreement.

ANY REASON OTHER THAN A MATERIAL DEFAULT OF WESTERVELT, AND EXCEPT AS OTHERWISE PROVIED IN SECTION 1.04.C ABOVE, THEN

IN SUCH EVENT WESTERVELT SHALL HAVE THE RIGHT TO TERMINATE

THIS AGREEMENT, AND IN THE EVENT OF SUCH TERMINATION

WESTERVELT SHALL BE RELIEVED OF ANY OBLIGATION TO SELL THE

BUYER CREDITS TO BUYER, THE DEPOSIT PREVIOUSLY PAID TO

WESTERVELT HEREUNDER AND ALL INTEREST THEREON SHALL BE

RETAINED BY W ESTERVELT AS LIQUIDATED DAMAGES PURSUANT TO CALIFORNIA CIVIL CODE SECTIONS 1671, 1676 AND 1677 AND AS

AGREE THAT IT WOULD BE IMPRACTICAL AND EXTREMELY DIFFICULT

TO FIX THE ACTUAL DAMAGES THAT WESTERVELT MIGHT SUFFER IN THE EVENT OF BUYER'S DEFAULT HEREUNDER. UPON ANY SUCH

BREACH OR DEFAULT BY BUYER HEREUNDER AND SUCH TERMINATION

OF THIS AGREEMENT BY WESTERVELT, THIS AGREEMENT SHALL BE

TERMINATED AND NEITHER PARTY SHALL HAVE ANY FURTHER RIGHTS

OR OBLIGATIONS HEREUNDER, EACH TO THE OTHER, EXCEPT FOR THE RIGHT OF WESTERVELT TO RETAIN SUCH LIQUIDATED DAMAGES.

EXCEPT AS PROVIDED FOR ABOVE, RECEIPT AND RETENTION OF THE

DEPOSIT SHALL BE THE SOLE, LIQUIDATED DAMAGES OF WESTERVELT IN THE EVENT OF ANY BREACH OR DEFAULT BY BUYER HEREUNDER.

1.09. Westervelt’s Default . Should the Close of Escrow contemplated by this Agreement fail to occur on the Closing Date due to a breach of this Agreement by Westervelt where such default or breach is not cured by Westervelt within thirty (30) days after Westervelt’s receipt from Buyer of written notice of such default or breach, then (a) this Agreement shall not be terminated automatically, but only upon delivery to Westervelt of written notice of termination from Buyer, and (b) Buyer shall elect, as Buyer’s sole and exclusive remedy to either: (i) so terminate this Agreement, in which Westervelt shall return to Buyer the Deposit ; or (ii) pursue an action for specific performance of this Agreement .

Error! Unknown document property name. 5

Notwithstanding the foregoing, in no event shall it be deemed to be a default of Westervelt hereunder if for any reason Westervelt is unable to obtain approval of the Bank from the Resource Agencies.

ARTICLE 2.

OBLIGATIONS WITH RESPECT TO BUYER CREDITS

2.01. Westervelt Obligations Re Bank Responsibilities . The Purchase Price includes, and Westervelt shall be solely responsible for, all costs associated with the mitigation provided by the Buyer Credits, including any easement, endowment, management and monitoring costs related to the Buyer Credits. Buyer shal l have no obligation by reason of the purchase of the Buyer Credits described herein, to support, pay for, monitor, report on, sustain, or otherwise be responsible for the success or continued expense or maintenance of the habitat represented by the Buyer Credits or the Bank.
