FIRST ADDENDUM TO
GOLD COAST AVIATION SERVICE, INC. LEASE
THIS FIRST ADDENDUM TO GOLD COAST AVIATION LEASE AGREEMENT (“Addendum”), made and entered into this 7th day of February 2023, by and between the City of Salinas, a California charter city and municipal corporation of the State of California (“Lessor”) and Gold Coast Aviation Service, Inc. (“Lessee”).
RECITALS
WHEREAS, on November 20, 1978, by way of Resolution No. 9940, the Lessor and Lessee entered into a Lease (“Lease”) for certain real property (the “Leased Premises”) as more particularly described in the Lease; and WHEREAS, Lessor and Lessee, subject to the terms and conditions set forth below, desire to amend the Lease by amending the permissible Uses of Premises; and WHEREAS, Lessor and Lessee desire to enter into this Addendum to memorialize these changes; and WHEREAS, all terms not expressly defined herein shall have the same meaning as defined in the Lease.
AGREEMENT
NOW, THEREFORE, in consideration of the mutual covenants, conditions, representations, and warranties contained in this Addendum, the parties agree to enter into this transaction based on the following terms and conditions:
Use of Leased Premises. Section 1 Use of Leased Premises, Paragraph 1, shall be replaced in whole by the following:
“The leased premises may be used for the following:
Specialized Aviation Service Operation (“SASO”) - a commercial aeronautical business that is authorized to offer a single or limited service according to established Minimum Standards. Examples of a SASO include but are not limited to the following commercial aeronautical activities: flight training, aircraft maintenance, unmanned aerial systems research and development, avionics maintenance, aircraft sales, and aircraft storage.
Aircraft maintenance and avionics maintenance are limited to maintenance, repair, overhaul, modification, light manufacturing, and associated services related to aircraft, aircraft engines, and airframes; automatic flight systems; instruments, radio electronic equipment, propellers, and all, other aircraft components. Storage and service of equipment directly related to business operations.
Incidental uses necessary for operating a SASO.”
Insurance. Section XX (“20”) Insurance shall be replaced in whole by the following:
“Lessee will provide insurance coverage in types and amounts, and subject to such conditions, as specified in Exhibit C – Insurance Requirements.” The original lease is updated and amended to include Attachment C - Insurance Requirements, which is attached hereto and incorporated herein by reference.
Effective Date. This Addendum shall be effective as of February 7, 2023.
No Further Modifications. Except as expressly modified herein, all other provisions of the Lease shall remain in full force and effect without amendment or modification.
In Witness Whereof, the undersigned have executed this Lease Amendment to Ground Lease as of the dates written below.
