AGREEMENT —AMENDMENT NO. 1 TO
ENVIRONMENTAL SYSTEMS INC AGREEMENT FOR HVAC SERVICES
This Amendment No. 1 to the HVAC Services Agreement is entered into this 20th day of February 2024, by and between the City of Salinas (the “City”) and Environmental Systems Inc., (the “Contractor”) City and Contractor may be individually referred to herein as a “Party” and collectively the City and Contractor may be referred to as the “Parties.”
RECITALS
WHEREAS, pursuant to Resolution # 22630, the City and Contractor first entered into an agreement for HVAC Services effective April 4, 2023, for Fifty-Three Thousand Six Hundred Seventy Dollars ($53,670) to which Contractor agreed to act as and provide certain services to the City for compensation (the “Agreement”); and WHEREAS, the City and Contractor desire to amend the Agreement to reflect the additional work that will be completed by the end of the contract term and by increasing the annual compensation rate by Sixteen Thousand, Eight Hundred Dollars ($16,800) for a total compensation of Seventy Thousand Four Hundred Seventy Dollars. ($70,470); and WHEREAS, the City and Contractor agree to add an additional facility, 65 West Alisal (Permit Center), to the scope of service. Contractor hereby agrees to provide the following services: Quarterly HVAC maintenance service on city buildings.
NOW, THEREFORE, in mutual consideration of the terms and conditions set forth below, the Parties agree as follows:
TERMS
Sections 1 and 4 of the Agreement are hereby amended as follows:
Section 1 and Attachment C of the Agreement are amended to include 65 West Alisal Street as an additional facility.
Section 4 of the Agreement is amended to increase the total amount of compensation to be paid under the Agreement by $16,800 to a total of $70,470.
All other covenants, terms, and conditions set forth in the Agreement and not amended by this Amendment No. 1 shall remain in full force and effect as if fully set forth herein.
IN WITNESS WHEREOF, the undersigned, as authorized representatives of the City and Contractor have entered into this Agreement as of the date first written above.
