AGREEMENT —AMENDMENT NO. 4 TO
AGREEMENT FOR PROFESSIONAL SERVICES FOR ENVIRONMENTAL
CONSULTANTS/CONTRACTORS BETWEEN WALLACE GROUP,
A CALIFORNIA CORPORATION AND CITY OF SALINAS
This Amendment No. 4 to the Agreement for Professional Services (the “Amendment”) is entered into this 6th day of August 2024, by and between the City of Salinas (the “City”) and Wallace Group, a California Corporation, (the “Consultant). City and Consultant may be individually referred to herein as a “Party” and collectively the City and Consultant may be referred to as the “Parties.”
RECITALS
WHEREAS, the City and Consultant first entered into an Agreement for Professional Services for Environmental Consultants/Contractors effective December 30th, 2022, pursuant to which Consultant agreed to act as and provide certain services to the City for compensation (the “Agreement”); and WHEREAS, the City and Consultant amended the Agreement on March 27, 2023, to extend the term of the Agreement until March 31st, 2024; and WHEREAS, the City and Consultant amended the Agreement on May 25, 2023, to increase compensation for additional scope of services; and WHEREAS, the City and Consultant amended the Agreement on February 29, 2024, to extend the term of the Agreement until December 31st, 2024; and WHEREAS, the City and Consultant desire to further amend the Agreement to 1) increase compensation for additional scope of services, and 2) extend the term of the Agreement in order to provide additional time necessary to complete the project.
NOW, THEREFORE, in mutual consideration of the terms and conditions set forth below, the Parties agree as follows:
TERMS
The Agreement, Section 1 “Scope of Service”, is amended and restated in its entirety with the following:
The project contemplated and the scope of Consultant’s services are described in Exhibits B, B.1, and B.2, attached hereto and incorporated by herein reference.
The Agreement, Section 2 “Term: Completion Schedule”, is amended and restated in its entirety with the following:
This Agreement shall commence on December 30th, 2022, and shall terminate on May 31st, 2025, unless extended in writing by either party upon (30) days written notice. This Agreement may be extended for one (1) optional one (1) year period only upon written consent of the parties and may be terminated only pursuant to the terms of this Agreement.
The Agreement, Section 3 “Compensation”, is amended and restated in its entirety with the following:
City hereby agrees to pay Consultant for services rendered the City pursuant to this Agreement on a time and materials basis according to the rates of compensation set for the in Exhibits B, B.1, and B.2. The total amount of compensation to be paid under this agreement shall not exceed six hundred and one thousand, four hundred and seventy-three dollars ($601,473).
All other covenants, terms, and conditions set forth in the Agreement and not amended by this Amendment shall remain in full force and effect as if fully set forth herein.
