City and Contractor may b€ individually referred to herein as a "Party" and collectively the City and Contractor may be referred to as the "Parties." RECITAI.S
WHEREAT the City and Contractor first entered lnto an Aqreement for Traffic Sirnal Maintenance and Bglgi! effective Oecember 19, 2018, pursuant to which Contractor agreed to act as and provide certain services to the City for compensation (the "Agreement"); and
WHEREAS, the City and Contractor desire to extend the ABreement as per section 3.
NOW THEREFORE, in mutual consideration of the terms and conditions set forth below, the Parties a8ree as follows:
1. The A8reement, is amended and restated in its entirety to the followinS:
Sectlon 3 Term. The term of this Agreement shall begin on the Effective Date and continue throuSh December 31, 2025. The agreement may be extended only upon m utual written consent of the parties and may be terminated only pursuant to the terms of this agreement.
Sectlon 4 Pavment. Other than the 10% increase on select items identified on compensations schedule EXHlElT B, terms of the agreement from Amendment No. 1, remain in full force and effect.
All other covenants, terms, and conditions set forth in the Agreement and not amended by this Amendment shall remain in full force and etfect as if fully set forth herein. lN WITNESS WHER€OF, the undersigned, as authorired representatives of the City and Contractor have entered into this ASreement as of the date first written above. ?.
