AGREEMENT —AMENDMENT NO. 2 TO
AGREEMENT FOR PROFESSIONAL SERVICES
BETWEEN
CITY OF SALINAS AND TRB AND ASSOCIATES, INC.
This Amendment No. 2 to the Agreement for Professional Services (the “Amendment”) is entered into this 24th day of April, 2026, by and between the City of Salinas (the “City”) and TRB and Associates, Inc. (the “Consultant”). City and Consultant may be individually referred to herein as a “Party” and collectively the City and Consultant may be referred to as the “Parties.”
RECITALS
WHEREAS, the City and Consultant first entered into an Agreement for Professional Services effective July 1st, 2024, pursuant to which Consultant agreed to act as and provide certain services to the City for compensation (the “Agreement”); and
WHEREAS, on the 8th day of October 2024, the City Council approved Resolution No. 23126 (N.C.S.), executing Amendment No. 1 to the Agreement for Professional Services to increase the total compensation to be paid under the Agreement to the amount not to exceed $2,600,000; and
WHEREAS, on March 19, 2025, the City and Consultant executed an administrative addendum to correct an administrative oversight by including missing terms for the Scope of Service and Fee Structure for regular plan review, permitting, and inspection services for all projects; and WHEREAS, the City and Consultant now desire to further amend the Agreement to extend the term through June 30, 2027 and update the fee structure for regular plan review, permitting and inspections for all projects in order to maintain timely and consistent plan review, permitting, and inspection services.
NOW, THEREFORE, in mutual consideration of the terms and conditions set forth below, the Parties agree as follows:
TERMS
1. The Agreement Section 2. Term; Completion Schedule, is amended to add the following:
The term of the Agreement, originally agreed to terminate on June 30, 2026, is hereby extended to June 30, 2027, unless extended in writing by either party upon (30) days written notice. This Agreement may be extended only upon mutual written consent of the parties, and may be terminated only pursuant to the terms of this Agreement.
2. The Agreement, Exhibit B, is hereby amended to include an updated fee structure for regular plan review, permitting and inspections for all projects, attached hereto and incorporated herein by this reference.
3. All other covenants, terms, and conditions set forth in the Agreement and not amended by this Amendment shall remain in full force and effect as if fully set forth herein.
IN WITNESS WHEREOF, the undersigned, as authorized representatives of the City and Consultant have entered into this Agreement as of the date first written above.

Notes :
• Plan reviews billed on a fixed fee basis fee include up to three total plan review cycles – the initial plan review and two rechecks. Any further review cycles which become necessary and reviews of revisions to approved plans would be billed on an hourly rate basis, as published above. All plan reviews are subject to a minimum $300 fee. • Plan review turnarounds will adhere to City-mandated timeframes. Turnaround timeframe for providing expedited and express plan reviews would be negotiated/mutually agreed upon prior to commencement of the review. • Overtime, Emergency, Expedited, and After-hours work is billed at the above-noted rates plus an additional 50 percent • Project inspections subject to prevailing wage requirements are at the above-published rates plus 30 percent. • All requested inspection and other staff-augmentation services are subject to a minimum 4-hour fee. • Reimbursement for non-City vehicles used in connection with the work will be at the current IRS rate plus 20 percent per mile. • Reimbursement for direct expenses, incurred in connection with the work, will be at cost plus 15 percent. • “Complete Plan Review” includes Structural, Life Safety/Disabled Access, M/E/P, Green, Energy disciplines
