PERTINENT FACTS
Pursuant to this Grant Agreement No. 15-128 (this “agreement”), the Conservancy disbursed $2,500,000 to BSLT to acquire approximately 73 acres of real property known as the Carr Lake Property, depicted in Exhibit 1 to this agreement and referred to in this agreement as the “real property.” BSLT acquired the real property for purposes of public access, open space protection, wildlife habitat and environmental restoration, collectively referred to in this agreement as the “acquisition purposes.” BSLT acquired the real property on January 25, 2017.
This agreement required BSLT to record an offer to dedicate fee title to the real property to the Conservancy giving the Conservancy the right to take fee title to the real property in the event BSLT failed to use, operate and maintain the real property for the acquisition purposes (referred to in this agreement as the “OTD”). On January 25, 2017, BSLT recorded the OTD in the Official Records of Monterey County as Record Number 2017-004454. On July 11, 2025, BSLT recorded an amendment to the OTD to allow for restricted residential use of the existing residence on the real property; the amendment was recorded in the Official Records of Monterey County as Record No. 2025022594. The OTD is binding on all future owners of the property.
This agreement requires BSLT to use, operate and maintain the real property for the acquisition purposes.
The OTD requires the Conservancy’s approval of a transfer of the real property.
On April 29, 2024, the Conservancy and BSLT entered into Conservancy Grant Agreement No.23-160 (the “Restoration Grant Agreement”) in which the Conservancy granted funds to BSLT to restore 66 acres of wetland and upland habitat and construct public access improvements on a portion of the real property. Pursuant to the Restoration Grant Agreement, BSLT recorded an agreement to protect the restored wetlands and upland habitat and the public access improvements (the “Restoration Project Agreement”); the Restoration Project Agreement was recorded in the Official Records of Monterey County on January 29, 2025 as Record Number 2025003036.
On August 15, 2025, BSLT transferred a portion of the real property to the City. On [ ], BSLT transferred the remainder of the real property to City. On September 15, 2026, City adopted a resolution authorizing it to enter into this Amendment.
NOVATION AND AMENDMENT NO. 1
In light of the Pertinent Facts, the Conservancy, BSLT and City agree as follows:
1. Effective Date. The effective date of this Amendment is the date that this Amendment has been signed by all parties, which date will be entered on the first page of this Amendment by the last party to sign.
2. Assignment and Novation. BSLT assigns to City all of its rights, duties and obligations under this agreement. City assumes and agrees to fulfill all of BSLT's duties and obligations under this agreement.
3. Substitution of Grantee. This agreement is amended to substitute City for BSLT as the grantee.
4. Release of BSLT. The Conservancy and City hereby release BSLT from any further duties and obligations under this agreement and from any claims or liabilities such releasing party may have under this agreement arising upon and after the effective date of this Amendment, except as such claims and liabilities may relate to BSLT’s obligations under this agreement prior to this Amendment.
5. Approval of Property Transfer. The Conservancy hereby approves the transfer of the real property to City.
6. Recorded Agreements. City acknowledges that upon acceptance of title to the real property, it became bound by the OTD and the Restoration Project Agreement.
7. Transfer of Records. Within 30 days of the effective date of this Amendment, BSLT shall deliver to City all records pertaining to the acquisition of the real property that BSLT has maintained pursuant the “AUDITS/ ACCOUNTING/ RECORDS” section of this agreement. City shall maintain these records consistent with this agreement. Nothing in this Amendment requires BSLT to deliver to City records that BSLT is required to maintain pursuant to Conservancy Grant Agreement No.23-160.
9. BSLT Release. BSLT hereby releases and holds harmless the Conservancy and the City from any claims or liabilities the BSLT may have under this agreement, including, without limitation, any claims for disbursement of funds to BSLT.
All other terms and conditions of this agreement remain in effect.
BSLT/City of Salinas.
