PROFESSIONAL SERVICES AGREEMENT
WITH SB HOTEL NORTH, LLO
This Amendment No. 1 to the Professional Services Agreement dated March 20, 2024 (Agreement), is made and entered into as of this Ist day of May 2024, by and between the City of San Bernardino, a charter city and municipal corporation ("City") and SB HOTEL NORTH.
LLC., a California Motel entity ("Vendor"). City and Vendor are sometimes referred to herein individually as a "Party" and collectively as the "Parties."
RECITALS
A. WHEREAS, City and Consultant entered into the Agreement on May 20, 2024.
B. WHEREAS, City Council authorized $3,352,465.13 for the Motel Voucher Program.
WHEREAS, The funds used for this program are as follows:
CDBG-CV in the amount of $1,145,201
PLHA in the amount of $1,233,764.13
ARPA in the amount of $973,465.13
D. WHEREAS, the Parties now desire to amend the Agreement to increase the room count from 40 rooms to 60 rooms, reallocated from the Professional Service Agreement with Century Motel.
NOW, THEREFORE, in consideration of the above recitals and the mutual covenants, conditions, and promises contained in this Amendment No. 1 and the original Agreement, the Parties mutually agree as follows:
AGREEMENT
Incorporation of Recitals. The recitals listed above are true and correct and are hereby incorporated herein by this reference.
Amendment to Exhibit B of the Original Agreement. Exhibit B of the Agreement is hereby amended in its entirety to read as follows:

FUNDING AWARDS:
The Coronavirus State and Local Fiscal Recovery Funds (SLFRE) program authorized by the American Rescue Plan Act (ARPA): $973,500
Coronavirus Aid, Relief, and Economic Security Act for the Community Development Block Grant: $682,500
This room adjustment is a reallocation of rooms and funding from Century Motel due to the inability to meet the City's insurance requirements.
Full Force. All provisions of the Original Agreement, as modified by this Amendment No. 1, including without limitation the indemnity and insurance provisions, shall remain in full force and effect.
4. Electronic Transmission. A manually signed copy of this Amendment No. 1 which is transmitted by facsimile, email, or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original executed copy. This Amendment No. 1 may be signed using an electronic signature.
Counterparts. This Amendment No. 1 may be signed in counterparts, each of which shall constitute an original, and together which shall constitute one and the same Amendment No. 1.
