AMENDMENT NO. 2 TO
DESIGN SERVICES AGREEMENT
WITH IMEG CORP
This Amendment No. 2 to the Design Services Agreement is made and entered into as of November 5, 2025 ("Effective Date"), by and between the City of San Bernardino, a charter city and municipal corporation ("City") and IMEG Corp, a California corporation ("Designer"). City and Designer are sometimes referred to herein individually as a "Party" and collectively as "Parties."
RECITALS
A. WHEREAS, the City and the Designer have entered into an agreement, dated March 30, 2023 , for the professional design of the Cross Street Bridge Rehabilitation Project (the "Original Agreement").
B. WHEREAS, on October 18, 2023, the Parties executed Amendment No. 1 to the Original Agreement in order to revise the scope of work and incre ase the not-to-exceed compensation from $88,750.00 to $190,190.00;
C. WHEREAS, the Parties now desire to amend the Original Agreement in order to (1) extend the term through March 31, 2026 , and (2) include additional compensation for supplemental design and coordination services in accordance with the compensation provisions of the Original Agreement.
NOW, T HEREFORE, in consideration of the above recitals and the mutual covenants, conditions, and promises contained in this Amendment No. 2, Amendment No. 1, the Original Agreement, as previously amended, the Parties mutually agree as follows:
AGREEMENT
1. Incorporation of Recitals. The recitals listed above are true and correct and are hereby incorporated herein by this reference.
2. Term. The term of the Original Agreement, as previously amended, is hereby extended through March 31, 2026, unless earlier terminated in accordance with the Agreement.
3. Compensation. The total not -to-exceed compensation amount is hereby increased by Thirty-One Thousand Dollars and Zero Cents ($31,000.00), increasing the total not-to-exceed compensation amount from One Hundred and Ninety Thousand One Hundred and Ninety Dollars and Zero Cents ($190,190.00) to Two Hundred and Twenty- One Thousand One Hundred and Ninety Dollars and Zero Cents ($221,190.00).
4. Full Force. Except as amended by this Amendment No. 2, all provisions of the Original Agreement, as previously amended, including without limitation the indemnity and insurance provisions, shall remain in full force and effect and shall govern the actions of the Parties under this Amendment No. 2.
5. Electronic Transmission. A manually signed copy of this Amendment No. 2, which is transmitted by facsimile, email or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original executed copy of this Amendment No. 2 for all purposes . This Amendment No. 2 may be signed using an electronic signature.
6. Counterparts. This Amendment No. 2 may be signed in counterparts, each of which shall constitute an original.

Boules:
As we discussed, you would like IMEG to provide additional services for the Del Rosa Channel Bridge Replacement at Cross Steet, to extend sidewalk from the bridge to the existing sidewalk, address drainage issues with the existing driveways and improve driveways on east side of the bridge. This amendment also includes structural engineer support provided between May and June of 2025 during construction phase regarding the tie rods, analysis and recommendations per your request.
All other services, terms, and conditions shall remain as stated in our original Agreement dated March 30, 2023.
Compensation
We propose to provide the services described above for a fixed fee of $ 20,000. Reimbursable expenses remain as stated in our original Agreement.

Civil Engineering $12,500
Total $20,000
Closing
We will begin our services following acceptance of this Amendment for Services. Acceptance may be conveyed via email or by signing this offer and returning it to our office.
Notwithstanding the foregoing sentence, if you or members of your firm engage IMEG for services for the referenced project, either verbally or by actions that imply acceptance of this Proposal, such as providing drawings, submitting questions, requesting engineering information, etc., without returning a signed copy of this Proposal, it is expressly agreed that acceptance of all terms and conditions of this Amendment will be implied and contractually binding.
