Recommendation:

It is recommended that the Mayor and City Council of the City of San Bernardino, California:

1. Approve Amendment No. 1 to the Maintenance Services Agreement with Yunex LLC to extend the term of the agreement from June 30, 2025, to June 30, 2026; and increase the not-to-exceed amount from $600,000 to $3,000,000 and clarify that the total contract value reflects the cumulative amount for the full term, including the initial term and all option years, in accordance with the compensation provisions of the Original Agreement; and

Executive Summary
Public Works seeks approval to amend the existing Maintenance Services Agreement with Yunex LLC to extend the term through June 30, 2026, and to increase the total not- to-exceed amount to $3,000,000. This amendment does not represent a cost escalation or change in the scope of services being performed; rather, it clarifies that the total not- to-exceed amount reflects the cumulative contract value over the full five-year term, including the initial term and all option years. Funding for these services is included in the current and future Operations and Maintenance budgets, resulting in no additional fiscal impact.

Background
On January 17, 2024, the City Council approved an agreement with Yunex LLC following a formal bid process (RFP No. F-23-51) for Traffic Signal Intersection On-Call and Emergency Repair Services. The original agreement established a not-to-exceed amount of $600,000 and an initial term through June 30, 2025, with four additional one- year renewal options.

Yunex LLC provides essential on-call and emergency maintenance and repair services for the City’s traffic signal infrastructure. These services are critical to maintain safe and operational intersections, particularly when collisions, vandalism, or equipment failures occur.

The not-to-exceed total was inadvertently omitted in earlier contract actions, and this amendment corrects that oversight for auditing and recordkeeping purposes. If all option years are exercised, the total contract cost over the full five-year term would be $3,000,000. This amendment updates the contract to reflect that cumulative amount and aligns the agreement term through June 30, 2026.

Discussion
The proposed amendment is administrative in nature and aligns the total contract value with the full potential five-year term. Under Amendment No. 1, the term of the agreement will be extended through June 30, 2026, and the not-to-exceed amount will increase from $600,000 to $3,000,000.

These changes ensure the contract remains valid for the full term and clearly define the total cumulative contract value. There is no new funding requested, and all costs are covered within the Operations and Maintenance budget.

If all option years are exercised, the total contract cost over the full five-year term would be $3,000,000. This amendment updates the contract to reflect that cumulative amount and aligns the agreement term through June 30, 2026.
2021-2025 Strategic Targets and Goals
This project supports Strategic Goal No. 1: Increased Operational & Financial Capacity by ensuring fiscal accountability and contract transparency. Amending the agreement to establish the correct not-to-exceed amount provides a clear record of the total authorized value for the full five-year term, strengthening internal controls and compliance with auditing requirement
Fiscal Impact
There is no fiscal impact associated with this amendment. Sufficient funds are included in the FY 2025/26 Operations and Maintenance budget, and future budgets will continue to allocate funding to support this agreement through the available option years. In future years $600,000 will be programed into each fiscal year budget in order to support these agreements into the option years available.
