Airport Drive to OG Ventures, LLC. located at 1602 W. Highland Ave.
City Manager's Comments
The City Manager recommends approval of the change in location and transfer in ownership.
Executive Summary
OG Ventures, LLC has submitted an application to Change the Location and Transfer the Ownership of the originally awarded PTRE Management, LLC retail license. By doing this, it takes a previously unopened retail location and created a retail license that will contribute to the Cannabis Tax Revenue base. Staff has reviewed the requests and determined they meet all requirements of Chapter 5.10 of the San Bernardino Municipal Code and is recommending approval to the Mayor and City Council to support activation of the business and future cannabis tax revenue collection.
Background
On February 21, 2019, Mayor and City Council awarded sixteen (16) Commercial Cannabis Business (CCB) Permits covering several different license types.
For a Location Change, Section 5.10.200(g) of the City of San Bernardino Municipal Code provides that “the location specified in the commercial cannabis business permit 3 3

may not change without an amendment to the permit, processed in the same manner as an initial permit…”. Accordingly, a permit holder is required to apply for an amendment to its CCB permit through the processes set out by Section 5.10.090 (Initial Permit Procedures) in order to change the location specified in that permit.
For a Transfer of Ownership, Section 5.10.200(c) of the City of San Bernardino Municipal Code provides that “Changes of Ownership of a permitee’s business structure or a substantial change in the ownership of a permittee business entity (changes that result in a change of more than 51%of the original ownership) must be approved by the City Manager or his/her designee through the transfer process contained in subsection (a). Subsection (a) outlines the process of this change “as though the transferee were applying for an original commercial cannabis business permit”.
Additionally, as required by Section 5.10.180(c) of the City of San Bernardino Municipal Code, a Notice of Public Hearing was sent to all property owners located within a six hundred (600) foot radius of the proposed business location. In addition, as required by Section 5.10.180(i), the applicants have paid all fees as outlined in the Cannabis Fee Schedule.
Discussion
As part of the initial awardees, PTRE Management, LLC obtained a storefront retail license and was issued a Cannabis Business Permit (CBP) 22-004 on July 19, 2022.
On October 6, 2021, Mayor and City Council approved a Change in Ownership for PTRE Management LLC. The request came after several changes in their membership interests resulting in members surrendering their equity.
Between July 2022 and April 2026, PTRE Management’s retail store, registered as CULTURE, was unable to open their doors for business. While they maintained their Annual Regulatory Fees and Business License, this created a lack of Cannabis Tax Revenue collection from this permitted operator.
On April 7, 2026 PTRE Management, LLC submitted for a Change in Ownership to include OG Ventures as a new business partner. By bringing on a new business partner that is enthusiastic in opening this location, the City of San Bernardino it benefits from a contribution to the cannabis tax collection. Staff reviewed the Change in Ownership request and approved is on May 4, 2026.
On March 24, 2026, RD SB2, LLC / OG Ventures, LLC submitted a for a ZVL for the property located at 1602 W. Highland Ave. Subsequently, on May 11, 2026, OG Ventures, as the potential new permit holder and business owner, submitted an application (CCB 26-001) in order to amend the location from 225 E. Airport Dr. to 1602 W. Highland Ave. The application also includes a request to transfer ownership of the Cannabis Business Permit from PTRE Management, LLC to OG Ventures, LLC. Both requests are pursuant to the process and fees set forth in Section 5.10.090, as required 3 3

by Section 5.10.200(c)(g) of the San Bernardino Municipal Code.
Staff has reviewed the “Change in Location” and “Transfer of Ownership” request and the ZVL Application and determined that it meets all requirements set forth in Chapter
5.10 (Commercial Cannabis Activities) of the City of San Bernardino Municipal Code. Staff is recommending approval of the applicant’s request to the Mayor and City Council for its final determination, pursuant to Section 5.10.090 of the San Bernardino Municipal Code.
Strategic Targets and Goals
The report on the Commercial Cannabis Businesses is consistent with Key Target No 1: Improved Operational & Financial Capacity. Specifically, allowing legalized commercial cannabis activities will allow the City to capture cannabis revenue.
Fiscal Impact
Commercial Cannabis Business Permit applicants are required to pay an application fee of $5,918.00 to recover the City’s costs for processing. Approving this item will also allow for additional Cannabis Tax Revenues to be collected.
Conclusion
It is recommended that the Mayor and City Council of the City of San Bernardino, California, approve the Commercial Cannabis Business Permit (CCB) 26-001, Change of Location and Transfer of Ownership from PTRE Management, LLC located at 225 E. Airport Drive to OG Ventures, LLC. located at 1602 W. Highland Ave.
