AMENDMENT NO. 1 TO
VENDOR SERVICES AGREEMENT BETWEEN
THE CITY OF SAN BERNARIDNO AND
WEST COAST NETTING
This Amendment No. 1 to the Agreement for Vendor Services is made and entered into as of August 19, 2026 (“Effective Date”) by and between the City of San Bernardino, a charter city and municipal corporation (“City”) and West Coast Netting, a California Corporation with its principal place of business at 5075 Flightline Dr., Kingman, AZ 86401 (“Company”). City and Company are sometimes referred to herein individually as a “Party” and collectively as “Parties.”
RECITALS
A. WHEREAS, the City and the Company have entered into an agreement, dated June 3, 2026, for the purpose of providing Vendor Services for the Shand Hills Golf Course driving range (the “Original Agreement”).
B. WHEREAS, the Parties now desire to amend the Original Agreement with Amendment No. 1 to modify the scope of services and increase the not-to-exceed amount of the Original Agreement.
NOW, THEREFORE, in consideration of the above recitals and the mutual covenants, conditions, and promises contained in this Amendment No. 1 and the Original Agreement, the Parties mutually agree as follows:
AGREEMENT
1. Incorporation of Recitals. The recitals listed above are true and correct and are hereby incorporated herein by this reference.
2. Amendment to Compensation Provisions. Section 4(b) of the Original Agreement is hereby amended to provide that compensation for the services described in Exhibit “A” shall not exceed Three Hundred Twenty-Six Thousand One Hundred Sixty- Seven Dollars and Twenty-Seven Cents ($326,167.27), plus a contingency in an amount not to exceed Forty-Eight Thousand Nine Hundred Twenty-Five Dollars and Nine Cents ($48,925.09). In no event shall the total amount paid under the Original Agreement, as amended by this Amendment No. 1, exceed Three Hundred Seventy-Five Thousand Ninety-Two Dollars and Thirty-Six Cents ($375,092.36).
3. Amendment to Exhibit A. Exhibit “A” to the Original Agreement is hereby deleted in its entirety and replaced with the Exhibit “A” attached to and incorporated into this Amendment No. 1, entitled "Updated Scope of Services and Schedule of Charges."
4. Full Force. Except as amended by this Amendment No. 1, all provisions of the Original Agreement, including without limitation the indemnity and insurance -2-

provisions, shall remain in full force and effect and shall govern the actions of the Parties under this Amendment No. 1.
5. Electronic Transmission. A manually signed copy of this Amendment No. 1 which is transmitted by facsimile, email or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original executed copy of this Amendment No. 1 for all purposes. This Amendment No. 1 may be signed using an electronic signature.
6. Counterparts. This Amendment No. 1 may be signed in counterparts, each of which shall constitute an original.
