RESOLUTION OF THE MAYOR AND CITY COUNCIL OF

THE CITY OF SAN BERNARDINO, CALIFORNIA,

RATIFYING PAYMENT FOR ADDITIONAL

PROFESSIONAL AUDITING SERVICES PERFORMED BY

ROGERS, ANDERSON, MALODY & SCOTT, LLP IN

EXCESS OF THE AUTHORIZED NOT-TO-EXCEED
AMOUNT UNDER THE FISCAL YEAR 2025-2026
PROFESSIONAL SERVICES AGREEMENT.

WHEREAS, the City of San Bernardino ("City") entered into a professional services agreement ("PSA") with Rogers, Anderson, Malody & Scott, LLP ("RAMS") on July 1, 2025, to provide independent professional auditing services for Fiscal Year 2025-2026, for a total compensation not-to-exceed (“NTE”) one hundred thousand dollars ($100,000); and WHEREAS, the City determined that additional agreed-upon procedures were necessary to complete the audit of Measure S revenues, expenditures, and compliance activities beyond those originally contemplated under the PSA; and
WHEREAS, RAMS submitted an engagement letter dated January 29, 2026, as set forth in Exhibit A (attached hereto and incorporated herein by this reference) proposing the additional Measure S and Air Quality Management District audit services for an additional amount of nine thousand one hundred twenty-five dollars ($9,125), increasing the total Measure S and Air Quality Management District audit services from six thousand, five hundred dollars ($6,500) to nine thousand, one hundred twenty-five dollars ($9,125); and WHEREAS, RAMS completed the additional Measure S and Air Quality Management District audit services requested by the City, and the City accepted and received the benefit of those services; however, the additional services exceeded the PSA's authorized NTE amount before an amendment increasing the authorized compensation could be approved; and WHEREAS, the PSA expired on June 30, 2026, before an amendment could be approved, requiring the City to separately address payment for the completed additional services; and WHEREAS, the Mayor and City Council (“Council”) desires to ratify payment for the completed additional services; and
