RESOLUTION NO. 2026-161

A RESOLUTION OF THE MAYOR AND CITY COUNCIL OF THE CITY

OF SAN BERNARDINO, CALIFORNIA, APPROVING (SUBJECT TO

STATED CONDITIONS) A FIRST AMENDMENT TO THE

PROFESSIONAL SERVICES AGREEMENT WITH TRUEPOINT
SOLUTIONS, LLC, DBA GRAY QUARTER AND GOVPATH;
AUTHORIZING LIMITED PAYMENT FOR COMPLETED SERVICES;

AUTHORIZING PROSPECTIVE GWIZ IMPLEMENTATION AND
MANAGED SERVICES; AND ESTABLISHING A NOT-TO-EXCEED
AMOUNT
WHEREAS, the City of San Bernardino (“City”) and Gray Quarter, Inc. (“Gray”) entered into a Professional Services Agreement dated November 20, 2024, for Accela Civic Platform implementation services (“PSA”); and
WHEREAS, Section 5 of the PSA requires a written amendment executed before additional services are performed, and Section 14 prohibits assignment without the City’s written consent; and
WHEREAS, a Form W-9 identifies TruePoint Solutions, LLC as the legal tax entity, with Gray Quarter and GovPath as doing business as (“DBA”), and TruePoint has represented that it became Gray Quarter, Inc.’s successor through a merger; and WHEREAS, the City must receive documentation establishing that successor relationship before recognizing TruePoint as the Consultant and legal payee; and WHEREAS, before Council approval of an amendment, City staff and GovPath signed documents concerning an All Paid integration and extended post-go-live Business Licensing support ("Completed Additional Services"); and
WHEREAS, the City may prospectively authorize GWiz implementation only after applicable procurement, contracting, funding, and notice-to-proceed conditions are satisfied; and WHEREAS, the proposed First Amendment, Consent to Assignment, and Limited Ratification ("First Amendment") would increase the PSA’s compensation and extend the term through April 30, 2028; and
WHEREAS, the Mayor and City Council (“Council”) desires to approve the First Amendment and related actions subject to the conditions stated herein.

BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. Incorporation of Recitals. The above recitals are true and correct, and are incorporated herein by this reference.

SECTION 2. Conditional Approval of First Amendment. The Council approves the First Amendment as set forth in Exhibit A (attached hereto and incorporated herein by reference), subject to the conditions in this Resolution. The City Manager shall not execute the First Amendment until those conditions are satisfied and it contains the final execution date, funding allocation, approved scopes of work, and consistent terms.

SECTION 3. Adoption of Findings. The Council adopts the findings set forth in Exhibit B (attached hereto and incorporated herein by this reference). Exhibit B states the factual, legal, funding, and public-purpose determinations supporting this Resolution.

SECTION 4. Limited Ratification of Completed Additional Services. The Council ratifies acceptance of the Completed Additional Services solely to permit payment of their verified, accepted, reasonable, and nonduplicative value under Section 5. This limited ratification does not validate the prior staff-signed change orders, retroactively amend the PSA, waive any City right or remedy, or authorize any other past service.

SECTION 5. Payment Authorization. The Council authorizes payment for the All Paid integration (in the amount of twenty thousand one hundred sixty dollars ($20,160)) and extended post-go-live Business Licensing support (in the amount of forty-three thousand eight hundred seventy-five dollars ($43,875)), for an aggregate amount not to exceed sixty-four thousand thirtyfive dollars ($64,035), for the Completed Additional Services only after the City’s contract administrator verifies in writing that the services: (a) were actually performed and accepted; (b) benefited the City; (c) were not included in the original scope, stabilization, warranty, or defectcorrection obligations; and (d) are supported by itemized invoices, time records, and available appropriations. Payment may be made only to TruePoint Solutions, LLC, DBAs Gray Quarter and GovPath, after the City Attorney and Director of Finance and Management Services confirm in writing that it is the legally proper payee (subject to Section 6).

SECTION 6. Contractor Identity and Contract Transfer. Subject to approval of satisfactory merger or other successor documentation, the Council consents to transfer of the PSA from Gray Quarter, Inc. to TruePoint Solutions, LLC, DBAs Gray Quarter and GovPath. Upon that approval and execution of the First Amendment, TruePoint is the sole Consultant and contracting party and assumes responsibility for all obligations under the PSA (including Resolution No. 2026-161

obligations relating to prior services). The Form W-9 identifies TruePoint as the legal payee and Gray Quarter and GovPath as DBAs, but the W-9 alone does not establish the successor relationship. The City Manager may execute the First Amendment only after the City determines that the submitted documentation establishes the proper contracting entity and preserves responsibility for prior obligations; and the Risk Manager confirms that required insurance, registration, and related documentation are satisfactory.

SECTION 7. Prospective Additional Services. The Council authorizes the prospective GWiz implementation in an amount not to exceed fifty-eight thousand five hundred dollars ($58,500) and managed services in an amount not to exceed one hundred eighty-five thousand dollars ($185,000), subject to the following conditions: (a) staff documents compliance with applicable procurement requirements or a legally sufficient exception; (b) the First Amendment includes the final scope, current Managed Services quote, pricing, service levels, invoicing, and remedies; (c) the Director of Finance and Management Services confirms available funding; and (d) the City issues the required written notice to proceed. Managed services are a subscription and may be invoiced annually; City shall pay undisputed properly submitted invoices within forty-five (45) days after receipt subject to the PSA, this Resolution, and lawfully available appropriations.

No prospective work may begin before all conditions are satisfied.

SECTION 8. Agreement Amount and Term. The Council authorizes an increase of three hundred seven thousand five hundred thirty-five dollars ($307,535) to the PSA, establishing an aggregate amount not to exceed two million four hundred seven thousand eight hundred seventyone dollars ($2,407,871) (excluding the unresolved Public Works change order), and authorizes extension of the term through April 30, 2028. This amount is a ceiling, not a guarantee of payment.

No automatic renewal, rate increase, additional service, or work outside an approved scope is authorized.

SECTION 9. Funding Limitations. Before execution of the First Amendment, the Director of Finance and Management Services shall complete and certify the funding allocation in Exhibit C (attached hereto and incorporated herein by this reference). State and Local Fiscal Recovery Funds (“SLFRF”) may be used only for eligible costs that the City determines are within the substantially same scope and purpose of the timely obligated award and are incurred, performed, and accepted on or before December 31, 2026. SLFRF shall not be used for managed services.

Costs incurred after that date, or otherwise ineligible for SLFRF, may be paid only from an identified, lawfully available non-SLFRF appropriation. Nothing in this Resolution authorizes an unbudgeted expenditure or a transfer requiring separate Council approval.

SECTION 10. City Manager Authorization. The Council authorizes the City Manager or designee to execute the First Amendment and issue notices to proceed only after all conditions in this Resolution are satisfied. The City Manager may approve non-substantive or clarifying Resolution No. 2026-161

revisions approved as to form by the City Attorney that do not increase compensation, expand scope, extend the term, weaken City protections, alter the funding limitations, or otherwise materially change the transaction approved by the Council.

SECTION 11. California Environmental Quality Act ("CEQA"). The Council finds that adoption of this Resolution and approval of the First Amendment are not subject to CEQA under Public Resources Code section 21065 and CEQA Guidelines sections 15060(c)(2), 15060(c)(3), and 15378 because they constitute administrative and fiscal actions and information-technology services that do not have the potential to result in a direct or reasonably foreseeable indirect physical change in the environment.

SECTION 12. Severability. If any section or provision of this Resolution is for any reason held to be invalid or unconstitutional by any court of competent jurisdiction or is preempted by subsequent legislation, such decision shall not affect the validity of the remaining portions of this Resolution. The Council hereby declares that it would have adopted this Resolution and each section, subsection, sentence, clause, and phrase irrespective of the fact that any one or more portions may be declared invalid or unconstitutional.

SECTION 13. Certification. The City Clerk shall certify to the passage and adoption of this Resolution, cause the same to be entered among the original resolutions of the City, and make a minute of the passage and adoption thereof in the records of the proceedings of the Council.

SECTION 14. Effective Date. This Resolution shall become effective immediately upon its adoption.

APPROVED and ADOPTED by the Council and signed by the Mayor, and attested by the City Clerk this 7
th day of October 2026.
