TANFORAN DEVELOPMENT

AGREEMENT GUIDING

PRINCIPLES
AUGUST 26, 2025

CITY COUNCIL
AGENDA

1. Objective

2. Background

3. Guiding Principles

4. Recommendation

5. Questions
2 OBJECTIVE
3 City Council adoption of guiding principles for the
negotiation of the Tanforan Development Agreement

BACKGROUND
4 Year Milestone
2021 City Council adopts Reimagining Tanforan Fact Sheet 2022 Alexandria Real Estate (ARE) finalizes purchase of the last Tanforan parcel
ARE submits preliminary plan
2023 Community engagement
2024 ARE submits formal application for Tanforan
2025 Tentative hearing dates for ARE application

TANFORAN
Developer Perspective
• Significant upfront investments
before any new construction
starts to bring the developer
revenue
5 City Perspective
• Site historically provided a
surplus of net revenue
• Lost revenue throughout the
site preparation phase until new
construction brings the City
revenue
Mix of retail, housing, employment, entertainment uses on 44 acres Multi-year site preparation phase:
• Demolition, grading, infrastructure

DEVELOPMENT AGREEMENT
• A Development Agreement is a voluntary, legally binding contract • Applicable when both parties have shared interest in success • Terms can reduce developer risks by providing clarity and assurances concerning vesting rights, costs, timeframes, and processes
• Terms can provides community benefits (often financial) to the City for the clarity and assurances
• ARE requests a DA
6 DA CONSIDERATIONS
• Intent to negotiate the best deal possible
 The City can provide ARE more certainty and assurances in the DA that reduces some of their risks
 ARE can provide the City with more fiscal certainty in the DA that reduces some
of the City’s risks
 The magnitude of the benefits staff will recommend the City provide ARE will correspond to the magnitude of the benefits ARE provides the City (and vice versa)
7 DA CONSIDERATIONS (continued)
• Intent of the Guiding Principles is to establish clarity for staff to negotiate terms that align with City Council’s priorities • Similar to the Budget Principles the City Council adopts leading into the budget preparation
8 PROPOSED GUIDING PRINCIPLES
The City would agree to provide the developer with certainty regarding the following, each of which brings value to the developer:

1. Transferable vested rights for zoning codes and approvals in effect at the adoption of the agreement.

2. Special fee and processing considerations for permits and construction that allow the project to move forward with predictable timeframes and costs.
9 PROPOSED GUIDING PRINCIPLES
The City seeks fiscal certainty regarding the following, each of which brings value to the City:

1. Seek the best community benefit package possible given the nature of the Tanforan project, informed by recent Development Agreements in the region.

2. Seek terms that ensure increased public safety service costs from the project are fully compensated in the long term.

3. Seek terms that incentivize faster construction phasing.

4. Seek terms that provide funding sooner rather than later.

5. Seek terms that prioritize economic development outcomes. 10 RECOMMENDATION
Consider adopting the Guiding Principles for the negotiation of the Tanforan Development Agreement
