SECOND AMENDMENT TO
PROFESSIONAL SERVICES AGREEMENT FOR
BANKING SERVICES
This Second Amendment to Professional Contractor Services Agreement for Banking Services (this “Second Amendment”) is made and entered into on this ____ day of ________, 20__, by and between the CITY OF SAN CLEMENTE, a California municipal corporation (“City”), and Bank of the West, a New York banking corporation (“Contractor”).
R E C I T A L S:
A. City and Contractor entered into that certain Professional Contractor Services Agreement for Banking Services (the “Original Agreement”) on November 15, 2011.
B. City and Contractor entered into that certain First Amendment to the Professional Contractor Services Agreement for Banking Services (“First Amendment”) on July 18, 2018. The Original Agreement, as modified by the First Amendment, is hereinafter referred to as the “Agreement.”
C. City and Contractor desire to amend the Agreement in the manner provided herein.
C O V E N A N T S:
Section 1: Article 1, Section 1.1 of the Agreement is hereby amended to extend the term of the Agreement to expire on November 15, 2026, thereafter the agreement will renew automatically for one-year terms upon mutual agreement between City and Contractor.
Section 2: Article 1, Section 1.1 of the agreement is hereby amended to allow the City Manager or his or her designee to have the authority on behalf of the City to administratively approve one-year extension terms.
Except as expressly amended by this Second Amendment, the remaining portions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Second Amendment to be duly executed on the respective dates set forth opposite of their signatures.
