AMENDMENT NO. 2 TO
Rideshare Beta Test Program Agreement
This Amendment No. 2 to Rideshare Beta Test Program Agreement (this “Second Amendment”) is made and entered into effective this 30th day of June, 2023, by and between the CITY OF SAN CLEMENTE, a California municipal corporation (“City”), and LYFT, INC., a Delaware corporation (“Consultant”).
R E C I T A L S:
City and Consultant entered into that certain Rideshare Beta Test Program Agreement (the “Original Agreement”) effective October 9, 2016.
On July 10, 2019, City and Consultant entered into that certain Amendment No. 1 to Rideshare Beta Test Program Agreement (“First Amendment”). The Original Agreement and the First Amendment are hereafter referred to collectively as the “Agreement”.
City and Consultant desire to amend the Agreement in the manner provided herein.
C O V E N A N T S:
For good and valuable consideration, the receipt and sufficiency of which is acknowledged, City and Consultant agree as follows:
1. Section 6(a) of the Agreement is hereby deleted in its entirety and replaced with the following:
5.1 Term. This Agreement shall commence on October 9, 2016 and continue until June 30, 2024, unless earlier terminated as authorized in Section 7.2 (“Termination”).
2. Except as expressly amended by this Second Amendment, the remaining portions of the Agreement shall remain in full force and effect. [SIGNATURES CONTINUED ON FOLLOWING PAGE]
IN WITNESS WHEREOF, the parties hereto have caused this Second Amendment to be duly executed on the respective dates set forth opposite of their signatures.
