SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT FOR SENIOR MOBILITY PROGRAM THIS SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT FOR SENIOR MOBILITY PROGRAM (“Second Amendment”) is made and entered into effective as of August 20, 2023 (the “Effective Date”), by and between the City of San Clemente, a municipal corporation, hereinafter referred to as the “City,” and Cabco Yellow Inc. dba California Yellow Cab, a California corporation with its principle place of business at 520 W. Dyer Road, Santa Ana, CA 92707, hereinafter referred to as “Contractor.” The City and Contractor individually may be referred to herein as a “Party” and together may be referred to herein as the “Parties.” RECITALS.
Agreement. The Parties entered into that certain Professional Services Agreement on August 21, 2018 for professional transportation services to be performed in connection with the City’s Senior Mobility Program (the “Original Agreement”).
On February 21, 2023, City and Contractor entered into that certain First Amendment to Professional Services Agreement for Senior Mobility Program (“First Amendment”) extending the contract through August 21, 2023. The Original Agreement and the First Amendment are hereafter referred to collectively as the “Agreement.” The Parties now desire to amend the Agreement to month-to-month in order to extend its term through and including August 21, 2024.
TERMS.
Term. The Term of the Agreement as set forth in its Section 1.1 is hereby amended in its entirety to read as follows:
“The Term of this Agreement shall commence on the Effective Date, and shall continue and remain in effect, on a month-to-month basis, renewing automatically until August 21, 2024 (the “Expiration Date”), unless terminated earlier pursuant to the terms hereof. This Agreement shall not be further extended beyond the Expiration Date.” Remaining Provisions of the Agreement. Except as otherwise specifically set forth in this Second Amendment, the remaining provisions of the Agreement shall remain in full force and effect. [REMAINDER OF THIS PAGE INTENTIONALLY LEFT BLANK]
