A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN CLEMENTE, CALIFORNIA, AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT NO. 3 WITH CR&R INCORPORATED TO CONTINUE SOLID WASTE HANDLING SERVICES FOR FOUR MONTHS WHEREAS, City and CR&R Incorporated (“CR&R”) entered into that certain Amended and Restated Agreement between the City of San Clemente and CR&R Incorporated for Solid Waste Handling Services dated January 1, 2011 (the "2011 Agreement"); and WHEREAS, City and CR&R entered into that certain Amendment No. 1 to Agreement between the City of San Clemente and CR&R Incorporated for Solid Waste Handling Services on June 13, 2016 (“First Amendment"); and WHEREAS, City and CR&R entered into that certain Amendment No. 2 to Agreement between the City of San Clemente and CR&R Incorporated for Solid Waste Handling Services on November 9, 2021 (“Second Amendment"). The 2011 Agreement, as modified by the First Amendment and the Second Amendment, is hereinafter referred to as the "Agreement"; and WHEREAS, City issued to CR&R a Notice of Termination of the automatic renewal of the Agreement on September 26, 2022. This resulted in an Agreement termination date of June 30, 2024; and WHEREAS, City and CR&R are still in negotiations over the terms of a new Amended and Restated Agreement for Solid Waste Handling Services; and WHEREAS, it is in the best interest of the City and the public to extend the Agreement for four additional months while an Amended and Restated Agreement is finalized.
NOW, THEREFORE, the City Council of the City of San Clemente does hereby find, determine and resolve as follows:
Section 1. That the above recitals are true and correct and incorporated herein as findings.
Section 2. That the City Manager is authorized and directed to execute Amendment No. 3 with CR&R Incorporated in a form substantially similar to that presented to the City Council on June 18, 2014 to continue Solid Waste Handling Services for four months.
Section 3. That staff is authorized and directed to take such other and further actions and execute such other and further documents as may be necessary to accomplish the purposes of this resolution.
Section 4. That the City Clerk shall certify to the passage and adoption of this resolution and enter it into the book of original resolutions.
