5. Fee for Service
a. Schedule For Lease. Owner shall pay fees to Broker as set forth herein: Broker will be deemed to have earned a Fee, and Owner will be responsible for payment of a Fee for services rendered, when Lessee previously registered by Broker enters into a fully executed lease of all or any portion of said Property on terms agreeable to the Owner prior to the Termination Date of this Agreement or within 180 days thereafter. The Fees shall be paid in accordance with the following schedule: 6% of the total rent for the length of the term. Broker is authorized to cooperate with Lessee's broker in connection with the lease, and to split said Fee on such terms as the brokers may agree. In the event that no other brokerage is involved in the Lease transaction, the fee amount will be reduced to 5% of the total rent consideration for the term. b. Fee Earned. Client shall pay a fee to Broker, pursuant to the Fee Schedule if:
(i) during the Term, Client and a Lessee execute a lease agreement for all or any portion of the Premises, whether said Lessee was procured by Broker or any other party;
(i) within one hundred eighty (180) days after expiration or termination of the Term, the Premises is leased to any person or entity whose name appears on any list of those parties that Broker submitted the Premises to during the Term, which Broker delivered to Owner (at the address stated below) within fifteen (15) days of expiration or termination of the Term;
c. Lease Termination or Default. Owner shall pay Broker a fee based upon the entire term of the lease and in accordance with the Fee Schedule notwithstanding any right of Owner to terminate the lease, Lessee's breach of the lease, Lessee's leasing of the Premises, or a lease termination agreement between Owner and Lessee. If the lease provides Lessee with an unconditional right to terminate the lease, Broker's initial fee payment shall be based on Lessee's payment obligations for the non-cancellable portion of the lease, plus 10% of the amount of any termination consideration payable by Lessee. If termination consideration payable by Lessee includes the unamortized fee, Owner shall pay Broker its fee as if no termination right existed. If Lessee does not exercise its termination right, Owner shall pay Broker the balance of the fee, pursuant to the Fee Schedule, within fifteen (15) days of Lessee's failure to exercise or waive its termination right.
d. Payment Of Earned Commissions: Leasing commissions shall be paid upon execution and delivery of a lease by Owner (Lessor) and Lessee.

Should Lessor/Owner not pay Broker their commission as agreed to above, Lessee is authorized by Lessor/Owner to deduct Broker's commission from Lessee's rent and pay 4885-5628-2561 v3 14

If Broker represents both the Owner and the Buyer, the fee shall be reduced to 4%. As used in this Agreement, the Gross Sale Price shall mean the full price paid by the Buyer for the Property, including any mortgages, loans or other obligations of Owner which may be assumed by Buyer or which Buyer takes title "subject to," any purchase money loans or mortgages taken back by Owner, the sales price of any fixtures or other personal property sold by separate agreement between Owner and Buyer as part of the overall sales of the Property, and the current market value of any other real or personal property transferred from Owner to Buyer. The Fee shall be paid to Broker through escrow upon close of the sale. Broker is authorized to cooperate with Buyers' broker in connection with the sale, and to split said Fee on such terms as the brokers may agree.

Broker shall inform Owner of all such offers to purchase or lease the Property, whether written or oral, following receipt thereof. b. Dual Agency. Owner acknowledges that Broker may represent a registered Lessee, and consents to such dual representation, provided such is disclosed prior to execution of any definitive lease or purchase agreement.
