FIRST AMENDMENT TO
AGREEMENT BETWEEN CIVICA LAW GROUP, APC
AND THE CITY OF SAN CLEMENTE
FOR CODE ENFORCEMENT LEGAL SERVICES
1. PARTIES AND DATE.
This First Amendment to the Professional Services Agreement for legal services ("First Amendment") is made and entered into by and between the CITY OF SAN CLEMENTE, a municipal corporation ("City") and CIVICA LAW GROUP, APC, a California Professional Corporation engaged in the practice of law in the State of California ("Consultant").
2. RECITALS.
A. City and Consultant entered an Agreement for legal services dated March 7, 2023 ("Agreement"), whereby Consultant agreed to provide code enforcement legal services to the City.
B. City and Consultant now desire to amend the Agreement as provided herein to be • effective as of the date approved by the City Council.
3. TERMS.
A. Amendment(s). Section 3.3 of the Agreement is hereby amended as follows:
"Compensation. For all legal services provided in this Agreement, the City will pay Consultant at the blended rate of $255 per hour for attorney representation and $157 per hour for paralegals and clerks, and such fees shall increase by up to five percent each fiscal year, rounded up to the nearest dollar, to offset rising costs. The attorneys' fees to Consultant shall not exceed $186,000 per fiscal year on a net basis without approval of the City." B. Continuing Effect of Agreement. Except as expressly amended by this First Amendment, the remaining portions of the Agreement shall remain in full force and effect. [SIGNATURES ON FOLLOWING PAGE]
