RESOLUTION NO. 25-58
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN CLEMENTE, CALIFORNIA, APPROVING A FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT NO. C20-28 WITH INTRODUCTIONS UNLIMITED, INC. FOR THE OPERATION OF THE SAN CLEMENTE SUNDAY FARMERS MARKET, AUTHORIZING THE CITY MANAGER TO EXECUTE THE AMENDMENT AND FINDING THE PROJECT CATEGORICALLY EXEMPT FROM THE CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) UNDER CLASS 1 (EXISTING FACILITIES, 14 CCR § 15301), SECTION 15301 OF THE STATE CEQA GUIDELINES WHEREAS, the City of San Clemente (“City”) entered into Professional Services Agreement No. 20-28 (“Agreement”) with Introductions Unlimited, Inc. (“Operator”) on June 3, 2020, for the operation and management of the Sunday Farmers Market; and WHEREAS, the current term of the Agreement is set to expire on June 4, 2025; and WHEREAS, the City and Operator desire to extend the Agreement for one (1) additional year and include new provisions for financial reporting, vendor compliance, and an increased monthly fee paid to the City; and WHEREAS, amending the Agreement is in the best interest of the City and the public.

NOW, THEREFORE, the City Council of the City of San Clemente does hereby find, determine and resolve as follows:

Section 1. Based on a review of the record as a whole, this project is categorically exempt from the California Environmental Quality Act (CEQA) under Class 1 (Existing Facilities, 14 CCR § 15301), Section 15301 of the state CEQA Guidelines because it consists of the leasing of existing public facilities (namely, public right-of-way), involving negligible or no expansion of existing or former use in that the same farmers market operations will continue unchanged.

Section 2. The City Council hereby approves the First Amendment to Professional Services Agreement No. 20-28 with Introductions Unlimited, Inc., extending the Agreement through June 3, 2026, and incorporating revised compensation, financial reporting, and vendor compliance terms.

Section 3. The City Council authorizes and directs the City Manager to execute the First Amendment to Professional Services Agreement No. 20-28 with Introductions Unlimited, Inc. in a form substantially similar to that presented to the City Council on May 6, 2025.

Section 4. The City Manager and his designee are hereby authorized to take such other and further actions as may be necessary and proper to accomplish the purposes of this resolution.

Section 5. The City Clerk shall certify to the passage and adoption of this resolution and enter it into the book of original resolutions.
