FIRST AMENDMENT TO
PROFESSIONAL CONSULTANT SERVICES AGREEMENT FOR
SAN CLEMENTE TROLLEY TRANSIT OPERATION SERVICES – RED & BLUE LINE This First Amendment to Professional Consultant Services Agreement for San Clemente Trolley Transit Operation Services – Red & Blue Line (this “First Amendment”) is made and entered into on this ____ day of ________, 2025, by and between the CITY OF SAN CLEMENTE, a California municipal corporation (“City”), and LAZ Parking California LLC (“Consultant”).
R E C I T A L S:
City and Consultant entered into that certain Professional Consultant Services Agreement for San Clemente Trolley Transit Operation Services – Red & Blue Line (the “Original Agreement”) on or about June 18, 2024.
City and Consultant desire to amend the Agreement in the manner provided herein.
C O V E N A N T S:
Section 3.1.1 of the Agreement is hereby amended to expand trolley services by including year-round Friday service on the Red Line, beginning October 1, 2025, resulting in an additional 5,034 service hours over the three-year term.
Section 3.3.1 of the Agreement is hereby amended to increase the total not to exceed contract amount from $1,871,665.80 to TWO MILLION TWO HUNDRED SEVENTY-TWO THOUSAND TWENTY-ONE AND SIX CENTS ($2,272,021.06).
Exhibit D of the Agreement is hereby amended to increase the Estimated Annual Service Hours for Year 1 to 8,908, Year 2 to 2,008, and Year 3 to 2,008.
Except as expressly amended by this First Amendment, the remaining portions of the Agreement shall remain in full force and effect. [SIGNATURES ON FOLLOWING PAGE]
