RESOLUTION NO. 25-156
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN CLEMENTE, CALIFORNIA, APPROVING AND AUTHORIZING THE CITY MANAGER TO OPT INTO THE SETTLEMENT AGREEMENTS WITH ALVOGEN, AMNEAL, APOTEX, INDIVIOR, MYLAN, SUN, AND ZYDUS; AND FUTURE SETTLEMENTS ON SIMILAR TERMS IN THE MDL NO. 2804 NATIONAL PRESCRIPTION OPIATE LITIGATION; AND ALLOCATE THE CITY’S DESIGNATED SHARE TO THE COUNTY OF ORANGE WHEREAS, United States is facing an ongoing public health crisis of opioid abuse, addiction, overdose, and death. The state of California and local governments spend billions of dollars addressing the crisis; and WHEREAS, the City has previously entered into settlement agreements with opioid manufacturers, distributors, and pharmacy chains collectively “The National Settlement Agreements,” which include: Amerisource Bergen, Cardinal Health, McKesson, Janssen, Mallinckrodt, Kroger, Teva, Allergen, CVS, Walgreens, Walmart and Purdue Pharma in the MDL No. 2804 National Prescription Opiate Litigation; and WHEREAS, the proposed settlement agreements include eight opioid manufacturers, specifically, Alvogen, Amneal, Apotex, Hikma, Indivior, Mylan, Sun, and Zydus (the “Secondary Manufacturers”) providing a maximum of approximately $720 million to participating subdivisions to remediate the abatement impacts of the opioid crisis; and WHEREAS, the City desires to opt into the settlement agreements with the Secondary Manufacturers and future settlements to support maximum opioid abatement funding; and WHEREAS, the City recognizes that direct funding from the National Settlement and Manufactures Agreements are negligible and insufficient to support meaningful opioid abatement and recovery program activities at the municipal level; and WHEREAS, the allocation of direct funding to the County of Orange ensures opioid abatement efforts are comprehensive and available to San Clemente residents and in the best interests of the City and the public.

NOW, THEREFORE, the City Council of the City of San Clemente does hereby find, determine and resolve as follows:

SECTION 1. That the above recitations are true and correct and fully incorporated herein.

SECTION 2. That the City Council hereby approves and authorizes the City Manager, or his designee, to opt into the settlements with Alvogen, Amneal, Apotex, Hikma, Indivior, Mylan, Sun, and Zydus, execute any and all documents necessary to implement the action, and when possible (i.e., after payment to special counsel) allocate the City’s designated share of settlement funds to the County of Orange; and SECTION 3. That the City Council hereby approves and the City Manager or his designee is hereby authorized to opt into future settlements on similar terms in the MDL No. 2804 National Prescription Opiate Litigation, execute any documents necessary to implement the action and, when possible (i.e. after payment to special counsel) allocate the City’s designated share of settlement funds to the County of Orange.

SECTION 4. That City staff is authorized and directed to execute such other documents and take such other and further actions as are necessary and proper to accomplish the purposes of this resolution.

SECTION 5. That the City Clerk shall certify to the passage and adoption of this resolution and enter it into the book of original resolutions.
