FIRST AMENDMENT TO
PROFESSIONAL CONSULTANT SERVICES AGREEMENT FOR
PEDESTRIAN AUDIBLE WARNING SYSTEM REHABILITATION PROJECT This First Amendment to Professional Consultant Services Agreement for Pedestrian Audible Warning System Project (this “First Amendment”) is made and entered into on this _____ day of ___________, 2025, by and between the CITY OF SAN CLEMENTE, a California municipal corporation (“City”), and Pacific Railway Enterprises, Inc., 3560 University Avenue, Suite F, Riverside, California 92501 (“Consultant”).
R E C I T A L S:
City and Consultant entered into that certain Professional Consultant Services Agreement for professional electrical and systems engineering and design consulting services (the “Agreement”) on or about October 15, 2024.
City and Consultant desire to amend the Agreement in the manner provided herein.
C O V E N A N T S:
WHEREFORE, the Parties agree as follows:
1. Section 3.2.1 of the Agreement is hereby amended by extending the Agreement termination date until successful completion of the project, unless otherwise earlier terminated as provided in the Agreement.
2. This First Amendment and the Agreement may be executed electronically with the same force and effect as original ink signatures.
3. Except as expressly amended by this First Amendment, the remaining portions of the Agreement shall remain in full force and effect. [SIGNATURES ON FOLLOWING PAGE]
