FIRST AMENDMENT TO
PROFESSIONAL CONSULTANT SERVICES AGREEMENT FOR
SENIOR MOBILITY PROGRAM TRANSPORTATION SERVICES
This First Amendment to Professional Consultant Services Agreement for Senior Mobility Program Transportation Services (this “First Amendment”) is made and entered into on this ____ day of ________, 2025, by and between the CITY OF SAN CLEMENTE, a California municipal corporation (“City”) and OCY Management, LLC, a California limited liability company (“Consultant”).
R E C I T A L S:
City and Consultant’s predecessor in interest, Cabco Yellow, Inc. dba California Yellow Cab (CYC), entered into that certain Professional Consultant Services Agreement for Senior Mobility Program Transportation Services (the “Agreement”) on or about August 20, 2024.
On May 1, 2025, Consultant was assigned and assumed all CYC’s rights and obligations under the Agreement.
City and Consultant desire to amend the Agreement in the manner provided herein.
C O V E N A N T S:
1. Section 3.1.2 of the Agreement is hereby amended such that the term of the Agreement shall be from August 19, 2024 to February 28, 2026, unless earlier terminated as provided in the Agreement.
2. Section 3.3.1 of the Agreement is hereby amended to modify the yearly not to exceed amount of One Hundred Thousand ($100,000) to a total not to exceed amount of Three Hundred Fifty Five Thousand ($355,000) for the entire term of the Agreement.
3. Except as expressly amended by this First Amendment, the remaining portions of the Agreement shall remain in full force and effect. [SIGNATURES ON FOLLOWING PAGE]
IN WITNESS WHEREOF, the Parties hereto have caused this First Amendment to be duly executed on the respective dates set forth opposite of their signatures and is effective as of the date first entered above.
