A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN CLEMENTE, CALIFORNIA, APPROVING AN EXEMPTION TO THE FORMAL SOLICITATION PROCESS, AUTHORIZING THE CITY TO ENTER INTO A REGIONAL CONTRACT BETWEEN THE SOUTH ORANGE COUNTY WASTEWATER AUTHORITY (SOCWA), INTEGRITY MUNICIPAL SYSTEMS, LLC, AND SOCWA ENTITIES, FOR SERVICE AND MAINTENANCE FOR THE ODOR SCRUBBER TOWERS AT THE WATER RECLAMATION PLANT, AUTHORIZING THE CITY MANAGER TO EXECUTE THE CONTRACT FOR AN AMOUNT NOT TO EXCEED $26,655, AUTHORIZING THE CITY MANAGER TO APPROVE UP TO FOUR ONE-YEAR RENEWALS, AND FINDING THE ACTIONS CATEGORICALLY EXEMPT FROM THE CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) UNDER CLASS 1 OF THE STATE CEQA GUIDELINES SECTION 15301 (14 CCR SECTION 15301, EXISTING FACILITIES) WHEREAS, there are two Odor Scrubber Towers at the City’s Water Reclamation Plant (WRP), which are specialized systems designed to capture and neutralize foul-smelling and hazardous gases generated during the wastewater treatment process; and WHEREAS, the Odor Scrubbers improve air quality for the surrounding community, protect the health of personnel, and prevent the corrosion of plant infrastructure. They require periodic service and maintenance, and these services involve highly specialized chemical treatment that needs to be performed by a qualified, licensed contractor and is critical to continue compliant operation of the Odor Scrubbers at the WRP facility; and WHEREAS, the City of San Clemente has a long history of participating in various regional contracts with SOCWA and other agencies that are collectively referred to as SOCWA entities, to reduce costs for services related to the Water Reclamation Plant; and WHEREAS, the previous regional contract the City participated in through SOCWA for Odor Scrubber Services was with Integrity Municipal Services, which ended in November 2025; and WHEREAS, SOCWA staff conducted a Request for Proposals Process for a new contract for Odor Scrubber services through PlanetBids in October 2025, and received one Proposal from Integrity Municipal Services, LLC; and WHEREAS, SOCWA determined the Proposal to be the best value to SOCWA, and Utilities Staff recommends participating in the SOCWA regional contract; and WHEREAS, SOCWA will enter into an initial one-year contract with fixed pricing, with four optional annual extensions which will be negotiated at the expiration of each term. A new Request for Proposal will be released by SOCWA if negotiations are not successful; and WHEREAS, the City’s Purchasing Policies and Procedures No. 201-2-1, Section XI.A.1.1.5 provides for an exemption from formal and informal solicitation requirements for services and/or supplies obtained from or through agreement with any governmental, public or quasi-public entity.

NOW, THEREFORE, the City Council of the City of San Clemente does hereby resolve as follows:

SECTION 1. That the above recitations are true and correct and fully incorporated herein.

SECTION 2. That based on a review of the entire record as a whole, these actions are categorically exempt from the California Environmental Quality Act (CEQA) under Class 1 of the state CEQA Guidelines Section 15301 (14 CCR Section 15301, Existing Facilities) because the contract for service and maintenance of the Odor Scrubber Towers at the WRP consists of the operation, repair, maintenance, permitting, leasing, licensing, or minor alteration of existing public or private structures, facilities, mechanical equipment, or topographical features, involving negligible or no expansion of existing or former use and has no potential to result in either a direct or physical change in the environment or a reasonably foreseeable indirect physical change in the environment.

SECTION 3. That the City Council approves an exemption to the formal solicitation process within the City’s Purchasing Policies and Procedures No. 201-2-1, Section XI.A.1.1.5 for services and/or supplies obtained from or through agreement with any governmental, public or quasi-public entity since SOCWA is a public agency and there is no reasonable possibility of obtaining better pricing commensurate with the time and effort expended for a formal solicitation.

SECTION 4. That a one-year contract between SOCWA, Integrity Municipal Systems, LLC, and the SOCWA Entities, including the City of San Clemente, for service and maintenance for the odor scrubber towers at the Water Reclamation Plant is hereby awarded and authorized.

SECTION 5. That the City Manager is authorized and directed to execute such contract for an amount not to exceed $26,655 for the initial one-year term in a form substantially similar to that presented to City Council on January 20, 2026.

SECTION 6. That the City Manager is authorized to approve up to four, one-year extensions to such contract that do not exceed the City Council approved budgeted amounts for each fiscal year.

SECTION 7. That the City Manager or his designee are authorized and directed to execute such other documents and take such other and further as actions as may be necessary to accomplish the purposes of this resolution and implement the project.

SECTION 8. The City Clerk shall certify to the passage and adoption of this resolution and enter it into the book of original resolutions.
