A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN CLEMENTE, CALIFORNIA, APPROVING AN EXEMPTION TO THE FORMAL SOLICITATION PROCESS, AWARDING AND AUTHORIZING THE CITY TO ENTER INTO A REGIONAL CONTRACT BETWEEN THE SOUTH ORANGE COUNTY WASTEWATER AUTHORITY (SOCWA), ROLL OFF SOLUTIONS, INC., AND SOCWA ENTITIES, FOR GRIT AND SCREENINGS SERVICES AT THE WATER RECLAMATION PLANT, AUTHORIZING THE CITY MANAGER TO EXECUTE THE CONTRACT FOR AN AMOUNT NOT TO EXCEED $42,645, AUTHORIZING THE CITY MANAGER TO APPROVE UP TO FOUR ONE-YEAR RENEWALS, AND FINDING THE ACTIONS CATEGORICALLY EXEMPT FROM THE CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) UNDER CLASS 1 OF THE STATE CEQA GUIDELINES SECTION 15301 (14 CCR SECTION 15301, EXISTING FACILITIES) WHEREAS, Screenings and Grit are two types of residual solids from the wastewater treatment process which are non-digestible through the wastewater treatment system. Grit consists of sand and silt or other detritus material, and Screenings are coarse solids such as paper, fecal matter, cloth, wood, or other material; and WHEREAS, agencies, including the City, use contractors to haul this non-recyclable material to the Simi Valley Landfill in Ventura County, which is the only landfill in Southern California that accepts this material; and WHEREAS, the City of San Clemente has a long history of participating in various regional contracts with SOCWA and other agencies that are collectively referred to as SOCWA entities, to reduce costs for services related to the Water Reclamation Plant; and WHEREAS, the previous regional contract the City participated in through SOCWA for Grit and Screenings Services was with Athens Services, Inc., which ended in November 2025; and WHEREAS, SOCWA staff conducted a Notice Inviting Bids Process for a new contract for Grit and Screenings Services through PlanetBids in October 2025, and received three responsive and responsible bids; and WHEREAS, Roll Off Solutions, Inc. was the lowest responsible bidder; and WHEREAS, SOCWA will enter into an initial one-year contract with fixed pricing, with four optional annual extensions that will be negotiated at the expiration of each term. A new Notice Inviting Bids will be released by SOCWA if negotiations are not successful; and WHEREAS, the City’s Purchasing Policies and Procedures No. 201-2-1, Section XI.A.1.1.5 provides for an exemption from formal and informal solicitation requirements for services and/or supplies obtained from or through agreement with any governmental, public or quasi-public entity.
NOW, THEREFORE, the City Council of the City of San Clemente does hereby find, determine and resolve as follows:
SECTION 1. That the above recitations are true and correct and fully incorporated herein.
SECTION 2. That based on a review of the entire record as a whole, these actions are categorically exempt from the California Environmental Quality Act (CEQA) under Class 1 of the state CEQA Guidelines Section 15301 (14 CCR Section 15301, Existing Facilities) because they consist of the operation, repair, maintenance, permitting, leasing, licensing, or minor alteration of existing public or private structures, facilities, mechanical equipment, or topographical features, involving negligible or no expansion of existing or former use.
SECTION 3. That the City Council approves an exemption to the formal solicitation process within the City’s Purchasing Policies and Procedures No. 201-2-1, Section XI.A.1.1.5 for services and/or supplies obtained from or through agreement with any governmental, public or quasi-public entity since SOCWA is a public agency and there is no reasonable possibility of obtaining better pricing commensurate with the time and effort expended for a formal solicitation.
SECTION 4. That a one-year contract between the SOCWA, Roll Off Solutions, Inc., and SOCWA Entities, for Grit and Screenings Services at the Water Reclamation Plant is hereby awarded and authorized.
SECTION 5. That the City Manager is authorized and directed to execute the contract between the South Orange County Wastewater Authority (SOCWA), Roll Off Solutions, Inc., and SOCWA Entities for an amount not to exceed $42,645 for the initial one-year term in a form substantially similar to that presented to City Council on January 20, 2026.
SECTION 6. That the City Manager is authorized to approve up to four, one-year extensions to such contract that do not exceed the City Council approved budgeted amounts for each fiscal year.
SECTION 7. That the City Manager or his designee are authorized and directed to execute such other documents and take such other and further actions as may be necessary to accomplish the purposes of this resolution and implement the projects.
SECTION 8. The City Clerk shall certify to the passage and adoption of this resolution and enter it into the book of original resolutions.
