FIRST AMENDMENT TO
AGREEMENT FOR MAINTENANCE SERVICES FOR
GREAT SCOTT TREE SERVICE, INC.
This First Amendment to Maintenance Services Agreement C24-67 for ANNUAL TREE MAINTENANCE SERVICES (this “First Amendment”) is made and entered into on this ____ day of ________, 2026, by and between the CITY OF SAN CLEMENTE, a California municipal corporation (“City”), and (“Consultant”).
R E C I T A L S:
City and Consultant entered into that certain Agreement for Maintenance Services for ANNUAL TREE MAINTENANCE SERVICES (the “Agreement”) on November 19, 2024.
During FY 2025–26, the City required out-of-cycle tree maintenance work at San Gorgonio Park that was necessary to protect public safety, preserve tree health, and address hazardous conditions affecting the surrounding park.
The cost of this work exceeded the existing base contract allocation for FY 2025–26. Sufficient funds are available in the adopted FY 2025–26 budget (Account No. 001-633-43426), and no supplemental appropriation is required.
On January 20, 2026, the City Council adopted Resolution No. 25-XX, approving this First Amendment and determining that the action is categorically exempt from CEQA pursuant to Class 1 (Existing Facilities), CEQA Guidelines §15301.
City and Consultant desire to amend the Agreement in the manner provided herein.
C O V E N A N T S:
1. Section 3.3.1 of the Agreement is hereby amended to read as follows:
Contractor shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement, including all work necessary to reasonably complete the Services, at the rates set forth in Exhibit “E” attached hereto and fully incorporated herein by this reference. For Fiscal Year 2025–26, the base contract amount is increased by Fifty-Seven Thousand Seven Hundred Nineteen Dollars ($57,719.00) to reflect out-of-cycle tree maintenance work completed at San Gorgonio Park such that the total compensation under this Agreement shall not exceed Four Hundred Thirty-Seven Thousand Six Hundred Fifty-Six Dollars and Fifty-Seven Cents ($437,656.57). Such amount includes a base contract amount of Three Hundred Seventy-Seven Thousand Six Hundred Fifty-Six Dollars and Fifty-Seven Cents ($377,656.57) and a supplemental/emergency allocation of Sixty Thousand Dollars ($60,000.00).
Extra Work may be authorized, as described below, and if authorized, will be compensated at the rates and manner set forth in this Agreement.
2. This First Amendment and the Agreement may be executed electronically with the same force and effect as original ink signatures.
3. Except as expressly amended by this First Amendment, the remaining portions of the Agreement shall remain in full force and effect.
