RESOLUTION NO. 26-37
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN CLEMENTE, CALIFORNIA, AUTHORIZING THE MAYOR TO FINALIZE AND EXECUTE A THIRD AMENDMENT TO THE EMPLOYMENT AGREEMENT WITH GARY ANDREW “ANDY” HALL IMPLEMENTING AN EXECUTIVE LEVEL INCREASE IN COMPENSATION WHEREAS, on February 20, 2023, the City of San Clemente (“City”) and Gary Andrew “Andy” Hall entered into an Employment Agreement (“Employment Agreement”) employing Mr. Hall as City Manager; and WHEREAS, Section 5(A) of the Employment Agreement provides in part that adjustments to Mr. Hall’s base salary approved by the City Council are to be accomplished by an amendment to the Agreement; and WHEREAS, effective February 20, 2024, the City and Mr. Hall entered into that certain First Amendment to Employment Agreement (“First Amendment”) increasing Mr. Hall’s annual base salary to the City Manager classification, Range 99, Step D on the City’s Salary Schedule – Benefited Employees, which was a partial step up and a 2.99% increase; and WHEREAS, effective February 18, 2025, the City and Mr. Hall entered into that certain Second Amendment to Employment Agreement (“Second Amendment”) increasing Mr. Hall’s annual base salary to $306,311.21, which was a 3% increase; and WHEREAS, pursuant to that certain Second Amendment, Mr. Hall’s base salary is subject to annual base salary increases as identified in Article I – Wages of the Memorandum of Understanding (MOU) between the City of San Clemente and the San Clemente City Employees’ Association (SCCEA) adopted August 20, 2024, and was increased by 3% effective July 7, 2025 to the amount of $315,500.55; and WHEREAS, the City Council concluded its annual performance evaluation for Mr. Hall on February 17, 2026; and WHEREAS, consistent with the terms of Mr. Hall’s Employment Agreement, as amended, and in light of his positive evaluation, the City Council finds that it is in the best interests of the City and the public to increase Mr. Hall’s current compensation; and WHEREAS, consistent with Government Code section 54953(c)(3), on March 3, 2026, in a regular City Council meeting and before taking final action, an oral report summarizing the recommendation on the compensation to be paid to a local agency executive was made during the open meeting.
NOW, THEREFORE, the City Council of the City of San Clemente does hereby resolve as follows:
SECTION 1. The foregoing recitals are true and correct and incorporated fully herein.
SECTION 2. That the Mayor is authorized and directed to finalize and execute a Third Amendment to the Employment Agreement effective February 17, 2026 in a form approved by the City Attorney that makes the following adjustments to Mr. Hall’s compensation:
A. Adjust Mr. Hall’s base salary by ____% to $_________; and B. Adjust Mr. Hall’s fringe benefits by ___________________________.
SECTION 3. That the Assistant City Manager, or his designee, is authorized and directed in consultation with the City Attorney to take such actions as are necessary and proper to accomplish the purposes and intent of this resolution.
SECTION 4. That the City Clerk shall certify to the passage and adoption of this resolution and enter it into the book of original resolutions.
