SECOND AMENDMENT TO
PROFESSIONAL SERVICES AGREEMENT FOR
SUNDAY FARMERS MARKET
This Second Amendment to Professional Services Agreement for Sunday Farmers Market (this “Second Amendment”) is made and entered into on this ____ day of ________, 2026, by and between the City of San Clemente, a California municipal corporation (“City”), and Introductions Unlimited (“Operator”).
R E C I T A L S:
The City and Operator entered into that certain Agreement (C20-28) for Sunday Farmers Market dated June 2, 2020 as previously amended by the First Amendment thereto dated May 6, 2025 (“Agreement”).
The Agreement governs the operation and management of the City’s Certified Farmers Market located on Avenida Del Mar.
The current term of the Agreement is scheduled to expire on June 3, 2026.
The City is currently undertaking a Request for Proposals process for future operation of the Certified Farmers Market and desires to maintain continuity of operations during the evaluation and transition process.
The City and Operator desire to extend the Agreement through September 30, 2026, to allow the market to continue operating effectively through the busy summer season without disruption to customers, vendors, or market operations.
C O V E N A N T S:
Section 7 of the Agreement relating to the term is hereby amended to extend the expiration date of the Agreement through September 30, 2026, unless earlier terminated in accordance with the provisions of the Agreement.
This Second Amendment may be executed electronically with the same force and effect as original ink signatures.
Except as expressly amended by this Second Amendment, the remaining portions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the Parties hereto have caused this Second Amendment to be duly executed on the respective dates set forth opposite of their signatures.
