FIRST AMENDMENT TO
AGREEMENT FOR MAINTENANCE SERVICES FOR
PRESSURE WASHING IN THE DOWNTOWN AREA
This First Amendment to the Agreement for Maintenance Services for Pressure Washing in the downtown area (this "First Amendment") is made and entered into on this I day of July, 2026, by and between the CITY OF SAN CLEMENTE, a California municipal corporation ("City"), and Powerclean PC Pressure Washing, Inc., a California corporation, with its principal place of business located at 1742 Green Canyon Road, Fallbrook, CA 92028 fka Dave Ausmus dba Powerclean ("Contractor").
R E C I T A L S:
A. City and Contractor entered into that certain Agreement for Maintenance Services for Pressure Washing in the downtown area (the "Agreement") on or about June 20, 2023.
B. On or about February 18, 2026, Contractor incorporated under the laws of the State of California and changed its legal name from "Dave Ausmus dba Powerclean" to "Powerclean PC Pressure Washing, Inc." with the new company assuming all of the prior company's contractual obligations and taking over all operations and responsibilities on or about April 1, 2026 when it filed its Statement of Information with the California Secretary of State and therefore became legally authorized to do business. City and Contractor wish to amend the Agreement accordingly.
C. Section3.1.2oftheAgreementspecifiesaninitialtermofJulyl,2023throughJune30, 2026, and the City's unilateral option to extend the Agreement term by up to two (2) additional one-year terms.
D. City and Contractor desire to amend the Agreement to exercise the first one-year term extension to provide for maintenance services for Pressure Washing in the downtown area from July 1, 2026 to June 30, 2027.
E. Section 3.3.5 of the Agreement specifies the rate set forth may be adjusted each year at the time of renewal.
F. Contractor submitted a proposal dated May 7, 2026 requesting to increase the annual cost for this first one-year term extension by a 3.7% consumer price index cost increase.
G. City and Contractor desire to amend the Agreement in the manner provided herein, which is in the best interests of the City and the public.

Powerclean PC Pressure Washing, Inc.
: Section 3.1.2 of the Agreement titled "Term"is hereby deleted and replaced in its entirety with the following:
The term of the Agreement shall be from July 1, 2023, and shall continue and remain in effect until June 30, 2027, unless terminated earlier as provided herein.
The City shall have the unilateral option, at its sole discretion, to renew this Agreement for one (1) additional one-year term. Contractor shall complete the Services within the term of this Agreement, and shall meet any other established schedules and deadlines.
Section 3: Section 3.3.1 and Exhibit E of the Agreement, both titled "Compensation", are hereby amended to apply a 3.7% consumer price index cost increase and increase the total per year base and not to exceed cost and annual compensation from $66,950.00 for the initial term, to $69,426.96 for the first one-year term extension for the period July 1, 2027 through June 30, 2027.
Section 4: This First Amendment may be executed electronically with the same force and effect as original ink signatures.
Section 5: Except as expressly amended by this First Amendment, the remaining portions of the Agreement shall remain in full force and effect. [SIGNATURES ON FOLLOWING PAGEI
