RESOLUTION NO. 26-156
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN CLEMENTE, CALIFORNIA, AWARDING A REVOCABLE LICENSE AGREEMENT TO INTRODUCTIONS UNLIMITED, INC. FOR THE OPERATION AND MANAGEMENT OF THE SAN CLEMENTE CERTIFIED FARMERS’ MARKET, AUTHORIZING THE CITY MANAGER TO EXECUTE THE AGREEMENT, AND FINDING THE ACTION CATEGORICALLY EXEMPT FROM THE CALIFORNIA ENVIRONMENTAL QUALITY ACT ("CEQA") PURSUANT TO CEQA GUIDELINES SECTION 15301 (CLASS 1 – EXISTING FACILITIES) AND SECTION 15323 (CLASS 23 – NORMAL OPERATIONS OF FACILITIES FOR PUBLIC GATHERINGS) WHEREAS, the City of San Clemente has supported the operation of a Certified Farmers’ Market on Avenida Del Mar for more than three decades, providing residents and visitors with access to certified agricultural producers, food vendors, and other eligible market participants; and WHEREAS, the City conducted a competitive Request for Proposals process for the continued operation and management of the San Clemente Certified Farmers’ Market and received four proposals, all of which were evaluated through the City's selection process; and WHEREAS, following evaluation of the proposals and interviews with all four proposers, City staff identified Introductions Unlimited, Inc. as the preferred proposer based upon its qualifications, experience, vendor relationships, knowledge of the San Clemente community, operational capabilities, and its overall proposal; and WHEREAS, City staff negotiated a new Revocable License Agreement with Introductions Unlimited, Inc. that establishes requirements for operation of the Certified Farmers’ Market, including enhanced City oversight, financial and operational reporting, vendor recruitment and development, community engagement, regulatory compliance, and market operations; and WHEREAS, the operation of a Certified Farmers’ Market is a benefit to the public and continuing it is in the best interests of the City and the community.

NOW, THEREFORE, the City Council of the City of San Clemente does hereby find, determine and resolve as follows:

SECTION 1. The foregoing recitals are true and correct and are fully incorporated herein by this reference.

SECTION 2. Based on a review of the record as a whole, the City Council finds and determines that this project is categorically exempt from the California Environmental Quality Act ("CEQA") pursuant to CEQA Guidelines Section 15301 (Class 1 – Existing Facilities, 14 CCR 15301) and Section 15323 (Class 23 – Normal Operations of Facilities for Public Gatherings, 14 CCR 15323). The Certified Farmers' Market has operated as a recurring public gathering on Avenida Del Mar for more than three decades. The Revocable License Agreement provides for continuation of the existing market in substantially the same location and manner and does not result in a significant expansion of the existing use. The City Council further finds that there are no unusual circumstances or other applicable exceptions set forth in CEQA Guidelines Section 15300.2 that would preclude application of the categorical exemptions.

SECTION 3. The Revocable License Agreement for the operation and management of the San Clemente Certified Farmers’ Market is hereby awarded to Introductions Unlimited, Inc.

SECTION 4. The City Manager or his designee is hereby authorized and directed to execute the Revocable License Agreement in a form substantially similar to that presented to the City Council and to take such other and further actions as may be reasonably necessary and proper to administer and implement the Agreement, including approval of minor administrative modifications, provided such modifications are approved as to form by the City Attorney and do not materially alter the substantive terms approved by the City Council.

SECTION 5. The City Clerk shall certify to the passage and adoption of this resolution and enter it into the book of original resolutions.
