Call to Order: 6:15 PM

CONSENT ITEMS COMMENTS/RECOMMENDATIONS

1. City Council Attendance and Absence
Policy
This item was tabled to a future study session
when the Mayor can be present.

2. Review of SB 707 Teleconferencing and
Remote Participation Requirements and
Establishing Procedures
The Council expressed general support for
the use of Zoom for community participation.

Staff will incorporate Council feedback into
SB 707/Zoom Public Participation Policies
and present them at a future meeting for
further discussion and direction.

1. Video Requirement and Call-In
Participation
• Clarify in policy when video may be
required or expected, and how that
interacts with required call-in access.
• Consider and acknowledge legitimate
privacy and practical concerns (e.g.,
late-night meetings, home
environments) in drafting language.

2. Zoom Meeting Administration (Muting,
Hand-Raising, Screen Display,
Configuration)

Page 29 ends

Approve Minutes of the April 14, 2026 City Council Meeting Page 2 For the Meeting of April 16, 2026
• All participants are muted upon
entry to the Zoom meeting by default;
unmuting occurs when recognized by
the presiding officer.
• Participants must use the “raise
hand” feature (or equivalent) to
request to speak; order of speakers to
be managed by the presiding officer or
designee.
• Formalize a Zoom Policy:
o Only the current speaker is
brought on screen during
public comment (no large
mosaic of all video
participants).
o Display the active speaker
only on in-room projection and
dais monitors during public
comment.
o Maintain a neutral
backdrop (e.g., black screen)
when no member of the public
is speaking.
• Better identify and address repeat or
coordinated disruptive callers while
recognizing legal constraints.

3. Filters, Virtual Masks, Emojis, and
Add Ons
• Draft policy language, if legally
permissible, to prohibit or restrict
visual effects and add ons that
prevent viewing the “authentic
individual” speaking.
• Review for First Amendment
implications, including analogies to
physical masks in in person meetings,
and return with legally defensible
options.

4. Authority to Mute, Remove, or Control
Speakers
• Clarity that the presiding officer (not
staff) is responsible for determining
when to mute, remove, or otherwise
limit a speaker for disruption or
violation of rules.

Page 30 ends

Approve Minutes of the April 14, 2026 City Council Meeting Page 3 For the Meeting of April 16, 2026
• Staff/IT will implement the presiding
officer’s direction, rather than make
independent content or conduct
decisions.
• Staff and City Attorney will develop a
clear process (e.g., visual or verbal
cue) for the presiding officer to signal
staff when action should be taken.
• Staff and City Attorney will provide
training to Council on examples of
conduct that clearly justify removal or
limitation.
• Clarify how racist or abusive language
is handled under existing
profanity/abusive speech provisions,
consistent with First Amendment
standards.
• Conduct that presents a “blurry line”
under First Amendment standards.
• Relevant examples from other
jurisdictions to guide consistent
application.

5. Public Comment Logistics and Digital
“Comment Cards”
Staff directed to explore and return with
options for:
• A digital comment card or registration
process for Zoom participants to
indicate name and which applicable,
agenda item(s) they wish to address.
• An integrated queue/order system that
manages both in-person and remote
speakers.
• Minimizes inefficiency and confusion
(e.g., people called forward on the
wrong item).

6. Language Access, Interpretation, and
Accessibility
With at least 24 hours’ notice, the City will
provide translation and other
accommodations consistent with current
policy and legal requirements.

Page 31 ends

Approve Minutes of the April 14, 2026 City Council Meeting Page 4 For the Meeting of April 16, 2026
• Evaluate how these accommodations
apply in Zoom settings (e.g.,
interpreters, audio channels, devices).
• Continue improving website
accessibility and language guidance,
including instructions on
browser-based translation and PDF
translation resources already
available.

Staff will document and utilize safe harbor
procedures when appropriate if unintentional
error occur in applying these policies.

The meeting was adjourned at 7:02 PM

DISCUSSION/ANALYSIS
It is the policy of the City of San Dimas to invest public funds in a manner that will provide an optimal combination of security and investment return while meeting the daily cash flow demands of the City and conforming to all State and local statutes governing the investment of public funds.

The priority objectives of the City’s investment activities are as follows: safety, liquidity and returns.

The City’s investment portfolio as of March 31, 2026 maintained liquid cash in the amount of $13,624,693.41 held between BMO Harris, the City and LAIF and the CALTRUST Liquidity Fund.

This amounts to just over 18% of the portfolio to provide the cash flow necessary for City payroll and operating expenditures as well as large capital project expenses and unforeseen

The City’s Banking Services Provider BMO Harris provides a fully collateralized checking account whose funds are used to make cash payments for City payroll and operational expenses. The City performs daily bank reconciliations to ensure adequate cash is held in the checking account for upcoming expenditures. Cash held in the account earns income credits that accumulate at a rate of .75% which offsets banking service charges that are charged each quarter to the city. As of June 10, 2024, the City opened a collateralized money market account with BMO Harris.

In accordance with the LA County Safe Water Program Guidelines, a separate money market account was opened this month to ensure that funds from this program are maintained in a segregated, interest-bearing account.

Petty Cash is held at City facilities for cashiering purposes and to reimburse small dollar expenditures between $0.01 and $50.00.

The Local Agency Investment Fund (LAIF) is considered a Local Agency Investment Pool and acts much like a money market account. Funds can be deposited and withdrawn without penalty.

The pool invests funds in short-term securities and can produce returns at rates like money markets but is considered more secure.

CALTRUST is a public agency that provides investment funds that are liquid, short term, and medium term. The assets held by CALTRUST are managed by State Street Global Advisors.

Page 37 ends

Receive and file the March 2026 Investment Report
For the Meeting of April 28, 2026 Page 3
Since the City first invested with CALTRUST in August of 2010, buying into the Medium-Term Fund. The City has made various contributions throughout the years as well as reinvested any accumulated interest earnings throughout the life of the fund.

In total the weighted average cost of investing in CALTRUST is $9.99. Currently due to increasing interest rates driving market rates down for assets already held, the share price of the fund as of March 31, 2026, was $9.86. Until interest rates decline to the point that share price would increase to $9.99 or above, the City would be recognizing a loss on sale. However, the City could pull out funds at any time if liquidity needs arose.

Beginning in the month of December 2023, the City opened a liquid fund with CALTRUST which is not subject to market rate adjustments due to the type of investment utilized. The fund yielded

3.77% for the month of March. The City intends to take advantage of the high yielding short term investments until yields are no longer inverted.

The City Treasurer also utilizes Brokers to purchase investment securities such as Government Sponsored Enterprises (Agency Bonds), Corporate Bonds, U.S. Treasuries and Negotiable CD’s.

As investments get purchased a broker money marker will be used for the transition time between investments maturing and becoming available cash for reinvestments.

The investment policy and California Government Code Section 53600.3 allows the City to invest 30% of its portfolio in Certificates of Deposit and 30% of its portfolio in Corporate Bonds through Brokers. U.S. Treasuries and Government Sponsored Enterprises (Agency Bonds) have no investment limits; however, it is considered a best practice not to invest more than 5% in a single Government Sponsored Enterprises.

The following is a breakdown of the total invested in each type of investment along with its percentage of the portfolio:

Additionally, per the Investment Policy, the City has an established maturity matrix with the investment ranges as follows:

Maturity Range Guideline Portfolio Percentage
Amount % of Portfolio
$3,423,265.14 4%
$9,253,763.90 12%

The City’s current investment maturity range is as follows:

The weighted average maturity for all City investments is 1.75 years, short term investments with maturity within six months continues to draw higher yields; however, longer-term yields have been increasing making investing in longer term assets more appealing.

Specific details pertaining to the City’s investment names, CUSIP #’s, coupon and purchase yields, maturity dates, par and book values are included in the Investment and Cash Condition Report attachment.

IV. PROGRESS PAYMENTS
Based upon Invoice submitted to the City by the Contractor and approval issued by the Director of Public Works, the City shall make progress payments on account of the Agreement Sum to the Contractor as provided in the Contract Documents
This Agreement is subject to the provisions of Article 1.7 (commencing at Section 20104.50) of Division 2, Part 3 of the Public Contract Code regarding prompt payment of contractors by local governments. Article 1.7 mandates certain procedures for the payment of undisputed and properly submitted payment requests within 30 days after receipt, for the review of payment requests, for notice to Contractor of improper payment requests, and provides for the payment of interest on

Page 51 ends

progress payment requests which are not timely made in accordance with that Article. This Agreement hereby incorporates the provisions of Article 1.7 as though fully set forth herein.

V. RETENTION OF SECURITIES
Public Contract Code section 22300 permits the substitution of securities for any monies withheld by a public agency to ensure performance under a contract, at the request and expense of the Contractor. Contractor shall notify City in writing of any election made under Public Contracts Code section 22300.

VI. WARRANTY
The Contractor warrants that all of the work pursuant to this Agreement shall be done in a first class, workmanlike manner and in accordance with Contract Documents, with new and quality materials and warrants all work performed to complete the Project and materials against defect or deviation (the “Defect”), both in the material or the workmanship, for a period of one (1) year from its completion of the Project, unless stated otherwise in the Contract Documents. If a Defect in the Project is latent, hidden or not readily observable, the Contractor's warranty shall be extended for one (1) year from the date of discovery of the Defect. The Contractor will within a reasonable time after written notice of a Defect, remedy and repair the Defect and any related damage resulting from the Defect (without any expense to the City).

VII. INDEMNIFICATION
Contractor shall indemnify, defend with legal counsel approved by City, and hold harmless City, its officers, officials, employees, and volunteers (“Indemnified Parties”) from and against all claims for and actual liabilities, losses, damages, expenses, costs (including without limitation reasonable attorney’s fees, expert fees, and all other costs and fees of litigation) of every nature relating to, arising out of or in connection with Contractor’s, its officers, agents, employees, or subcontractors (or any agency or individual that Contractor shall bear the legal liability thereof) negligence, recklessness or willful misconduct in the performance of work on and/or connected with the Project or its failure to comply with any of its obligations contained in this Agreement, except such loss or damage which is caused by the sole or active negligence or willful misconduct of the Indemnified Parties. Should conflict of interest principles preclude a single attorney from representing both City and Contractor, or should City otherwise find Contractor’s attorney unacceptable, then Contractor shall reimburse the City its costs of defense, including without limitation reasonable attorney’s fees, expert fees, and all other costs and fees of litigation. The Contractor shall promptly pay any final judgment rendered against the Indemnified Parties with respect to claims determined by a trier of fact to have been the result of the Contractor’s negligent, reckless, or wrongful act, omission or performance. It is expressly understood and agreed that the foregoing provisions are intended to be as broad and inclusive as is permitted by the law of the State of California and will survive termination of this Agreement.

Contractor’s obligations under this section apply regardless of whether or not such claim, charge, damage, demand, action, proceeding, loss, stop notice, cost, expense, judgment, civil fine or penalty, or liability was caused in part or contributed to by Indemnified Parties. However, without affecting the rights of Indemnified Parties under any provision of this Agreement, Contractor shall not be required to indemnify and hold harmless Indemnified Parties for liability attributable to the sole or active negligence or willful misconduct of Indemnified Parties, provided such sole or active negligence or willful misconduct is determined by agreement between the parties or by the findings of a court of competent jurisdiction. In instances where Indemnified Parties are shown to have been solely or actively negligent or to have acted with willful misconduct and where Indemnified Parties’ sole or active negligence or willful misconduct accounts for only a percentage

Page 52 ends

6/22 - 4 - CC 2026-03 Construction Agreement

Any umbrella or excess insurance shall contain or be endorsed to contain a provision that such coverage shall also apply on a primary and non-contributory basis for the benefit of City before the City’s own insurance or self- insurance shall be called upon to protect it as a named insured.

City’s rights of enforcement. In the event any policy of insurance required under this Agreement does not comply with these requirements or is canceled and not replaced, City has the right but not the duty to obtain the insurance it deems necessary, and any premium paid by City will be promptly reimbursed by Contractor or City will withhold amounts sufficient to pay premium from Contractor payments. In the alternative, City may cancel this Agreement.

Enforcement of contract provisions (non estoppel). Contractor acknowledges and agrees that any actual or alleged failure on the part of the City to inform Contractor of non-compliance with any requirement imposes no additional obligations on the City nor does it waive any rights hereunder.

Requirements not limiting. Requirements of specific coverage features or limits contained in this Section are not intended as a limitation on coverage, limits or other requirements, or a waiver of any coverage normally provided by any insurance. Specific reference to a given coverage feature is for purposes of clarification only as it pertains to a given issue and is not intended by any party or insured to be all inclusive, or to the exclusion of other coverage, or a waiver of any type. If the Contractor maintains higher limits than the minimums shown above, the City requires and shall be entitled to coverage for the higher limits maintained by the Contractor. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City.

Notice of cancellation. Contractor agrees to oblige its insurance agent or broker and insurers to provide the City with a thirty (30) day notice of cancellation (except for nonpayment for which a ten (10) day notice is required) or nonrenewal of coverage for each required coverage. If any of the Contractor’s insurers are unwilling to provide such notice, then Contractor shall have the responsibility of notifying the City immediately in the event of Contractor’s failure to renew any of the required insurance coverages, or insurer’s cancellation or non-renewal.

Additional insured status. General liability, automobile liability, and umbrella/excess liability insurance policies shall provide or be endorsed to provide that City and its officers, officials, employees, agents, and volunteers shall be additional insureds under such policies.

No contractor or subcontractor may be awarded a contract for public work on a public works project (awarded on or after April 1, 2015) unless registered with the Department of Industrial Relations pursuant to Labor Code section 1725.5.

This project is subject to compliance monitoring and enforcement by the Department of Industrial Relations.

The Contractor is not subject to public works requirements (including registration with the DIR) if the public works project is under $1,000, unless the City knows that the same Contractor will be awarded total project costs in excess of $1,000 for a given year.

XVII. [RESERVED]
XVIII. COMPLIANCE WITH STATUTES AND REGULATIONS
Contractor will be knowledgeable of and shall comply with all applicable federal, state, local, county, and city statutes, rules, regulations, ordinances, and orders relating to the manner of doing the work under the Agreement or to the materials supplied therein.

XIX. PROVISIONS REQUIRED BY LAW
Each and every provision of law and clause required by law to be inserted in this Agreement shall be deemed to be inserted herein and the Agreement shall be read and enforced as though it were included herein, and if through mistake or otherwise any such provision is not inserted, or is not currently inserted, then upon application of either party, the Agreement shall forthwith be physically amended to make such insertion or correction.

XX. SUBSURFACE HAZARDOUS MATERIALS
A. In the event trenches or other excavations extend deeper than four (4) feet below the surface, Contractor shall promptly, and before the following conditions are disturbed, notify City in writing of any:

1. Material that Contractor believes may be hazardous waste, as defined in Section 25117 of the Health and Safety Code, that is required to be removed to a Class I, Class II, or Class III disposal site in accordance with the provisions of existing law.

Contractor's cost of or time required for performance of any part of the Project, the Contractor shall not be excused from any scheduled completion date provided for by the Agreement, but shall proceed with all work to be performed under the Agreement.

Contractor shall retain any and all rights provided either by agreement or by law which pertain to the resolution of disputes and protests between the contracting parties.

XXI. LIQUIDATED DAMAGES
Pursuant to Government Code section 53069.85, if work is not completed within durations established for the individual activities as set forth in the Project Schedule, it is understood, acknowledged, and agreed City will suffer damage. It is therefore agreed that Contractor shall pay to City the sum of $250.00 for each and every calendar day of delay beyond any completion schedule, construction schedule, or Project milestones established in or pursuant to the Project Schedule, or beyond the time indicated in the Project Schedule for any individual Project activity.

Contractor expressly understands, acknowledges, and agrees that such liquidated damages can and shall be imposed if the Contractor does not meet each and every aspect of any activity schedule, completion schedule, construction schedule, or Project milestones established in or pursuant to the Project Schedule. If the City accepts work or makes any payment under this Agreement after a default by reason of delays, the acceptance of such work and/or payment(s) shall in no respect constitute a waiver or modification of any provisions regarding a completion schedule, the Project Schedule or the accrual of liquidated damages. In the event the same is not paid, Contractor further agrees that City may deduct the amount thereof from any money due or that may become due the Contractor under the Agreement. This article does not exclude recovery of damages under provisions of the Agreement, and is expressly in addition to the City’s ability to seek other damages.

(g) For security instruments which are letters of credit, any letter of credit shall be an original separate unconditional, irrevocable, negotiable and transferable commercial letter of credit issued by a financial institution with offices in the State of California acceptable to City, subject to the approval of the City Engineer and City Attorney. Any such letter of credit shall specifically permit City to draw on the same by unilateral certification of the City Engineer that Developer is in default under its payment or performance obligations hereunder or in the event Developer fails to deliver a replacement letter of credit and shall further be subject to the following provisions:
(1) For letters of credit other than those securing maintenance and warranty, the letter of credit shall not expire until 45 days after the recording of a Notice of Acceptance and shall be automatically extended without amendment for additional periods of one year from the present or any future expiration date hereof unless sixty (60) days prior to any such date the financial institution notifies the City Engineer and City Attorney by registered mail and email that it elects not to consider this letter of credit renewed for any such additional period. In the event of such election and if a replacement letter of credit, being in the same amount and having the terms and conditions as the initial letter of credit, is not delivered to the City more than thirty (30) days prior to the expiration of the original letter of credit, the City of San Dimas may automatically draw the full amount of the letter of credit, with no supporting documentation, and financial institutional shall pay City of San Dimas upon receipt of such draft.
(2) For a letter of credit securing maintenance and warranty as provided in Section 8(d), the letter of credit shall be subject to all of the terms and requirements in this Section 8(g), but it shall not expire until after a period of one (1) year following recording of a Notice of Acceptance.
(3) In the event of draw by the City on a letter of credit, the City may elect, in its sole and absolute discretion, to apply any such funds drawn to the obligations secured by such letter of credit or to hold such funds in an account under the control of the City, with no interest accruing thereon for the benefit of the Developer. If the City elects to hold the funds in an account pursuant to the foregoing, City may thereafter at any time elect instead to apply such funds as provided in the foregoing.

Developer agrees and hereby grants City a security interest in such account to the extent required for City to realize on its interests therein, and agrees to execute and deliver to City any other documents requested by City in order to evidence the creation and perfection of City’s security interest in such account. (h) The release of any securities shall be governed by the provisions of Government Code Section 66499.7 and San Dimas Municipal Code 17.48.050. (i) The forfeiture of any securities shall be governed by the provisions of San Dimas Municipal Code 17.48.

(j) Developer agrees to furnish any bonds required by the State or County for Improvements.

Section 9. Indemnification.

Developer shall be obligated as follows:
(a) To the furthest extent allowed by law, Developer shall indemnify, hold harmless and defend City and each of its officers, officials, employees, agents and volunteers from any and all loss, liability, fines, penalties, forfeitures, costs and damages (whether in contract, tort or strict liability, including but not limited to personal injury, death at any time and property damage) incurred by City, Developer or any other person, and from any and all claims, demands and actions in law or equity (including attorney's fees, litigation and legal expenses incurred by City or held to be the liability of City, including plaintiff’s or petitioner’s attorney’s fees if awarded, in connection with City’s defense of its actions in any proceeding), arising or alleged to have arisen directly or indirectly out of performance or in any way connected with: (i) the making of this Agreement; (ii) the performance of this Agreement; (iii) the performance or installation of the work or Improvements by Developer and Developer employees, officers, agents, contractors or subcontractors; (iv) the design, installation, operation, removal or maintenance of the work and improvements; (v) Developer and Developer’s employees, officers, agents, contractors or subcontractor’s failure to provide prevailing wages as may be required by law; or (vi) City’s granting, issuing or approving use of this Agreement.
(b) Developer’s obligations under the preceding sentence shall apply regardless whether City or any of its officers, officials, employees or agents are negligent, but shall not apply to any loss, liability, fines, penalties, forfeitures, costs or damages caused solely by the gross negligence, or caused by the willful misconduct, of City or any of its officers, officials, employees, agents or volunteers.
(c) If Developer should subcontract all or any portion of the work to be performed under this Agreement, Developer shall require each subcontractor to indemnify, hold harmless and defend City and each of its officers, officials, employees, agents and volunteers in accordance with the terms of paragraphs “a” and “b” of this Section. Notwithstanding the preceding sentence, any subcontractor who is a “design professional” as defined in Section 2782.8 of the California Civil Code shall, in lieu of indemnity requirements set forth in paragraphs “a” and “b” of this Section, be required to indemnify, hold harmless and defend City and each of its officers, officials, employees, agents and volunteers to the furthest extent allowed by law, from any and all loss, liability, fines, penalties, forfeitures, costs and damages (whether in contract, tort or strict liability, including but not limited to personal injury, death at any time and property damage), and from any and all claims, demands and actions in law or equity (including reasonable attorney's fees and litigation expenses) that arise out of, pertain to, or relate to the negligence, recklessness or willful misconduct of the design professional, its principals, officers, employees, agents or volunteers in the performance of this Agreement.
(d) City shall promptly notify the Developer of any claim, action, or proceeding, and cooperate in the defense of any claim, action or proceeding.
(e) Developer further agrees that the use for any purpose and by any person of any and all of the public streets and works and Improvements hereinbefore specified, shall be at the sole and exclusive risk of Developer at all times prior to final acceptance by City of the

Section 10. Insurance.

Throughout the life of this Agreement, Developer shall pay for and maintain in full force and effect all policies of insurance described in this Section with an insurance company(ies) either (i) admitted by the California Insurance Commissioner to do business in the State of California and rated not less than “A-VII” in Best's Insurance Rating Guide, or (ii) authorized by City’s Director of Public Works. The following policies of insurance are required:
(a) COMMERCIAL GENERAL LIABILITY insurance, which shall be at least as broad as the most current version of Insurance Services Office (ISO) Commercial General Liability Coverage Form CG 00 01 and shall include insurance for bodily injury, property damage, and personal and advertising injury with coverage for premises and operations (including the use of owned and non-owned equipment), products and completed operations, contractual liability (including indemnity obligations under this Agreement), with limits of liability of not less than $2,000,000 per occurrence for bodily injury and property damage, $1,000,000 per occurrence for personal and advertising injury and $2,000,000 aggregate for products and completed operations, and $4,000,000 general aggregate. (b) COMMERCIAL AUTOMOBILE LIABILITY insurance, which shall be at least as broad as the most current version of Insurance Services Office (ISO) Business Auto Coverage Form CA 00 01 and shall include coverage for all owned, hired, and non-owned automobiles or other licensed vehicles (Section 1, subsection A.1 entitled “Any Auto”), with combined single limits of liability of not less than $2,000,000 per accident for bodily injury and property damage.
(c) PROFESSIONAL LIABILITY (Errors and Omissions) insurance appropriate to the respective person's profession (applicable only to those subcontractors who are providing Professional Services to Developer), with limits of liability of not less than $1,000,000 per claim/occurrence and $2,000,000 policy aggregate.
(d) WORKERS’ COMPENSATION insurance as required under the California Labor Code.

Developer shall be responsible for payment of any deductibles contained in any insurance policies required hereunder and Developer shall also be responsible for payment of any self-insured retentions.

The above described policies of insurance shall be endorsed to provide a 30 calendar day written notice in favor of City of policy cancellation of coverage, except for the Workers’ Compensation policy which shall provide a 10 calendar day written notice of such cancellation of coverage. In the event any policies are due to expire during the term of this Agreement, Developer shall provide a new certificate evidencing renewal of such policy(ies) not less than 15 calendar days prior to the expiration date of the expiring policy(ies). Upon issuance by the insurer, broker, or agent of a notice of cancellation in coverage, Developer shall file with City a new certificate and all applicable endorsements for such policy(ies).

The General Liability and Automobile Liability insurance policies shall be written on an occurrence form and shall name City, its officers, officials, agents, employees and volunteers as an additional

insured. Such policy(ies) of insurance shall be endorsed so Developer’s insurance shall be primary and no contribution shall be required of City. In the event claims-made forms are used for any Professional Liability coverage, either (i) the policy(ies) shall be endorsed to provide not less than a five (5) year discovery period, or (ii) the coverage shall be maintained for a minimum of five (5) years following the termination of this Agreement and the requirements of this Section relating to such coverage shall survive termination or expiration of this Agreement. Any Workers’ Compensation insurance policy shall contain a waiver of subrogation as to City, its officers, officials, agents, employees and volunteers.

Developer shall have furnished City with the certificate(s) and applicable endorsements for ALL required insurance prior to City's execution of the Agreement. Developer shall furnish City with copies of the actual policies upon the request of City’s Risk Manager at any time during the life of the Agreement or any extension, and this requirement shall survive termination or expiration of this Agreement.

The fact that insurance is obtained by Developer or his/her/its subcontractors shall not be deemed to release or diminish the liability of Developer or his/her/its subcontractors including without limitation, liability under the indemnity provisions of this Agreement. The duty to indemnify City, its officers, officials, agents, employees and volunteers, shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Developer or his/her/its subcontractors. Approval or purchase of any insurance contracts or policies shall in no way relieve from liability nor limit the liability of Developer, its principals, officers, agents, employees, persons under the supervision of Developer, vendors, suppliers, invitees, subcontractors, consultants or anyone employed directly or indirectly by any of them.

If at any time during the life of the Agreement or any extension, Developer fails to maintain the required insurance in full force and effect, the Director of Public Works and/or City Engineer for City, or his/her designee, may order that Developer, or its contractors or subcontractors, immediately discontinue any further work under this Agreement and take all necessary actions to secure the work site to insure that public health and safety is protected. Any failure to maintain the required insurance shall be sufficient cause for City to terminate this Agreement.

If Developer should subcontract all or any portion of the services to be performed under this Agreement, Developer shall require each subcontractor to provide insurance protection in favor of City, its officers, officials, employees, volunteers and agents in accordance with the terms of each of the preceding paragraphs, except that the subcontractors' certificates and endorsements shall be on file with Developer and City prior to the commencement of any work by the subcontractor.

Section 11. Work Performance and Term.
(a) Developer shall construct, at Developer’s own expense, all of the Improvements in a good and workmanlike manner, and furnish all required materials incident thereto, in accordance with the Plans, Specifications and to the satisfaction of the City, including any changes required by the City which in the City’s opinion are necessary to complete the Improvements.
(b) It shall be the responsibility of Developer to coordinate all work done by Developer’s contractors and subcontractors, such as scheduling the sequence of operations and the determination of liability if one operation delays another. Developer shall designate an

Page 93 ends

01171.0005 2122615.2 10
on-site supervisor, satisfactory to the City, who shall be on the work site(s) at all times during the construction of the Improvements, and who has the authority to act on behalf of the Developer when communicating with City personnel. In no case shall representatives of City be placed in the position of making decisions that are the responsibility of Developer. It shall further be the responsibility of Developer to give the Director of Public Works written notice not less than two working days in advance of the actual date on which work is to be started. Failure on the part of Developer to notify the Director of Public Works may cause delay for which Developer shall be solely responsible. (c) All work shall be conducted and completed in accordance with the Plans and federal, state, County and City codes, laws, ordinances, and regulations. For any Improvements partially completed prior to this Agreement, Developer agrees to complete the Improvements in accordance with this Agreement.
(d) The work performance for the Improvements shall not be deemed complete until such time as the Improvements have been approved and accepted by the City Council and a Notice of Acceptance recorded.
(e) This Agreement shall remain in effect until two (2) years after the recording of the last Notice of Acceptance for the Improvements except for those which logically need to remain in shall remain in effect, including but not limited to the indemnity provisions, successors in interest, law to govern and venue, enforcement of obligations, attorneys’ fees and legal expenses,

Developer covenants that it will use its reasonable and diligent efforts to do all things that may be lawfully required of it in order to cause the Improvements to be completed in accordance with this Agreement. (d) Compliance with Laws. Section 14. Developer as a Private Developer; Not City Agent. In performing under this Agreement, it is mutually understood that Developer is acting as a private developer and that neither Developer, nor any of Developer’s agents or contractors in connection with Developer’s obligations under this Agreement are, or shall be considered to be, agents of City. City shall have no responsibility for payment to any contractor, subcontractor or supplier of Developer.

Pursuant to SDMC section 17.36.050(C), the City and Developer agree that the amount of such fees shall be based on the highest and best use valuation of the amount of land which would otherwise be required to be dedicated pursuant to SDMC section 17.36.040. Such value shall be determined by a licensed MAI designated appraiser and based on the value as of the date of the filing of the Final Map. The Developer shall be required to retain the MAI designated appraiser and pay for the full cost of the appraisal.

This Agreement shall run with the land and shall be binding on the Developer, its successor and assigns. Section 27. Attorney’s Fees and Legal Expenses.

If either party is required to commence any proceeding or legal action to enforce or interpret any term or condition of this Agreement, the prevailing party in such proceeding or action shall be entitled to recover from the other party its reasonable attorney's fees and legal expenses. https://leginfo.legislature.ca.gov
No

FISCAL IMPACT
There is no fiscal impact for the recommended action.

BACKGROUND
On September 22, 2024, Governor Newsom signed Assembly Bill (AB) 2561 into law, adding Government Code (GC) Section 3502.3 to the Meyers-Milias-Brown Act (MMBA), creating obligations for public agencies related to tracking and presenting information on job vacancies.

The law and the legal obligations took effect January 1, 2025.

Page 101 ends

Presentation off Vacancies and the City's Recruitment and Retention Efforts per Assembly Bill 2561/Government Code Section 3502.3 Page 2
For the Meeting of April 28, 2026
AB 2561 declares that job vacancies in local government are a widespread and significant problem for the public sector, and that job vacancies may undermine labor relations between public agencies and their employees. AB 2561 requires that, on an annual basis, public agencies assess and address vacancy rates to help avoid the negative effects of under staffing on the delivery of public services as well as on public employees.

Under GC Section 3502.3, public agencies must do the following:

1. Track job vacancies at the agency;

2. Present information on the status of the vacancies (such as information on the number of posted job openings, candidates interviewed, eligibility lists created, conditional offers made, etc.) and the agency’s recruitment and retention efforts. An agency must present this information at a public hearing before the agency’s governing body at least once per fiscal year. If an agency will adopt an annual or multiyear budget in a given year, the public hearing must occur prior to the governing body adopting the agency’s budget; and

3. Identify, during the public hearing, any policies, procedures, and recruitment activities that may present obstacles in the agency’s hiring process and potential changes that may alleviate such obstacles.

These affirmative obligations apply to all public agencies subject to the MMBA, even if the agency has no represented employees. However, if the agency has a represented workforce, the law entitles recognized employee organizations to make a presentation at the public hearing when the agency makes its presentation; however, it is not required.

In addition to the requirements described above, if the vacancy rate in a bargaining unit exceeds 20% of the total number of authorized full-time positions, the employee organization that represents the bargaining unit may request that the agency present additional information at the public hearing.

DISCUSSION/ANALYSIS
The City has 77 full-time budgeted positions with 61 of these positions part of the represented bargaining group, International Brotherhood of Teamsters, Local 911. Staff tracked vacancy and recruitment efforts for the City over the period of January 1, 2025, through December 31, 2025, and the City had a vacancy rate of 1.6% for the represented group and 0% for the unrepresented group, as referenced in the table below:

Page 102 ends

Presentation off Vacancies and the City's Recruitment and Retention Efforts per Assembly Bill 2561/Government Code Section 3502.3 Page 3
For the Meeting of April 28, 2026
To date, the City currently has two (2) vacancies for its budgeted full-time positions. The City has historically had low turnover and vacancy rates due to the City's attractive compensation package, inclusive culture, highly sought work environment, and thriving community. The Human Resources (HR) Division makes it a priority to address hiring needs immediately to ensure service level needs are maintained; whether vacancies are planned retirements or unplanned separations.

Once a vacancy is reported, HR personnel will meet with the Hiring Manager to prepare a recruitment plan to fill the vacancy. A recruitment process typically consists of the following:

1. Open recruitment for an average of two (2) weeks in the City's applicant tracking system, NeoGov;

2. Post job announcements on industry-specific websites, local schools and colleges, as well as emailing opportunities to local agencies and city employees.

3. Pre-screen all applications to determine which candidates meet the minimum qualifications of the position.

4. Invite qualified candidates for testing, which may consist of a written examination, performance exam, and/or oral board interview.

5. Once testing is complete, candidates are placed on an eligibility list based on pass score of 70% or higher.

6. Hiring Manager has the ability to select from the eligibility list and the selected candidate is given a conditional offer.

7. The condition of the offer is based on the candidate passing a pre-employment process that may consist of a reference check, Department of Justice criminal background check, Department of Motor Vehicles driving record clearance (only for positions that require driving as an essential function), and/or medical clearance.

The City also encourages and supports succession planning efforts to enhance employee morale and promote career growth and will hire within if there is an opportunity. This level of commitment highlights the importance of internal succession planning and demonstrates why the City has such a strong workforce with low attrition.

This report ensures the City meets its obligations under AB 2561 to continue enhancements of the City's recruitment and retention efforts to maintain low vacancy rates and ensure transparent reporting.
