FOURTH AMENDMENT TO THE LANDSCAPE AND IRRIGATION
MAINTENANCE AGREEMENT BETWEEN THE CITY OF SAN
JACINTO AND INLAND EMPIRE LANDSCAPE, INC.
THIS FOURTH AMENDMENT to the LANDSCAPE AND IRRIGATION
MAINTENANCE AGREEMENT, for reference purposes dated this 18th day of February, 2025, is made and entered into by and between the City of San Jacinto, a California municipal corporation (hereinafter “CITY”) and Inland Empire Landscape, Inc., a California corporation (hereinafter “CONTRACTOR”) with reference to the following facts:
RECITALS
WHEREAS, CITY and CONTRACTOR entered into a certain Landscape and Irrigation Maintenance Agreement (“Agreement”) dated March 1, 2019; and WHEREAS, CITY and CONTRACTOR entered to into a certain Addendum #Z86SC1 to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated July 2019 and; WHEREAS, CITY and CONTRACTOR entered to into a certain Addendum #GW1 to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated September 2019 and; WHEREAS, CITY and CONTRACTOR entered to into a certain Addendum #Z53OOC1 to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated September 2019 and; WHEREAS, CITY and CONTRACTOR entered to into a certain Addendum #Z30A1 to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated December 2019 and; WHEREAS, CITY and CONTRACTOR entered to into a certain Addendum #Z21ADR1 to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated January 2020 and; WHEREAS, CITY and CONTRACTOR entered to into a certain Addendum #Z49PP1 to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated June 22, 2021 and; WHEREAS, CITY and CONTRACTOR entered to into a certain Addendum #Z27PRF1 to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated January 1, 2022 and; 2 WHEREAS, CITY and CONTRACTOR entered to into a certain First Amendment to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated January 3, 2023 (“First Amendment”) and;
WHEREAS, CITY and CONTRACTOR entered to into a certain Second Amendment to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated February 7, 2023 (“Second Amendment”) and;
WHEREAS, CITY and CONTRACTOR desire to amend their 2019 Agreement and their 2023 Second Amendment in order to reflect the additional landscaping duties for LLPD1 and LLPD2 landscaping maintenance zones
WHEREAS, CITY and CONTRACTOR entered to into a certain Third Amendment to the Landscape and Irrigation Maintenance Agreement between the City of San Jacinto and Inland Empire Landscape, Inc. dated February 6, 2024 (“Third Amendment”) and;
WHEREAS, CITY and CONTRACTOR desire to amend their 2019 Agreement and their 2024 Third Amendment in order to reflect the additional landscaping duties for LLPD1 and LLPD2 landscaping maintenance zones
NOW, THEREFORE, in consideration of the foregoing, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Exhibit “A” (Scope of Services) of the Agreement is amended to add the following CFD 2020-1 and LLPD 2 landscape maintenance zones:
CFD 2020-1
Ano Court Basin
Qeweewish Basin and Booster Station
Cottonwood frontage by Paseo Park
Cottonwood and Upperline
Hunal Circle Basin
White Gate/Basin and East Side Vernon
Camino Los Baños Frontage
LLPD 2 Zones and Basin(s)
Zone 53 Seven Acre Park and Basin
Zone 55 Julian Basin & Frontage
2. Section 3.3.1 (Compensation) of the Agreement is amended in its entirety to read as follows:
3 “3.3.1 Compensation
Contractor shall receive compensation, including authorized reimbursements for all Services rendered under this Agreement. The total compensation shall not exceed One Million Six Hundred Eighty Six Thousand Two Hundred Ninety Dollars and Five Cents ($1,686,290.05) per year without written approval of City Manager or his/her designee. Extra Work may be authorized, as described below, and if authorized, will be compensated at the rates and manner set forth in this Agreement and Exhibit “C” attached hereto and incorporated herein by reference.”
3. GENERAL PROVISIONS
3.1 Remainder Unchanged. Except as specifically modified by this Fourth Amendment, the Agreement remains in full force and effect and binding upon the parties. All terms in the First, Second, and Third Amendments shall have the meaning ascribed by them in the Agreement unless otherwise noted in this Fourth Amendment.
3.2 Counterparts. This Fourth Amendment may be executed in one or more counterparts, each of which shall be deemed an original. All counterparts shall be construed together and shall constitute one document.
