AV System upgrade
A. Avidex to provide and (2) NDI HD Cameras, to be installed @ Room Left & right Wall facing city Council chambers members. Connect each camera to existing POE Network switch in IDF closet.
B. Provide/Install (1) Control Room Table to allow customers to set up existing Tricaster video mixing board for a permanent installation. Run control line from broadcast rack to video mixing board.
C. Provide/Install (2) 32” Monitors in the new control room, Install at wall location, coordinate with customer in new location, connect to Tricaster processor outputs in portable equipment rack.
D. Provide/Install (1) Audio Monitor speaker at the control room table to allow technical staff to hear audio from council members. Run a new audio line from QSC Core 8 Flex DSP to speaker in control room.
E. Provide/Install (1) tabletop 10” QSC touch panel, to allow technical staff to control room AV function.
F. Rewiring existing speakers to allow Multiple zones, the speakers located above the council table will need to be moved and on a separate zone to prevent audio feedback in the room. Provide a Mix minus configuration for this zone.
G. Re-Route TRicaster network connection from the Main assembly room (2 or three CAT6 cables) to the new location in the control, provide a Single Gang wall plate to allow the new equipment to patch in.
H. Provide 3 CAT6 shielded cables from the control room to the IDF, connect to the customer’s existing Network Switch to allow full connectivity to cameras, Shure Wireless microphone.
Programming updates for QSC’s
1. Provide Audio Level control for each Wireless microphone, including MUTE ON/Off
2. Provide Camera Presets If Available, Provide 3 presets per camera (4 Total).
3. Provide Mix/Minus audio configuration to prevent feedback from wireless microphone Dais area.
4. Program 2nd Touch panel, work with customer on Layout, configuration for new functionality.
5. Confidence Monitor- Provide a portable Low-Profile LED display for the guest podium. Avidex to install a QSC transmitter for video to the portable display. A Wireless video transmitter will provide a video display so no wires will be exposed on the floor. Program system to send video to the confidence monitor.

Prices for Equipment covered by this Agreement may be adjusted by Avidex, upon notice to Client at any time prior to shipment regardless of Client’s acceptance of the Avidex quotation, to reflect any increase in Avidex’s cost of equipment or materials due to changes or increases in law or taxes; Trade Restrictions (as defined below); or other government actions. The term “Trade Restrictions” is defined as any additional or new tariff/duty, quota, tariff-rate quota, or cost associated with the withdrawal of tariff/duty concessions pursuant to a trade agreement(s).
A mobilization fee of 30% of the proposed contract total is required for all new customers to initiate the order. This provision is waived for all public works projects or legally binding contracts. This proposal is valid for 20 days from the date appearing on the cover page. Monthly progress invoices will be issued with net 30-day terms. Payment via credit card is subject to an additional 3.5% processing fee. Freight and sales tax will be added to invoices based on current tax rates as required by state law on the invoice date. Avidex will submit invoices for work performed based upon the payment terms mutually agreed upon as presented on the signature page. Unless otherwise noted, Avidex will invoice for materials and equipment not yet incorporated into the project work but, delivered and suitably stored on or off the project worksite, upon which Avidex assigns, transfers title to, and conveys said materials and equipment to the Client. Store material invoices shall include applicable insurance fees, storage fees, and costs incurred transporting the materials to an off-site storage facility. Avidex may, at its sole discretion, substitute products included in the system design with those providing similar product form, fit and functionality as the original products. Product substitutions may occur due to changes in product availability, extensions or delays to estimated or committed delivery, product price increases, regulatory restrictions, or any other factors as determined by Avidex. Any substituted product designs will achieve the functional and end user experience requirements of the system design. The 360° Service Plan will be invoiced annually, in advance or at the date of commencement. Avidex reserves the right to charge a 1.5% fee for late payment of invoices.

This document serves as a Notice to Proceed to Avidex in advance of a customary Purchase Order or Contract.
Alternatively, this document may serve as a formal Purchase Order to Avidex only in the event the Customer does not or cannot generate a formal Purchase Order or Contract to Avidex. In either event, this agreement creates a binding contract between Avidex and the Customer. Avidex is acting in good faith that the individual signing this document on behalf of the Customer is duly authorized to enter into this binding agreement. I have reviewed the available post-installation 360° Service Plan offerings with my account executive. ☐ I, the client, elect to decline the 360° Service Plan offering. By checking this box, I understand that I am declining the proposed service and support coverage for my audiovisual system.
