Special Terms
The City of San Jacinto (“Customer”) is purchasing the items listed in the Order Form. The Riverside County Sheriff’s Office (“Authorized User”) will operate the items and control all associated data, while title to the items remains with the Customer. Notwithstanding anything to the contrary in the Terms and Conditions or the Order Form, the Authorized User may exercise all operational rights and privileges of the Customer with respect to the items. The Customer may revoke the Authorized User’s status at any time upon written notice to Skydio. Both the Customer and the Authorized User shall comply with the Terms and Conditions contained herein.
Invoicing Schedule - Skydio shall invoice Customer for the fees as follows:

Year 1 $185,628.07 upon shipment of DR4KITDOKDFR (1st Invoice) Year 2 $158,616.60 upon the 1st anniversary of the 1st Invoice Year 3 $158,616.60 upon the 2nd anniversary of the 1st Invoice Year 4 $158,616.60 upon the 3rd anniversary of the 1st Invoice Year 5 $158,616.60 upon the 4th anniversary of the 1st Invoice The tax amount is subject to change based on our nexus, changes to shipping address, taxability of the product, and changes in tax rates. The final tax amount will be charged at the time of invoicing. The customer will be fully responsible for any additional taxes in case of a change.
Customer acknowledges and agrees that any SaaS Services provided under this Order Form will be hosted in the United States.
Skydio V200 and VT300 gimbals are export controlled items, with export control classification number (ECCN) 6A003.b.4.b. Where an export license is required, delivery of any export controlled item is contingent upon Skydio being granted an export control license for the sale from the U.S. Department of Commerce. If Skydio delivers an export-controlled item to a customer in the U.S. and that customer seeks to export or otherwise divert the item outside the U.S., it is the customer’s responsibility to apply for any required license(s) from the U.S. government.
Diversion contrary to U.S. law is prohibited.
Certain items in this order may be subject to certification requirement(s) under United States federal and/or state law. Skydio’s delivery of any such item within the United States is contingent upon completion of applicable USbased certification processes. Skydio shall bear sole responsibility for, and will provide a full refund to Customer for any items for which Skydio is unable to obtain applicable US-based certification. The foregoing is inapplicable to items purchased for export from the United States.
With respect to any geographic location into which Customer will import the Products or Services, Customer represents and warrants that it has all necessary licenses, waivers, or other regulatory approvals necessary in order to import and operate the Products and Services. Customer is solely responsible for any costs, fees, penalties, judgments or other liabilities arising from Customer’s import, export, transfer or operation of the Products or Services outside the Authorized Territory.
Terms and Conditions
This Order Form shall be incorporated in, governed by, and subject to the Skydio Sales Terms and Conditions (“T&C”) located at https://www.skydio.com/legal (unless there is a separately negotiated agreement between Customer and Skydio). The product descriptions and definitions are set forth in Exhibit A. In the event of any conflict, the order of precedence shall be the Order Form, followed by any Underlying Agreement, and finally the T&C.

The Purchase Prices and Fees listed in this Order Form are exclusive of taxes or duties of any kind.
All Orders are non-cancelable, and any fees paid are non-refundable.
All standard Skydio Lead Times and Standard Shipping, as stated below, apply to all orders.
Lead Times: Manufacturing lead times are at least 30 days from the date of Order Booking.
Standard Shipping: Standard Shipping encompasses ground shipping based on weight and package size for delivery. Shipping fees shown on the Order Form are for Standard Shipping.
Expedited Shipping: Any expedited shipping requests, or requests to ship to multiple locations, post order form signature, will incur additional fees, which will be added to your invoice at time of shipping. Should Skydio receive any such requests after the execution of the Order Form, Skydio will do its best to respond to customer’s requests but reserves the right to advise customer of increased shipping fees for customer to decide if they would like to proceed, in which case revised shipping charges will be communicated to customer for their acceptance to proceed.
Any such requests will require email confirmation of request and acknowledgement that additional incurring fees have been approved.

Skydio Dock for X10 - Maintenance and
Repair, Premium
Skydio will provide Dock repair and preventative maintenance services to maintain operational value in customer operational areas. Skydio will plan preventative maintenance based on recommended schedule (time based or usage based). Parts for the Dock are included in maintenance and repair fee. Repair response for non-operational impacting repair will conform to the standard response. Skydio will attempt to conduct these swaps on behalf of the customer when on site for routine maintenance or repair, however, if time frames do not align, the customer is responsible for the safe operation of their aircraft in the airspace and changing these parts.
Includes wearable drone parts (propellers and batteries). Customer is responsible for the replacement of batteries and propellers on the drone in accordance with Skydio recommendation.
Price is annual. US Only.
Skydio Dock for X10 - Deployment Includes a pre-site survey that delivers a report on optimal Dock for X10 and C93 install location and any additional action items required before installation, Skydio deployment and set up services for one (1) site. Includes Remote and in-person support, on-site for up to 5 days. Skydio will assist with deployment strategy, connecting Skydio Dock & customer network infrastructure and troubleshooting. Skydio will assist with mission planning and data management, support, and troubleshooting. If an engineer is not present on site, an on-call engineer will support the on site representatives. Docks must be deployed and operated in compliance with Skydio's Dock Safety Guidelines, Dock Technical Package, and Dock Operator Manual to remain eligible for support.
Skydio Care for X10 with Cellular 5G +
VT300-Z, 3-year
Skydio Care for X10 with Cellular 5G + VT300-Z, 3-year includes bundled Care for the Skydio X10 with Cellular 5G and the VT300-Z Sensor Package. Skydio Care for X10 with Cellular 5G (3yr plan) includes: (a) three (3) Damage Replacement with advance shipment and up to one (1) Lost Drone Replacement with advance shipment. Skydio Care for VT300-Z (3yr plan) includes: (a) three (3) Damage Replacement with advance shipment and up to one (1) Lost Sensor Package Replacement with advance shipment. In either event, Customer will be charged the full cost of the replacement sensor package if Skydio fails to receive payment of associated replacement fees (covered in T&C) within thirty (30) days of the shipment.
Skydio DFR Command (T-Mobile) Skydio DFR Command enables public safety agencies to operate Drone as First Responder programs, including the ability to fly over a browser, DFR ops management, live streaming, and unlimited T-Mobile data. In addition, this license includes access to all Skydio Extend APIs, Axon Integrations, and Extend Partner Integrations.

Skydio Parachute for X10 Includes one (1) parachute for X10 plan. The plan covers one (1) parachute attachment hardware with unlimited deployment repacks and useful life hardware replacements as determined by Skydio. Customer is responsible for the replacement of the parachute attachment on the drone in accordance with Skydio recommendation. Customer will be charged the full cost of the parachute if Skydio fails to receive the replaced hardware within thirty (30) days of the shipment. Price is annual.
Program Deployment Includes: (a) program management blueprint for success with Skydio and use case experts, (b) document & project plan: program phases, mission planning & outcomes, (c) bi-weekly touch points throughout project life cycle, project plan tracking and adjustments. Price is annual.
