STAFF REPORT TO COUNCIL
December 12, 2023
TO: Mayor and Council
FROM: Elizabeth Cabrera, City Manager
SUBJECT: Appointment of Mayor and Mayor Pro-Tem; Council Committee Assignments Recommendation
Staff recommends Council:
1) appoint, via a motion and vote, one of its members to serve as Mayor; 2) appoint, via a motion and vote, one of its members to serve as Mayor Pro-Tempore; 3) appoint via separate motion and vote those positions requiring Council action.

Executive Summary
The San Joaquin Municipal Code (SJMC) states that the Council is to select a Mayor and Mayor Pro-Tempore at its December Meeting. Council has also had the practice of reviewing Council assignments to outside commissions and boards.

Background
A. Mayor and Mayor Pro Tem
SJMC Section 30.21 states that the Council must select from amongst its members to serve as Mayor and Mayor Pro-Tem at the December meeting.

It is recommended that the Council select each person by separate motion. The action for selection of Mayor should be taken first. The selected person will take his or her position on the dais. The next action will be for Mayor Pro Tem.

B. Assignments to other Commissions and Boards
There are three ways to classify the designation of assignments:

1. Mayor serves in the assignment by right of the Mayor’s position;

2. Mayor selects who serves in the assignment;

3. Council selects who serves in the assignment.

The following assignments are automatic and need no further consideration by Council at this time:
• Mayor’s Selection Committee: Mayor sits by right.
• Fresno COG: Mayor sits by right.
1 • RTMF: Mayor sits by right (because he/she is representative to COG) The following assignments need to be determined by the Mayor:
• Mayor’s Selection Committee: Mayor designates alternate in writing.

The following assignments need to be determined by the Council (when listing current representatives in bold, Primary is listed first, followed by the Alternate):
• Fresno COG: Alternate selected by Council. (Currently Flores) • FCRTA: Primary and alternate selected by Council (Currently Hernandez and Flores) • RTMF: Alternate is the same person selected as COG alternate so no vote required. • San Joaquin Valley Air District Board: selected by Council. (Currently Covarrubia and Hernandez)
• Upper Kings Basin IRWMA: selected by Council. (Currently Covarrubia and CM) 2 SAN JOAQUIN CITY COUNCIL/PLANNING COMMISSION JOINT MEETING

STAFF REPORT TO COUNCIL
December 12, 2023
TO: Mayor and Council
FROM: Stan Bulla, Public Works Director
SUBJECT: Agreement with Mattress Recycling Council California LLC Recommendation:

Council adopt Resolution No. 2023-50, Approving Amendment No. 2 to Agreement with Mattress Recycling Council California LLC, and authorizing the City Manager to sign and execute the First Amendment to Agreement.

Executive Summary
For City Council consideration and approval is Resolution No. 2023-50 a Resolution of the City Council of the City of San Joaquin approving Amendment No. 2 to Agreement with Mattress Recycling Council California LLC for mattress recycling services.

This amended agreement updates various provisions of the Agreement. The purpose of the Agreement is to supply a mattress recycling area for the City of San Joaquin and to allow the city to be reimbursed for each mattress collected. The term of the agreement is until either party decides to quit the recycling program.

Background
The City of San Joaquin has utilized the service of the Mattress Recycling Council California LLC since 2015. Staff believes that the provided service has assisted in preventing these mattresses from being illegally dumped, preserving the health and safety of the community.

The main provisions of this agreement are the ability for the city to reimbursed for mattresses that are collected and would commit the City to disposing of said mattresses in an authorized manner. 17 EXHIBIT A

18 ----
WHEREAS, the parties desire to amend the Agreement as provided herein.

NOW, THEREFORE, in consideration of the foregoing, and for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows:

1. Title and Risk of Loss. Sections 8.1, 8.2 and 8.3 of the Agreement are removed in their entirety and replaced with the following:
“8.1 The Service Provider (and not MRC) has title to and risk of loss and liability for any and all Program Products, Non-Conforming Units and Non-Program Products that the Service Provider receives.

Notwithstanding the foregoing, once a Transportation Provider accepts for transportation any Program Products collected by the Service Provider under this Agreement and Consolidated on a Collection Container, title to and risk of loss as to those Program Products, will transfer to that Transportation Provider. MRC at no time takes title to or assumes liability for any Program Products, Non-Conforming Units or Non-Program Products. However, MRC will require in its contracts with its Transportation Providers that they accept title and risk of loss immediately upon accepting any Program Products for transportation from the Service Provider.

8.2 MRC is not responsible for any damage to persons or property resulting from the use, misuse, or failure of any equipment used by the Service Provider, or by any of its employees or contractors, including the Collection Containers, even if such equipment is furnished, rented, or loaned to the Service Provider by MRC.”

2. Consideration and Payment. Section 9.5 of the Agreement is amended to include the following language at the end of the sentence: “…..or for Services performed by the Service Provider but not invoiced for more than 90 days.”

3. Audit and Inspection. Article 10 of the Agreement is removed in its entirety and replaced with the following:
“ARTICLE 10 – AUDIT AND INSPECTION RIGHTS OF MRC

10.1 MRC may audit and inspect, the Service Provider’s Collection Facilities during the Collection Facilities’ hours of operation, as well as any other site at which the Service Provider performs the Services. MRC will provide the Service Provider with at least twenty-four (24) hours’ notice before any such audit or inspection.
19 10.2 The Service Provider will permit MRC to audit, examine, and make excerpts and transcripts, of any books or records, and to make audits of any invoices, materials, records, and other data related to all other matters covered by this Agreement.”

4. Insurance. Sections 12.1 through 12.11 are removed in their entirety and replaced with the following:
“12.1 The Service Provider must maintain, at its own expense, the policies of the following minimum limits and coverage as set forth below:

Coverage Minimum Limits
Commercial General Liability $1,000,000 per occurrence
$2,000,000 aggregate
Workers Compensation Statutory
Automobile Liability (including $1,000,000 per occurrence coverage for owned, non-owned
and hired vehicles)

12.2The Required Insurance, except for worker’s compensation insurance, must contain or be endorsed to contain MRC California, LLC and its sole member and their officers, directors, agents, and employees, as additional insureds and a waiver of subrogation in favor of MRC California, LLC and its sole member and their officers, directors, agents, and employees. The Service Provider will obtain any endorsement that may be necessary to affect the waiver of subrogation. The Required Insurance policies (except for worker’s compensation) must contain (i) a written statement in the policies or in endorsements thereto that they are each primary insurance to any other insurance available to the Service Provider or to any additional insureds or additional named insureds, and (ii) a separation of insureds provision stating that the insurance applies separately to each insured against whom a claim is made or a suit is brought and that the actions or omissions of any insured that might give rise to application of an exclusion to coverage apply only to that insured actually committing the actions or omissions.

12.3 Service Provider must submit current evidence of insurance before Services begin. Certificates of insurance and renewals are to be sent via electronic mail to: [email protected]. Insurance brokers shall remit all renewals to the same email address.

12.4 Service Provider is required to provide MRC with notification of any cancellation or change in Service Provider’s insurance coverage during the period of the Agreement with MRC with not less than thirty days’ notice prior to the date said cancellation or change becomes effective. 20 12.5 In the event a Certificate of Insurance required by this Article should expire or be cancelled during the term of this Agreement, Service Provider agrees to provide, at least thirty days prior to said expiration or cancellation, a new Certificate of Insurance evidencing coverage, as provided for herein, for not less than the remainder of the Agreement.

12.6 Compliance by Service Provider with the foregoing requirements to carry insurance and furnish certificates will not relieve Service Provider from liability assumed under the provisions of this Agreement.

12.7 Both Parties will require all third parties that it uses to provide any services under this contract to comply with the same insurance requirements specified above.”

5. Uncontrollable Circumstances. Article 14-Force Majeure is replaced in its entirety with the following:
“ARTICLE 14- UNCONTROLLABLE CIRCUMSTANCES

14.1 Neither party will be liable for its failure to perform hereunder, in whole or in part, due to contingencies beyond its reasonable control (“Uncontrollable Circumstance(s)”), including, but not limited to strikes, riots, war, fire, acts of God or terrorism, pandemic, injunction, compliance with any applicable federal, state, local, and other laws, ordinances, rules, regulations or orders of any public body having jurisdiction, whether valid or invalid, whether now existing or hereafter created. For further clarification, Uncontrolled Circumstances do not include fluctuations in commodity or scrap prices, demand for such materials, or other such changes that affect the economic condition of the market as it relates to recycling and recycled goods.

14.2 The parties will use their best efforts to overcome or remove any Uncontrollable Circumstance and to minimize the effect of such Uncontrollable Circumstance and any costs resulting therefrom.

14.3 Each party will assume the risk of all losses and damages directly incurred by them except as otherwise limited pursuant to the terms of this Agreement, which arise out of an Uncontrollable Circumstance event. Neither party should be entitled to recover from the other revenues lost due to the occurrence of an Uncontrollable Circumstance, provided further, however, that each party is obligated in good faith and to the extent not detrimental to its interests and within any applicable provision of law, to jointly attempt to mitigate the damages, costs and expenses arising out of an Uncontrollable Circumstance event. 21 14.4 The party asserting that an Uncontrollable Circumstance exists will, as a condition precedent to the right to claim the benefits of this Section, promptly after becoming aware of such
Uncontrollable Circumstance, and in any event, within fifteen (15) calendar days from the date on which said party becomes or should have become aware of the occurrence of such
Uncontrollable Circumstance, notify the other party of such event.

This party will then, within fifteen (15) days of such initial notice, provide a written notice of the effect, if any, on either party's obligations under this Agreement, and available areas of mitigation or saving of the costs associated with such event. Each party will continue to keep the other party advised with respect to the anticipated impact of such Uncontrollable Circumstance.”

6. Additional Sites. The following language is added to the Agreement as Section

20.4.1:
“Additional Sites. 13. Except as modified by this Amendment No. 2, all other terms and conditions of the Agreement shall remain the same.

14. Counterparts. This Amendment may be executed in counterparts, each of which shall be deemed an original.

15. ELECTRONIC SIGNATURES. Unless otherwise prohibited by law, the parties agree that an electronic copy of a signed contract, or an electronically signed contract, has the same force and legal effect as a contract executed with an original ink signature. The term “electronic copy of a signed contract” refers to a writing as set forth in Evidence Code Section 1550. The term “electronically signed contract” means a contract that is executed by applying an electronic signature using technology approved by the parties.
23 16. Warranty of Authority. The representative signing this Amendment on behalf of each respective party represents that he/she has the authority to execute this Amendment on behalf of the party and to bind it to its contractual obligations hereunder.

31 STAFF REPORT TO COUNCIL
December 12, 2023
TO: Mayor and City Council
FROM: Elizabeth Cabrera, City Manager
SUBJECT: Approving Resolution 2023-51, submitting an application for REAP 2.0 funding to provide transformative change in the City of San Joaquin by fostering construction of housing within the community.

Recommendation
Staff recommends Council adopt Resolution 2023-51, approving submission of an application and Receipt of, Local Government Planning Support Grant Program Funds from Fresno County Association of Governments (FCOG) for REAP 2.0 funding to promote the transformative housing goals of the community of San Joaquin.

Executive Summary
The Fresno Council of Governments (COG) released a Notice of Funding Available (NOFA) as part of the Regional Early Action Planning (REAP) grant program.

The City of San Joaquin would like to use this funding to create public infrastructure that would transform the community’s housing landscape by making homebuilding more affordable, increasing housing supply, choice, and affordability, affirmatively furthering fair housing ideas and initiatives, and reducing vehicle miles travelled by providing housing within its own community.

A resolution stating such is required to pursue this funding, and staff plans to submit an application that would provide for the construction of elements that would help reach these goals, including a residentially-situated small park, trail, and transportation/sanitation infrastructure. 32 www.fresnocog.org
Introduction:

Fresno COG’s REAP 2.0 scoring committee is tasked with assessing applications against a variety of criteria. Fresno COG staff will average the scores assigned by each of the committee members to rank and prioritize projects.

Fresno COG seeks to develop a scoring committee comprising individuals representing organizations that are eligible applicants to the REAP 2.0 program, but who are not submitting applications. Fresno COG will also work to ensure the scoring committee included diverse geographic coverage of the region.

Fresno COG will submit all projects recommended for funding in Fresno County to the Department of Housing and Community Development (HCD) and its REAP 2.0 partners.

The suite of projects must satisfy a variety of criteria, including geographic equity and a blend of planning vs. implementation projects. Accordingly, individual projects may be brought forward if the top scored applications do not meet the overall program requirements. This may also result in project selection not adhering completely to the assigned scores. The REAP Technical Advisory Committee (RTAC) will review the project scores and make recommendations to the Fresno COG Board regarding geographic equity and the blend of project types. Fresno COG’s Board of Directors will review the scoring committee and RTAC’s work and have final approval of all projects to be included in Fresno COG’s application to HCD. HCD and its partners will review Fresno COG’s process to approve or seek changes to the application.

Projects will be scored in three areas: REAP 2.0 objectives, primary factors, and secondary factors. Each is described below.

REAP 2.0 Goals
Projects must promote the goals of the REAP 2.0 program, which include investing in housing, planning, and infill housing-supportive infrastructure across the entire state in a manner that reduces VMT, increases housing affordability, and advances equity, consistent with the following:

1. Advancing the State Planning Priorities, as described in Section 65041.1 of the Government Code;

2. Affirmatively Furthering Fair Housing pursuant to Section 8899.50 of the Government Code;

3. Facilitating Housing Element compliance and progress for the sixth cycle Regional Housing Needs Assessment pursuant to Section 65302 of the Government Code prepared in accordance with Article 10.6 (commencing with Section 65580) of Chapter 3 of Division 1 of Title 7 of the Government Code; and

4. Advancing and implementing the region’s SCS, as described in paragraph (2) of subdivision (b) of Section 65080 of the Government Code, or Alternative Planning 2035 Tulare St., Ste. 201 tel 559-233-4148

33 ~ Fresno Council {! of Governments
Strategy, as described in paragraph (2) of subdivision (b) of Section 65080 of the Government Code, as applicable to achieve climate goals.

REAP 2.0 Objectives
The REAP 2.0 program has three objectives that each project must satisfy. The application scoring process will determine the degree to which each respective project satisfies each objective. The objectives include the following and questions that should be considered when scoring applications are provided.

Accelerating Infill Development that Facilitates Housing Supply, Choice, and Affordability

1. Does the project accelerate infill development near jobs and other key destinations to support housing choice and affordability that effectively reduces VMT and greenhouse gas emissions?

2. Is the project at an infill site and does it have affordability components that serve low- and moderate-income households?

3. Is the project for affordable housing development programs – which may involve predevelopment costs (studies, land acquisition, entitlements, etc.), that accelerate the supply of long-term affordable housing for lower and moderate-income households?
For the REAP 2.0 Program, “Infill” means areas where all the following apply: (1) the area consists of unused or underused lands (2) within existing development patterns (3) that is or will be accessible to destinations and daily services by transit, walking, or bicycling and located in either:
a. An urban center, urban corridor, or area with transit-supportive densities, or b. An established community that meets all the following criteria:
i. The area consists or previously consisted of qualified urban uses. ii. The area is predominantly surrounded (approximately 75 percent of the perimeter) by parcels that are developed or previously developed with qualified urban uses. In counting this, perimeters bordering navigable bodies of water and improved parks shall not be included, and iii. No parcel within or adjoining the area is classified as agricultural or natural and working lands.

Affirmatively Furthering Fair Housing (AFFH)

1. Does the project combat discrimination, overcome patterns of segregation, and foster equitable and inclusive communities?

2. Does the project include meaningful actions to address disparities in housing needs and in access to opportunity, replace segregated living patterns with balanced living patterns, and transform racially and ethnically concentrated areas of poverty into areas of opportunity?

3. Does the project support regional and local efforts to work toward ensuring all people have full and equal access to opportunities enabling them to lead healthy lives?
34 4. Does the project:
a. Enhance housing mobility strategies that remove barriers to housing, housing-supportive infrastructure, increased transportation options, and affordability in areas of high opportunity and outside areas of concentrated poverty; or
b. Improve place-based strategies to encourage community revitalization; or c. Protect existing residents from displacement and preserve housing choices and affordability in areas of lower- or moderate-opportunity and concentrated poverty?

5. Is the project materially inconsistent with AFFH?

6. Geographic equity – will be addressed post initial scoring.

7. Does the project target funding to benefit disadvantaged and historically underserved communities?

8. Unique equity priorities – weighting of scores addresses unique equity priorities.

Reducing Vehicle Miles Traveled (VMT)

1. Does the applicant explain how the proposed use promotes development and aligns housing production in infill locations consistent with the state’s climate targets and goals discussed in the California Climate Change Scoping Plan?

2. Is the project consistent with the region’s sustainable communities strategy (SCS) through:
a. Land use planning, polities, and investment strategies by infill development that facilitates housing supply, choice, and affordability and is serviced by existing and planned expansions of a multimodal transportation system; or
b. Transportation planning, policies, and investment strategies by increasing travel options to homes, jobs, services, and other key destinations that provide, support, or enhance multimodal communities and reduce the number or length of vehicle trips?

3. Does the project support new housing development and shift travel away from driving by implementing or supporting pedestrian, bicycle, transit, and other alternative transportation programs?
Primary Factors:

The primary factors represent factors from the REAP 2.0 guidelines. In addition to providing a primary factor score, the application narratives associated with the primary factors may inform scoring for the REAP 2.0 objectives portion of the scoring matrix.

Each primary factor is described below.

Housing Element Compliance

1. Does the project support compliance with a jurisdiction’s housing element? Transformative Planning and Implementation Activities

1. Does the project provide for housing, planning, or infrastructure investments supporting infill housing, and other actions that enable meeting housing goals that 35 also result in per capita vehicle miles traveled reductions, including accelerating infill development, supporting residents through realizing multimodal communities, shifting travel behavior through reducing driving, and increasing transit ridership? Public Outreach

1. Did the proposed project arise from or go through a public process to solicit community input?

2. If this is a planning project, does the scope of work include a public process? Benefit to Disadvantaged Populations

1. Does the project target funding to benefit disadvantaged and historically underserved communities?
Significant Beneficial Impacts

1. Does the project lead to substantial changes in land use patterns and travel behaviors, demonstrated by:
a. A rate of change compared to the baseline; or
b. The magnitude of impact relative to variables or targets; or c. The proportion of need achieved; or
d. The impact relative to past trends, policies, and practices? California Planning Priorities

1. Does the project promote infill development and equity by rehabilitating, maintain, and improving existing infrastructure that supports infill development and appropriate reuse and redevelopment of previously developed, underutilized land now served by transit, streets, water, sewer and other essential services, particularly in underserved areas, and to preserve cultural and historic resources?

2. Does the project protect environmental and agricultural resources by preserving and enhancing the state’s most valuable natural resources, including working landscapes such as: farm, range, and forest lands; natural lands such as wetlands, watersheds, wildlife habitats, and other wildlands; recreation lands such as parks, trails, greenbelts, and other open space, and; landscapes with locally unique features and areas identified by the state as deserving special protection?

3. Does the project encourage efficient development patterns by ensuring that any infrastructure associated with development, other than infill development, supporting new development that does all of the following:
a. Uses land efficiently; and
b. Is built adjacent to existing developed areas to the extent consistent with #2, above; and
c. Is located in an area appropriately planned for growth; and d. Is served by adequate transportation and other essential utilities and services; and
e. Minimizes ongoing costs to taxpayers?
36 Secondary Factors:

A variety of secondary factors can be considered in the scoring process. These are not tied directly to the REAP 2.0 program but demonstrate the application’s thoroughness and project deliverability.

Project Scope of Work and Budget

1. Is a project scope of work and budget provided that demonstrates an understanding of the work and financial considerations required to deliver the project? Project Risk Assessment

1. Has the applicant thoroughly considered risks associated with delivering the project consistent with the scope of work and budget?

2. Has the applicant demonstrated realistic means for mitigating risk associated with delivering the project?

3. How has the applicant demonstrated reasonable assurance that the project can meet REAP 2.0 statutory deadlines (June 30, 2025)?
Risks alone should not result in a deficiency, but should be considered if they are unmitigated, not fully understood, or unmanageable.

Local Support: Inclusion in Plan and Letters of Support Projects proposing to construct something typically are drawn from adopted plans. While planning projects are also an REAP 2.0 eligible use, they cannot be held to the same scrutiny. If a project proposing to construct something does not indicate inclusion in an adopted plan, this should be considered in the risk assessment and public outreach sections of the scoring matrix.

Letters of support are not an application requirement. They can influence scores to the extent that they add value to any other response.

Scoring:

Scores should be assigned on a 1 to 5 basis. Scoring committee scores will be averaged and converted to project rankings. Therefore, consistency is necessary for each scorer, but not the scoring committee as a whole.
5: Exceptional evidence of meeting or exceeding requirements 4: Strong evidence of meeting requirements
3: Suitable evidence of meeting requirements
2: Limited evidence of meeting requirements
1: Weak evidence of meeting requirements
0: No evidence of meeting requirements (= automatic project disqualification for any REAP objective)
Weighting
The REAP 2.0 program requires public input received during the outreach process to influence 37 the project selection process. This is accomplished through the weighting of scoring categories.

In May 2023, Fresno COG staff issued a request for proposals to solicit interested consultants in developing a full application based on the definitions, methodology and scoring criteria established in this document. The selected consultant will also assist Fresno COG in publicizing the application, engaging housing stakeholders and the public, soliciting eligible projects for the applications, assembling a scoring committee for application review, and organizing the scoring committee’s work to arrive at a suite of projects recommended for funding.

Subsequent Steps:

The project selection process will involve three steps. This document focuses primarily on the first step.

1. The scoring committee assigns scores to each application. The scores for each project are averaged.

2. The averaged scores will be presented to RTAC. RTAC will work to ensure geographic equity and the split between planning and capital projects is incorporated into the projects recommended for funding. RTAC will make a formal recommendation to Fresno COG’s Board of Directors.

3. Fresno COG’s Board of Directors will consider the scoring committee and JTAC and approve the suite of projects selected in the full application. 38 Timeline:
• Spring 2023 – Develop competitive grant program including guidelines, criteria, and application process
• Summer 2023 – Call for applications
• Summer/early Fall 2023 – Applications due for Fresno COG’s competitive grant program • Late 2023 – Competitive grants to be awarded and funding agreements executed • June 30, 2024 – Deadline for REAP 2.0 recipient to encumber funds • June 30, 2026 – Deadline for REAP 2.0 funds to be expended 39 RESOLUTION NO.2023-51
