SUBJECT: FIRST AMENDMENT TO THE ON-DEMAND AGREEMENT WITH SAFER LLC AT

THE AIRPORT
REASON FOR ADDENDUM:

This memorandum is being expedited to grant approval to the Airport Director to amend the agreement with Safer Transportation, the Airport’s On-Demand Ground Transportation Management Company, which will enable them to meet their payroll requirements in March.

RECOMMENDATION:

Approve the First Amendment to the On-Demand Agreement with Safer LLC at the Norman Y. Mineta San Jose International Airport to authorize the Director of Airport to adjust the required performance guarantee.

BASIS FOR RECOMMENDATION:

Safer Transportation, the Airport’s On-Demand Management Company, due to the low passenger volumes at the Airport, will not be able to meet their payroll requirements in March. The release of funds from the Performance Guarantee in their Agreement with the City/Airport will assist them in meeting their obligations to their employees. There is no financial impact to the Airport as Safer LLC does not pay the Airport any funds. The release of the Performance Guarantee funds will allow for the continuation of their services. The First Amendment will add a single line to the Agreement allowing the Director to change the level of the required Performance Guarantee.

No Airport Commission involvement in this action.
