RESOLUTION NO.
A RESOLUTION OF THE COUNCIL OF THE CITY OF SAN
JOSE AUTHORIZING THE CITY MANAGER OR
DESIGNEE TO: (A) AMEND PURCHASE ORDER OP
63124 WITH NEWSBANK, INC., (NAPLES, FL) TO ADD
THE SAN JOSE MERCURY NEW S DIGITAL ARCHIVES
PRIOR TO 1985 AND INCREASE COMPENSATION BY
$768,257 FOR A REVISED MAXIMUM COMPENSATION
OF $807,005 FOR THE CURRENT TERM ENDING
DECEMBER 31, 2023; (B) NEGOTIATE AND EXECUTE
AMENDMENTS AS REQUIRED FOR ANY
UNANTICIPATED CHANGES DURING THE CURRENT
TERM ENDING DECEMBER 31, 2023, SUBJECT TO
APPROPRIATION OF FUNDS; AND (C) NEGOTIATE AND
EXECUTE ANNUAL PURCHASE ORDERS WITH
NEWSBANK, INC., FOR SUBSCRIPTION RENEWALS AS
REQUIRED, SUBJECT TO THE APPROPRIATION OF
FUNDS
WHEREAS, the City of San José (“City”) City Council desires to adopt this resolution for the reasons set forth in the memorandum, dated March 29, 2023 , from the Director of Finance, Rich Bruneau, for the April 11, 2023 City Council meeting (“Memorandum”); and
WHEREAS, the City desires to negotiate and execute an agreement with Newsbank, Inc.;
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF SAN JOSE THAT:
The City Manager or their designee is hereby authorized to:
A. Amend purchase order OP 63124 with NewsBank, Inc. , (Naples, FL) to add the San José Mercury News digital archives prior to 1985 and increase NVF:JVP:JMD

compensation by $768,257 for a revised maximum compensation of $807,005 for the current term ending December 31, 2023;
B. Negotiate and execute amendments with NewsBank, Inc. , as required for any unanticipated changes during the current term ending December 31, 2023, subject to the appropriation of funds; and
C. Negotiate and execute annual purchase orders with NewsBank, Inc. , for subscription renewals as required, subject to the appropriation of funds.
