(ii) impose or increase or deem applicable any reserve, liquidity ratio, assessment, insurance charge, special deposit , compulsory loan, or similar requirement against assets of, deposits with or for the account of, or credit extended by, the Bank or any Participant Bank with respect to this Agreement, the Letter of Credit or the Revolving Note, or

make any payment calculated with respect to this Agreement, the Letter of Credit or the Revolving Note or participations therein,
and the result of any of the foregoing is to increase the cost to the Bank or any Participant Bank or the Bank’s or Participant Bank’s parent or holding company, as the case may be, with respect to this Agreement, the Letter of Credit or the Revolving Note or participations therein or of issuing or participating with respect to this Agreement, the Letter of Credit or the Revolving Note or to reduce the return received by the Bank or any Participant Bank or the Bank’s or the Participant Bank’s parent or holding company, as the case may be, in connection with this Agreement, the Letter of Credit or the Re volving Note or participations therein, then the Bank shall notify the Authority and the City thereof by delivery of a certificate of an officer of the Bank or such Participant Bank of the nature described in the next sentence , and the Authority, or the City, on behalf of the Authority, shall pay, from Additional Rental paid by the City under the Sublease, to the Bank (on behalf any Participant Bank or the Bank’s or the Participant Bank’s parent or holding company) promptly, and in any event within thirty (30) days after receipt by the City and the Authority of such notice, such additional amount or amounts as will compensate the Bank or such Participant Bank or the Bank’s or the Participant Bank’s parent or holding company, as the case may be, for such increased cost or reduction in amount received. A certificate providing reasonable detail setting forth such increase in cost, reduction in income or additional expense or reduced amount (including such detail as the City may reasonably request) shall be submitted by the Bank to the City and, absent manifest error, shall be conclusive as to the amount thereof . In making the determinations contemplated by the above referenced certificate, the Bank or such Participant Bank may make such reasonable estimates, assumptions, allocations and the like that the Bank or such Participant Bank in good faith determines to be appropriate. (b) If the Bank or any Participant Bank determines that any Change in Law affecting the Bank or any Participant Bank or the Bank’s or the Participant Bank’s parent or holding company, if any, regarding capital or liquidity requirements has or would have the effect of reducing the rate of return on such Bank’s or Participant Bank’s capital or liquidity or on the capital or liquidity of such Bank’s or Participant Bank’s parent or holding company, if any, as a consequence of this Agreement, the Letter of Credit, or the Revolving Note to a level below that which such Bank or Participant Bank or the Bank’s or such Participant Bank’s parent or holding company could have achieved but for such Change in Law (taking into consideration the Bank or such Participant Bank’s policies and the policies of the Bank’s or such Participant Bank’s holding company with respect to capital adequacy ), then the Bank (on behalf of itself or such Participant Bank or the Bank’s or Participant Bank’s parent or holding company, as the case may be) shall notify the Authority and the City thereof by delivery of a certificate of an officer of the Bank or such Participant Bank of the nature described in the next sentence , and the Authority, or the City, on behalf of the Authority, shall pay, from Additional Rental paid by the City under the Sublease, the Bank (on behalf of itself or such Participant Bank or the Bank’s or Participant Bank’s parent or holding company) promptly, and in any event within thirty (30) days after receipt by the City and the Authority of such notice, the amount necessary to compensate for any shortfall in the rate of return on the portion of such increased capital which the Bank or such Participant Bank or the Bank’s or such Participant Bank’s parent or holding company determines is attributable to this Agreement, the Letter of Credit or the Revolving Note, its Outstanding Credit Exposure, as the case may be, hereunder (taking into consideration the Bank or such Participant Bank ’s policies

and the policies of the Bank’s or such Participant Bank’s holding company with respect to capital adequacy). A certificate setting forth such amount (including such detail as the City may reasonably request), and the manner of calculating the same as determined by the Bank or such Participant Bank (on behalf of itself or such Participant Bank or the Bank’s or Participant Bank’s parent or holding company, as the case may be), shall be submitted by the Bank to the City and, absent manifest error, shall be conclusive as to the amount thereof; provided however, neither the City nor the Authority shall be obligated to pay such additional compensation for a period up to 180 days prior to the notification thereof, except where (i) the Bank or Participant Bank, as applicable, had no actual knowledge of the action resulting in regarding such capital or liquidity requirements, as of the date which is 180 days prior to the notification thereof or (ii) such capital or liquidity requirements apply to the Bank or Participant Bank retroactively to a date prior to the date which is 180 days prior to the notification thereof. A certificate providing reasonable detail setting forth such reduction in rate of return on capital (including such detail as the City may reasonably request), and the manner of calculating the same as determined by the Bank or such Participant Bank, shall be submitted by the Bank to the City and the Authority and, absent manifest error, shall be conclusive as to the amount thereof. In making the determi nations contemplated by the above referenced certificate, the Bank or such Participant Bank may make such reasonable estimates, assumptions, allocations and the like that the Bank or such Participant Bank in good faith determines to be appropriate.
(c) The Bank shall notify the Authority and the City of any such impending or announced change in law, regulation or interpretation referred to in subsection (a) or (b) of this Section 2.8 promptly upon receipt by it of actual notice of such change; provided, however, that any delay or failure to so notify the Authority or the City shall not in any manner relieve the Authority and the City of their obligations under this Section 2.8. (d) Notwithstanding anything to the contrary in this Section 2.8, in the event the Bank grants any participation to any Participant Bank pursuant to Section 7.7(b) hereof, neither the Authority nor the City shall have any obligation to pay amounts pursuant to this Section 2.8 in an amount greater than that which it would have been required to pay if the Bank had not granted such participation.
(e) Failure or delay on the part of the Bank or a Participant Bank to demand compensation pursuant to the foregoing provisions of this Section shall not constitute a waiver of the Bank’s or the Participant Bank’s right to demand such compensation; provided that the City and the Authority shall not be required to compensate the Bank or such Participant Bank pursuant to the foregoing provisions of this Section for any increased costs incurred or reductions suffered more than six (6) months prior to the date that the Bank or such Participant Bank notifies the City and the Authority of the Change in Law giving rise to such increased costs or reductions and of the Bank’s or such Participant Bank’s intention to claim compensation therefor (except that, if the Change in Law giving rise to such increased costs or reductions is retroactive, then the six (6) month period referred to above shall be extended to include the period of retroactive effect thereof).
