The successful bidder shall complete and provide to DTC ’s Underwriting Department the Eligibility Questionnaire in the form required by DTC not later than five (5) business days prior to Closing Date.

Purpose of Issue. The 2025A Bonds will be issued to (i) [refund the outstanding City of San José Financing Authority Lease Revenue Bonds, Series 2013B (Civic Center Garage) (the “2013B Bonds”), (ii)] refinance Tax-Exempt Lease Revenue Commercial Paper Notes, Series 1 (“Series 1 Notes”) issued by the Authority to finance, on an interim basis, the construction of a new Administration and Operations Building, and the acquisition, construction and installation of related capital improvements, for the Water Resources Division (the “Muni Water Project”), (iii) to finance additional costs of the Muni Water Project, and (iv) pay the costs incurred in connection with the issuance of the 2025A Bonds. See “INTRODUCTION” and “FINANCING PLAN” in the Preliminary Official Statement.

Security for the 2025A Bond s. The 2025A Bonds will be payable from and secured by a first pledge of and lien on Revenues (as defined in the Indenture). Revenues generally consist of lease payments (the “ Lease Payments ”) to be made by the City for the right to use certain real property (collectively, the “ Leased Property”) pursuant to a Lease Agreement dated as of August 1, 2025 (the “Lease”), between the City, as lessee, and the Authority, as lessor. Neither the faith and credit nor the taxing power of the City, the Authority or the State of California, or any political subdivision thereof, is pledged to the payment of the 2025A Bonds. The obligation of the City to make the Lease Payments does not constitute a debt of the City or the State of California or of any political subdivision thereof within the meaning of any constitutional or statutory debt limit or restriction, and does not constitute an obligation for which the City or the State of California is obligated to levy or pledge any form of taxation or for which the City or the State of California has levied or pledged any form of taxation. The Authority has no power to tax. See “SECURITY AND SOURCES OF PAYMENT FOR THE 2025A BONDS” in the Preliminary Official Statement.

Tax-Status of the 2025A Bond s; Bond Counsel Opinion. In the opinion of Anzel Galvan LLP, San Francisco, California (“Bond Counsel ”), under existing law and subject to certain qualifications described in the Preliminary Official Statement, the interest on the 2025A Bonds is excludable from gross income for federal income tax purposes. In addition, interest on the 2025A Bonds is not an item of tax preference for purposes of the federal alternative minimum tax imposed on individuals; however, interest on the 2025A Bonds may affect the federal alternative minimum tax applicable to certain corporations. In the further opinion of Bond Counsel, interest on the 2025A Bonds is exempt from California personal income taxes.

DRAFT--Contact the Office of the City Clerk at (408) 535-1260 or [email protected] for final document.

Such ratings reflect only the view of such organizations, and an explanation of the significance of such ratings and any outlook assigned to or associated with these ratings, may be obtained from the respective rating agency. There is no assurance that any such rating will continue for any given period of time or that such ratings will not be revised downward or withdrawn entirely by such organizations, if in their judgment circumstances so warrant. Any such downward revision or withdrawal of such ratings may have an adverse effect on the market price of the 2025A Bonds.

Mandatory Sinking Fund Redemption . The 2025A Bonds will be awarded by the Authority to the lowest responsible bidder for the 2025A Bonds, considering the rate or rates specified and the premium offered, if any.

The lowest bidder for the 2025A Bond s shall be the bidder submitting the price resulting in the lowest true interest cost. The true interest cost will be the nominal interest rate which, when computed semiannually and used to discount the total debt service payments on the 2025A Bonds to the date of the 2025A Bond s, results in an amount equal to the price bid for the 2025A Bond s DRAFT--Contact the Office of the City Clerk at (408) 535-1260 or [email protected] for final document.

7 (assuming that any term 2025A Bonds are redeemed as scheduled pursuant to mandatory sinking fund payments) at the interest rate or rates specified in the bid. In the event that two or more bidders have bid the same interest cost, the award shall be made at the discretion of the Authority, subject to the other provisions of this Official Notice Inviting Bids.

It is expected that the 2025A Bond s will be delivered to the successful bidder on or about [August 28, 2025]. The 2025A Bonds will be delivered through the facilities of DTC. The successful bidder shall pay for the 2025A Bonds on the date of delivery in immediately available federal funds.

Any expenses for providing federal funds shall be borne by the purchaser. Payment on the delivery date shall be made in an amount equal to the price bid for the 2025A Bonds, less the amount of the Good Faith Deposit.

Good Faith Deposit. A Good Faith Deposit in the amount of $485,000 for the 2025A Bonds, payable to the order of the Authority, is required from the successful bidder subsequent to the award of the 2025A Bond s. The successful bidder is required to wire transfer such amount not later than two (2) hours following the notification of the Authority’s intent to award to the successful bidder. If the Good Faith Deposit is not received by such time, the award of sale may be rescinded by the Authority. No interest on the Good Faith Deposit will accrue to the successful bidder . The Good Faith Deposit will be applied to the purchase price of the 2025A Bonds.

The Authority disclaims any liability for funds sent by wire transfer, except for any willful misconduct or reckless disregard for its duties. If after the award of the 2025A Bonds, the successful bidder fails to complete the purchase on the terms stated in its bids, unless such failure of performance shall be caused by any act or omission of the Authority, any amount received from such bidder by the Authority shall be retained by the Authority as liquidated damages, and the successful bidder agrees that it shall forfeit such Good Faith Deposit in order to effectuate the purposes of the Authority’s competitive bidding process. No interest will be paid by the Authority upon the Good Faith Deposit made by any bidder.

List of Members of Account . Bidders are requested to list on the bid form the names of the members of the account on whose behalf the bid is made.

CUSIPs. The Municipal Advisor will timely apply for CUSIP numbers with respect to the 2025A Bonds as required by Municipal Securities Rulemaking Board’s Rule G -34. The successful bidder shall also notify the CUSIP Service Bureau as to the final structure of the 2025A Bonds.

It is anticipated that CUSIP numbers will be printed on the 2025A Bond s, but neither the failure to print such numbers on any Bond nor any error with respect thereto shall constitute cause for a failure or refusal by the successful bidder to accept delivery of and pay for the 2025A Bond s in accordance with the terms hereof.

Expenses of Successful Bidder . In addition to the cost related to CUSIP numbers, the successful bidder will be responsible for its respective statutory fee to the California Debt and Investment Advisory Commission (California Government Code Section 8856), DTC charges and all its other expenses related to the purchase and delivery of the 2025A Bonds to the successful bidder.

DRAFT--Contact the Office of the City Clerk at (408) 535-1260 or [email protected] for final document.

8 Establishment of Issue Price for 2025A Bonds. (a) The winning bidder of the 2025A Bonds shall assist the Authority in establishing the issue price of the 2025A Bonds and each shall execute and deliver to the Authority at Closing an “issue price” certificate setting forth the reasonably expected initial offering price to the public of the 2025A Bonds, together with the supporting pricing wires or equivalent communications, substantially in the form attached hereto as Exhibit A . All actions to be taken by the Authority under this Official Notice Inviting Bids to establish the issue price of the 2025A Bonds may, at the direction of the Authority , be taken on behalf of the Authority by the Municipal Advisor and any notice or report to be provided to the Authority may also be provided to the Municipal Advisor.

(b) The Authority intends that the provisions of Treasury Regulation Section 1.148 -1(f)(3)(i) (defining “competitive sale” for purposes of establishing the issue price of the 2025A Bonds) will apply to the initial sale of the 2025A Bonds (the “Competitive Sale Requirements”) because the Authority expects all of the following requirements will be satisfied:

(1) the Authority has disseminated this Official Notice Inviting Bids to potential purchasers in a manner that is reasonably designed to reach potential purchasers;

(2) all bidders will have an equal opportunity to bid; and

(3) the Authority will receive bids from at least three purchasers of municipal bonds who have established industry reputations for underwriting new issuances of municipal bonds.

Any bid submitted pursuant to this Official Notice Inviting Bids shall be considered a firm offer for the purchase of the 2025A Bonds, as specified in the bid. In addition, by submitting a bid, each bidder is certifying that it has an established industry reputation for underwriting new issuances of municipal bonds.

In the event that the Competitive Sale Requirements are not satisfied, the Authority or the Municipal Advisor will so advise the winning bidder. The Authority will treat the first price at which 10% of a maturity of the 2025A Bonds (the “10% test”) is sold to the public as the issue price of that maturity, applied on a maturity -by-maturity basis. The winning bidder will advise the Authority if any maturity of the 2025A Bonds satisfies the 10% test as of the date and time of the award of the 2025A Bonds. The Authority will not require bidders to comply with the “hold -the-offering-price rule” and therefore does not intend to use the initial offering price to the public as of the sale date of any maturity of the 2025A Bonds as the issue price of that maturity. Bids will not be subject to cancellation in the event that the competitive sale requirements are not satisfied. Bidders should prepare their bids on the assumption that all of the maturities of the 2025A Bonds will be subject to the 10% test in order to establish the issue price of the 2025A Bonds.

If the competitive sale requirements are not satisfied, then until the 10% test has been satisfied as to each maturity of the 2025A Bonds, the winning bidder agrees to promptly report to the Authority the prices at which the unsold 2025A Bonds of that maturity have been sold to the public.

That reporting obligation shall continue, whether or not the Closing Date has occurred, until the 10% test has been satisfied as to the 2025A Bonds of that maturity or until all 2025A Bonds of that maturity have been sold.

No Litigation. To the best knowledge of the Authority, no litigation is pending against the Authority with service of process accomplished , or threatened in writing, against the Authority DRAFT--Contact the Office of the City Clerk at (408) 535-1260 or [email protected] for final document.

9 concerning the validity of the 2025A Bonds, or questioning the political existence of the Authority or seeking to restrain or enjoin the issuance or execution of the 2025A Bond s. The Authority will furnish to the successful bidder a certificate as to the foregoing as of the time of the original delivery of the 2025A Bonds.

No Bond Insurance . The successful bidder may not purchase municipal bond insurance in connection with the initial offering of the 2025A Bonds.

Certification Relating to the Official Statement. The Authority and the City will deliver to the successful bidder certificates of an officer of the Authority and the City , dated the Closing Date, stating that, as of the date thereof, to the best knowledge and belief of said officer, the Official Statement does not contain an untrue statement of a material fact or omit to state any material fact necessary in order to make the statements made therein, in light of the circumstances under which they were made, not misleading.

Continuing Disclosure. The City will covenant for the benefit of the owners of the 2025A Bonds to cause certain financial information and operating data relating to the City and notices of the occurrence of certain listed events to be p rovided in order to assist the successful bidder in complying with Rule 15c2-12. The specific nature of the financial information, operating data and listed events to be disclosed on an ongoing basis is summarized in the Preliminary Official Statement.

The Preliminary Official Statement is in a form deemed final by the Authority and the City within Rule 15c2-12 except for the omission of certain information permitted to be omitted therefrom pursuant to Rule 15c2-12, but is subject to revision, amendment and completion in a final Official Statement.

Bidders will be required to confirm their consent to delivery of the Preliminary Official Statement in electronic form and their review of a complete copy of the Preliminary Official Statement, as a condition to the acceptance of their bid by the Authority. The Internet posting of the Preliminary Official Statement does not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of, the securities described in the Preliminary Official Statement, in any jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such jurisdiction.

Upon the sale of the 2025A Bond s, the Authority will publish the Official Statement in substantially the same form as the Preliminary Official Statement subject to additions, deletions, and revisions as required to complete the Preliminary Official Statement. Promptly after the sale date for the 2025A Bonds, but in no event later than seven (7) business days after the sale date of the 2025A Bonds, the Authority will provide the successful bidder with an electronic copy of the Official Statement in a portab le document format configured to allow the document to be saved, viewed, printed and retransmitted by electronic means . The successful bidder agrees to supply the Authority all pricing information necessary to complete the Official Statement within 24 hours after the award DRAFT--Contact the Office of the City Clerk at (408) 535-1260 or [email protected] for final document.

The Authority undertakes that for a period equal to the lesser of (a) 25 days following the end of the “underwriting period” as defined in Rule 15c2-12; or (b) 90 days after the date of delivery of the 2025A Bond s it will (i) apprise the successful bidder of all material developments, if any, occurring with respect to the Authority after delivery of the 2025A Bonds; and (ii) if requested by the successful bidder, prepare a supplement to the final Official Statement with respect to any material development. The Authority will presume, unless notified in writing by the successful bidder, the end of the underwriting period will occur on the date of the delivery of the 2025A Bonds.

Sales Outside of the United States . The successful bidder must undertake responsibility for compliance with any laws or regulations of any foreign jurisdiction in connection with any sale of the 2025A Bonds to persons outside the United States.
