SUBJECT: Fifth Amendment to the Lease of Airport Premises Agreement with Smiths Detection, Inc. for Baggage Screening Services

RECOMMENDATION
Adopt a resolution authorizing the City Manager or her designee to negotiate and execute the Fifth Amendment to the Lease of the Airport Premises Agreement between the City of San José and Smiths Detection, Inc. to extend the term from March 16, 2026, to March 31, 2031.

BASIS FOR RECOMMENDATION
On March 16, 2015, the City of San José (City) entered into a three-year lease agreement with Morpho Detection, LLC for 150 square feet of office space. Morpho Detection, LLC provides maintenance and repair services for the baggage screening machinery used by the Transportation Security Administration. Subsequently, Morpho Detection, LLC changed its name to Smiths Detection, LLC as memorialized in the first amendment. On March 10, 2019, the City consented to the assignment of the lease, transferring all rights and responsibilities from Smiths Detection, LLC to Smiths Detection, Inc. Subsequently, the City and Smiths Detection, Inc. executed a second amendment on July 3, 2019, which formalized the assignment. The third and fourth amendments further extended the lease terms for an additional three years each through March 15, 2026.

The City is requesting approval of a fifth amendment to further extend the agreement for five years and 16 days to expire on March 31, 2031. If approved, this amendment will allow Smiths Detection, Inc. to retain office space, enabling it to continue providing maintenance and repair services for the baggage screening machinery used by the Transportation Security Administration. The lease extension will provide the City with approximately $54,540 in annual revenue or $272,700 in revenue over the five-year term.

COMMISSION RECOMMENDATION AND INPUT
No commission recommendation or input is associated with this action.

COST AND FUNDING SOURCE
There are no costs associated with this action. The lease amendment will generate approximately $272,700 over the five-year term.
